India does not have one comprehensive legal category that authorises or prohibits every tokenised asset. The rules depend on what enforceable rights the token represents, the underlying asset, how it is offered or transferred, and what each service provider does. A tax classification or an intermediary’s anti-money-laundering registration does not, by itself, approve a token or make it a safe investment.
What “tokenised asset” means in law
Tokenisation is a way of representing or recording something digitally; it does not, by itself, determine the legal nature of that thing. A token might represent a share, debt, contractual claim, beneficial interest, collectible, or an asserted connection to a physical asset. It might also be only a platform entry with no enforceable claim to an underlying item.
Start with the rights the holder can actually enforce, not the label used by an issuer or marketplace. The governing rules may then come from more than one area of law, including income tax, securities regulation, anti-money-laundering requirements, foreign-exchange rules, and property or registration law.

What India’s virtual digital asset tax definition does—and does not—mean
Section 2(47A) of the Income-tax Act defines a “virtual digital asset” to include specified information, code, numbers or tokens that represent value and can be transferred, stored or traded electronically. The definition also covers non-fungible tokens (NFTs) or similar tokens and other assets the Central Government may notify. The Income-tax Department’s current text includes a crypto-asset subclause added by the Finance Act 2025 and effective from 1 April 2026.

This is a tax-law classification. It does not, on its own, establish that an offering complies with securities rules, that a token validly transfers property, that a particular platform is approved, or that a cross-border transaction is permitted. The fact that a token falls within a tax definition should not be treated as a product licence.
When FIU-IND and PMLA obligations apply
The Financial Intelligence Unit–India (FIU-IND) guidance dated 4 July 2023 brings specified virtual digital asset (VDA) services within the Prevention of Money Laundering Act (PMLA) framework when a service is performed for or on behalf of another person in the course of business. The listed activities include exchanging VDAs for fiat currency or other VDAs, transferring VDAs, safekeeping or administering them, and certain financial services connected with an issuer’s offer and sale of a VDA.

In a Ministry of Finance statement dated 9 September 2026, the Government said VDA service providers operating in India, whether onshore or offshore, must register with FIU-IND as reporting entities when they carry out specified activities and must meet PMLA requirements, including reporting and record-keeping obligations. The statement described crypto products and NFTs as “unregulated and can be highly risky.” That is the Ministry’s characterization of those products; it should not be stretched into a claim that every tokenised security or every blockchain record has the same legal status.
FIU-IND registration is an anti-money-laundering and reporting obligation for covered service providers. It is not a SEBI endorsement, a safety guarantee, or a comprehensive investor-protection licence for the provider’s products. FIU-IND lists later revisions to its VDA registration circular, so anyone assessing a provider’s current compliance should check the latest official requirements rather than rely on an older description.

When securities rules may matter
If a token represents shares, debt, units or another investment interest, its legal and economic characteristics may bring existing securities requirements into play. The relevant analysis is about the instrument and the transaction—not whether the record sits on a blockchain. Issuance, listing and depository rules may be relevant; tokenisation should not be assumed to create an exemption from ordinary requirements.
SEBI’s Issue and Listing of Non-Convertible Securities Regulations, 2021 page identifies an amendment dated 18 September 2024. Its Depositories and Participants Regulations page identifies an amendment dated 30 April 2025, and a 2025 consultation document discusses dematerialisation requirements for certain private companies. These materials are relevant context, but they do not establish a universal, dedicated SEBI approval route for every tokenised asset. The applicable rules depend on the rights and structure in question.

Does a token give its holder ownership of Indian real estate?
Not necessarily. A token that claims to represent direct ownership of land is legally different from a token representing shares in a company that owns property, a contractual or beneficial interest, or a platform entry that may not create an effective claim to title. Minting or transferring a token alone is not established as a transfer of legal ownership of Indian land.
For a particular property arrangement, the underlying conveyance, supporting documents and applicable state registration requirements need separate analysis. The token’s terms should be examined alongside the property records and the legal documents that connect the holder to the asset. The same discipline applies to other tangible or contractual assets: determine what is held, who controls it, and what enforceable rights accompany the token.

What about offshore offers and cross-border transfers?
The rules for a particular offshore issuance, purchase by an Indian resident, foreign investment structure or cross-border transfer cannot be determined from the VDA tax definition or FIU-IND registration alone. Foreign-exchange rules, foreign-investment requirements and securities law may turn on the parties, the asset, the flow of funds and the rights represented. Those facts require transaction-specific analysis; the general framework does not settle every cross-border case.
How to assess a specific token before relying on it
Use these questions to identify the legal and practical issues that need answers. They are a screening framework, not a substitute for advice on a particular transaction.

- Identify the right. Read the governing documents and determine whether the token conveys a security, contractual claim, beneficial interest, collectible, payment-like asset or no enforceable connection to an underlying item.
- Identify the underlying asset and its owner. Establish who owns or controls it, whether it is held by a custodian, and how the token holder’s claimed interest is documented.
- Map the offer and transfer. Check who issues the token, who may buy or transfer it, where the offer is made, and what restrictions apply.
- Check the intermediaries’ activities. Determine whether an exchange, custodian, administrator or other provider performs activities that trigger PMLA duties or may engage securities or other regulation.
- Understand failure and recourse. Find out what happens if the issuer, platform or custodian fails, the underlying asset is unavailable, or the token cannot be transferred. Identify the legal remedy and the party against whom it can be pursued.
- Get advice on unresolved transaction facts. For a specific investment, property claim or cross-border arrangement, have Indian counsel assess the documents and applicable rules rather than relying on the token’s marketing description or a provider’s registration status.
