At a November 2017 automotive-reliability workshop, Qualcomm Technologies senior engineering vice president Kevork Kechichian described a future of connected, self-driving, personalized and efficient cars. The next business day, Broadcom made an unsolicited proposal to acquire Qualcomm. Qualcomm rejected it, while arguing that its planned acquisition of NXP Semiconductors offered a better strategic route into automotive technology.
What Qualcomm’s engineering VP said about the future of cars
Kechichian delivered the keynote at the second IEEE International Workshop on Automotive Reliability & Test. He discussed cars that would be connected, increasingly capable of driving themselves, personalized for their occupants and more efficient. The applications he pointed to included self-parking and advanced driver assistance systems (ADAS). Electronic Design’s account of the keynote also described his career in semiconductors and his experience managing test groups despite not having a test background.
His remarks placed automotive within Qualcomm’s broader technology ambitions. The company was pursuing a planned acquisition of NXP Semiconductors, whose products could expand Qualcomm’s automotive offerings.
Why Qualcomm was interested in NXP
Qualcomm presented NXP as a strategic fit that could strengthen its position in automotive, security and the Internet of Things (IoT). In later proxy materials, Qualcomm argued that a combination with NXP would involve less business overlap and less regulatory risk than a Broadcom combination, while creating stronger opportunities in those areas. What Broadcom offered for Qualcomm
Electronic Design reported that Broadcom’s proposed acquisition valued Qualcomm at $130 billion. That was a reported aggregate valuation, not a completed transaction. The proposal was unsolicited and non-binding.
Qualcomm’s December 2017 statement described Broadcom’s proposed terms as $60 per share in cash plus $10 per share in Broadcom stock. Qualcomm said its board had unanimously rejected the proposal on November 13, 2017, because it undervalued Qualcomm and carried significant regulatory uncertainty. Qualcomm’s presiding director, Tom Horton, framed the company’s position in terms of its range of businesses: “No company in the industry is better positioned than Qualcomm in mobile, IoT, automotive, edge computing and networking and to lead the transition to 5G,” he said. Qualcomm’s statement

On that page, Qualcomm describes its Digital Chassis as spanning connectivity, cockpit and ADAS/automated driving. The company also says the Arriver ADAS/AD stack, acquired in 2021, is integrated into Snapdragon Ride.
