The right answer depends on the contract, governing law, industry, and customer type; guidance for UK public contracts is not a general rule for every business-to-business invoice.
How should I respond to an invoice dispute?

Acknowledge the dispute and clarify it
Reply promptly and calmly. Ask the customer to identify the disputed line or amount, explain the reason, and point to any records or approval they rely on. Agree who will check each point and by when. Keep the exchange in writing, or send a factual written recap after a call.

Check the agreement and what happened
Review the signed contract, accepted order, scope, milestones, and any approved change request or variation. Then collect relevant delivery or completion records, timesheets, approvals, and messages. Preserve original documents and arrange them in a dated chronology so you can see where the accounts differ.

Audit the invoice and its route
Check that it went to the right finance contact and through the customer’s required submission channel. Verify the invoice date and unique number, any customer or purchase-order (PO) reference, description, quantities, rates, arithmetic, payment terms, due date, and payment details. The Small Business Commissioner’s invoicing guide recommends clear descriptions, quantities, rates, and costs, terms agreed in advance and shown on the invoice, and including a PO number if the customer issued one.

Fix genuine errors transparently
If a detail is wrong or incomplete, explain the correction and send a corrected invoice or supporting breakdown using the process in your contract. Keep the original and corrected versions. The Commissioner’s guide gives examples where a missing PO, vague work description, or missing due date delayed payment and supplying the information helped resolve the issue.

Separate accepted and disputed amounts
Ask the customer to confirm what amount it accepts and, where the contract and applicable rules permit, request payment of that portion while you investigate the rest. The Fair Payment Code says its signatories should pay undisputed portions within terms and resolve disputed portions within the agreed timeframe. That is Code guidance, not a universal rule for every private contract.

What evidence helps show the work was completed?
There is no special evidential formula in the cited guidance. The useful records are the ones that connect the agreed scope to what was delivered and accepted. Keep the contract and approved variations alongside delivery or completion records, timesheets, milestone approvals, relevant messages, and each invoice version. A dated chronology can help isolate whether the disagreement concerns what was agreed, what was done, or how it was billed.
- Scope: signed contract, accepted order, statement of work, and approved change requests.
- Performance: delivery or completion records, timesheets, milestone evidence, and customer approvals.
- Billing: invoice versions, breakdowns, PO references, and the terms or rates agreed.
- Communications: dated messages and a factual recap of any relevant call.
What if only part of the invoice is disputed?
Ask the customer to identify both the disputed amount and the amount it accepts. Keep those sums distinct in your discussion and records. Where the contract and applicable rules allow, seek payment of the accepted portion under the agreed terms while you work through the challenged line. The Fair Payment Code’s approach supports this for signatories, but does not by itself establish a payment right in every private contract.

Can a customer refuse to pay a disputed invoice?
Do not assume either that a customer can withhold the whole amount or that you can demand immediate payment of every disputed sum. The answer can depend on the contract, governing law, the basis of the dispute, and whether the invoice is partly accepted. Check clauses on payment, acceptance, defects, set-off, and dispute resolution before asserting a right or remedy. Avoid threatening interest, court action, or suspension of ongoing work until you have checked the applicable contract and law.
Does the 30-day payment rule apply to this invoice?
Not to every business invoice. Section 68 of the Procurement Act 2023 provides 30-day payment terms for most covered UK public contracts and requires the contracting authority to notify the payee without undue delay if it considers an invoice invalid or disputed. The provision has exclusions and applies within its statutory scope; whether it governs a particular contract depends on the contract and current application of the Act. Do not treat it as a general private-sector B2B deadline.

The Fair Payment Code is also distinct from a statutory rule for all customers. Its published award criteria set payment thresholds for signatories: Gold requires at least 95% of all invoices paid within 30 days; Silver requires at least 95% within 60 days, including at least 95% of invoices to small businesses with fewer than 50 employees within 30 days; Bronze requires at least 95% within 60 days. These are Code award criteria, not statistics about how often invoice disputes are resolved.

Match the proposed response to the actual issue. Keep it specific and proportionate, and document any agreed correction, credit, or settlement.

A unilateral credit or a demand for full payment may not resolve the underlying disagreement. Check what the contract requires and consider the value at stake, the importance of the ongoing relationship, confidentiality, enforceability, and any required escalation steps or deadlines.
When should you escalate an invoice dispute?
If direct discussion stalls, consider negotiation or mediation before court action. The HM Courts & Tribunals Service says, “Unless your case is urgent, you should write a short letter or email to the other side before you start court action.” Its guidance recommends explaining the case, key dates, and issues, and attaching main documents such as contracts or invoices. The guidance concerns the Circuit Commercial Court, was last updated 7 June 2021, and warns that cases there can be complex and expensive; check current rules and costs and consider legal advice before proceeding.
Seek prompt professional advice if the claim is high-value, a limitation deadline may be approaching, the customer may be insolvent, the contract is cross-border, or you are considering suspending ongoing work. The consequences and available procedures can turn on facts that general guidance cannot determine.
