At an IPO, implied market capitalization is the offering price per share multiplied by the total post-offering shares outstanding on a clearly stated basis. Enterprise value starts with that equity value, then adds debt and subtracts cash and cash equivalents, with any additional adjustments stated. The offer price itself is negotiated by the company and underwriters; it is not calculated directly from enterprise value.
What the two valuation figures measure
Market capitalization (market cap) measures the market value of a company’s equity. Enterprise value (EV) adjusts equity value for debt and cash, and some analyses also account for other claims. They answer different questions, so the figure and its calculation basis should be named when an IPO valuation is quoted.
- Market cap: value assigned to the counted shares of equity at a specified share price.
- EV: an adjusted measure that starts with market cap and reflects the stated debt, cash, and any other included claims.
How IPO offer prices are set
The company and underwriters decide where to set the offering price. The SEC describes the process as involving analysis and negotiation, with market conditions and investor demand among the considerations. Valuation work may consider revenue, customers, financial results, and other metrics. Underwriters gather indications of interest in an order book, including how many shares investors might buy and at what prices. The SEC calls the resulting offer price “a negotiated estimate as to the value of the company.” SEC Investor Bulletin: Investing in an IPO (2013).
The issuer generally wants to raise capital at a higher price, while underwriters need a price at which shares can be placed with investors. An offer price is not a guaranteed fair value or a promise about the first trading price. The SEC notes that underpricing may help attract demand and can be followed by a first-day price increase, but can also mean the issuer raises less capital than it might have at a higher price. These are possible trade-offs, not a prediction for any particular IPO.

How to calculate market capitalization and enterprise value
Market capitalization
Market capitalization = share price × total shares outstanding
For an IPO’s implied post-offering market cap, use the offering price per share and the total shares outstanding after the offering on the basis specified by the prospectus. Do not multiply by only the shares being sold unless you mean the value of the offering or the public float, rather than the company’s total equity value. The share count may differ depending on whether it includes multiple share classes, merger shares, options, warrants, or convertible securities. Enterprise value
Enterprise value = market capitalization + debt − cash and cash equivalents
This is a commonly used formulation, not a guarantee that every issuer or analyst uses identical line items. A 2026 SEC-filed Precision Drilling report describes EV as reporting-date market capitalization plus long-term debt less cash. Other transaction analyses may also add preferred equity or noncontrolling interests. Check the source’s definition and identify any extra adjustments rather than treating EV as a universal formula with identical inputs in every analysis. Precision Drilling MD&A (2026).

Illustrative calculation
If an offer price is P and the stated post-offering share count is N, implied market cap on that basis is P × N. Add the selected debt amount and subtract the selected cash amount to calculate EV under the stated formula. The result changes if the share count, share classes, dilution assumptions, or financial-statement date changes. This is a calculation method, not a valuation of a particular company.
What an IPO prospectus example shows
Check-Cap Ltd.’s 2026 Form F-1/A is a useful illustration of how assumptions can accompany price, share count, proceeds, and dilution. It concerns an offering by a public issuer after a merger, not a standard IPO benchmark. The filing’s figures are illustrative and subject to actual pricing and offering terms. The share count and proceeds illustrate why a displayed share price alone is not enough to infer market cap or cash raised. The filing’s excluded warrants and options affect the count used, while net proceeds deduct specified offering costs.

- Equity value or EV: market cap is not interchangeable with enterprise value.
- Price date: compare an offer price with another offer price, or clearly distinguish it from a later trading price.
- Share count: establish basic versus diluted or fully diluted shares and which share classes are counted.
- Capital structure: check debt, cash, preferred equity, and noncontrolling-interest treatment.
- Offering basis: distinguish actual from pro forma or as-adjusted figures, including any merger shares or over-allotment assumptions.
- Shares sold: separate primary shares sold by the issuer from secondary shares sold by existing holders.
Common mistakes to avoid
- Calling proceeds market cap. Proceeds are cash raised from the shares sold, less relevant expenses. Market cap values all shares included in the stated share-count basis at the specified price.
- Using EV as another name for share-market value. EV adjusts market cap for debt and cash, and may include other explicitly stated claims.
- Multiplying the price by only the shares sold when total market cap is requested. That may describe the offering’s share value, not the issuer’s total post-offering equity value.
- Treating an assumed price as final. Prospectus figures can be illustrative and contingent on actual terms.
- Ignoring dilution. State whether the count includes options, warrants, convertibles, merger shares, or multiple share classes.
