Flex’s later FY2026 filing reported estimated purchase consideration of $319 million, including $313 million in cash and $6 million in estimated customary closing adjustments. Those figures describe different stages of reporting, not interchangeable deal values.
What Flex announced and what it later reported
Flex announced the agreement on October 17, 2024, describing it as a $325 million all-cash transaction. At the time, Flex forecast that the acquisition would be accretive in its first year after closing; that was a forecast, and the cited company disclosures do not establish whether it was realized. The $319 million figure is the later accounting estimate reported by Flex, not a correction that replaces the announced $325 million transaction value. Flex’s filing identifies the components but does not state a further explanation for the difference.
When the acquisition closed
Flex announced completion on November 20, 2024. Its FY2026 Form 10-K identifies November 19, 2024, as the date Flex acquired 100% of Crown. The dates refer to the acquisition date recorded in the filing and the following day’s public completion announcement, respectively. Flex’s completion release and FY2026 Form 10-K.

What Crown Technical Systems brought to Flex
Flex described Crown as a supplier of custom-engineered, fully integrated power distribution and protection systems. The products and capabilities named in Flex’s announcement include:
- Modular power solutions
- Medium-voltage switchgear
- Controls and relay products
- Power distribution and protection systems
Flex characterized Crown as bringing nearly three decades of experience addressing power distribution and control challenges. That tenure description is Flex’s characterization. The company said Crown’s products strengthened its critical-power portfolio and helped extend its capabilities in power infrastructure.

Why Flex said it acquired Crown
Flex said the acquisition expanded its presence in the utility power market and supported growth in the U.S. data-center power market. Its FY2026 annual report later described Crown as increasing Flex’s critical-power capabilities and opportunities in grid modernization. Crown Technical Systems President Norm Siddiqui said the deal brought complementary products and teams together and called it a positive outcome for Crown employees and customers. That, too, was a company-reported executive view.

Where Crown sits in Flex’s reporting and the planned CPI separation
In Flex’s FY2026 Form 10-K, Crown is assigned to the Power reporting unit within the CPI segment. Flex’s FY2026 annual report said the company intended to separate CPI into an independent public company, with completion expected in the first quarter of calendar 2027, subject to customary conditions. The separation was a plan in that FY2026 reporting, not a completed event.
