A persuasive roadmap or rising market price is not proof of a sound project. Project quality, token value, market price, and custody are separate questions—and no checklist can guarantee a good investment.
Start with the project, the token, and the investment as separate questions
A crypto project may describe a useful technology or service, but that does not establish that its token is valuable. A token’s price can rise or fall independently of the project’s progress, and buying a token does not automatically give you ownership, a claim on revenue, or a right to repayment. Read the token’s terms rather than inferring rights from its name or marketing.
The SEC’s Office of Investor Education and Advocacy says an offering should explain how it works and what rights the virtual coin or token provides, often in a white paper or roadmap. Its 2017 Investor Bulletin on initial coin offerings is educational guidance, not a rule or individualized investment advice.
Use the same checklist for every project
When comparing two or more projects, review them on the same date and against the same questions. Record what each project’s primary documents actually say, and keep your interpretation separate from disclosed facts. The SEC’s guidance does not provide a universal project score or token-valuation formula; a single numerical ranking can create false precision unless its evidence and weighting are clear.

Verify the project’s purpose and the token’s rights
Look for evidence beyond the roadmap
Identify the problem the project claims to address, then look for evidence of a working network, product, or service. A roadmap describes intentions, not completed work. Prefer clear primary materials that explain the business plan and how the project is supposed to operate; do not treat promotional claims as independent verification.
Read the token terms directly
Ask what rights the token provides, how those rights can be exercised, and whether they depend on a company or intermediary continuing to operate. Check for access, governance, resale, transfer, and refund terms. If promotional materials imply financial returns but the binding documents do not explain an enforceable right to them, do not fill in the gap yourself.

Inspect supply, control, and technical evidence
Separate disclosed token data from conclusions
If a project publishes token supply, allocation, unlock schedules, or concentration information, note the document and date. Those figures may help you understand distribution, but the reviewed SEC guidance establishes no standard threshold or formula for deciding whether a token is fairly valued. A disclosed schedule is not evidence that future plans will be followed.
Check what is public and what was reviewed
The SEC’s 2017 bulletin specifically recommends asking “whether the blockchain is open and public, whether the code has been published, and whether there has been an independent cybersecurity audit.” For any claimed security review, identify the reviewer, date, system or code examined, and scope. A review of one component or version does not establish the safety of the whole project or later changes.

Find out who can change or stop the system
Project documents may identify administrators, governance processes, contract permissions, or large token holders. Note who can alter rules, pause functions, or make consequential decisions, and whether those powers have limits. The SEC warns that opaque or concentrated ownership and control can pose risks; an absence of clear information should remain an unanswered question rather than being treated as proof of broad community control. See its 2023 Investor Alert on crypto asset securities.
Assess whether you could trade—and what a reserves report proves
Liquidity is not guaranteed by a listing
Check the project’s stated trading venues and any limits on resale, then consider whether access could change. A listing does not guarantee that you can sell at a particular price or at all. The SEC warns that crypto markets can become illiquid or disappear, leaving an asset difficult or impossible to trade.

Do not confuse proof of reserves with an audit
A proof-of-reserves report may be a point-in-time snapshot and may omit liabilities. It is not equivalent to an independent financial statement audit under SEC and PCAOB standards. In its 2023 bulletin on alternatives to financial statement audits, the SEC’s Office of Investor Education and Advocacy and Office of the Chief Accountant state: “Contrary to how they have sometimes been portrayed, proof of reserves, valuation, and calculation reports are not audit reports as defined by the PCAOB and the SEC.” Read the report’s scope and limitations rather than accepting the unqualified claim that a platform has been “audited.”

Verify the identities of individuals and firms through reliable sources, and inspect primary offering materials rather than relying on testimonials or screenshots. The SEC flags guaranteed high returns with little or no risk and unsolicited offers as reasons for caution. Its 2021 alert on digital asset and crypto investment scams also describes warning signs including unregistered sellers, rapidly rising displayed account values, fake testimonials, and promises that sound too good to be true.

These signs call for stopping and verifying; they are not, individually, a definitive fraud test. The alert recounts the SEC’s 2021 BitConnect case, in which defendants allegedly collected approximately 325,000 Bitcoin, valued at approximately $2 billion at the time. Those are historical allegations and values from that case, not a current valuation or a general measure of crypto investment losses.
Keep legal context and personal risk in view
Offering terms, applicable law, enforcement posture, and exchange access can change. The SEC materials cited here are U.S.-focused, and its investor bulletins are educational materials rather than individualized legal or investment advice. The SEC says legal treatment depends on the facts and circumstances; a project’s own label is not a reliable legal conclusion. Consider the rules that apply where you live and seek qualified legal advice when the classification matters.
Crypto assets and platforms can involve volatility, illiquidity, insolvency, hacking, malware, legal restrictions, fraud, opaque control, and loss of access or ownership when assets are held with an entity. Ask whether you can afford a total loss and whether the exposure fits your time horizon and broader plan. A project checklist can organize questions; it cannot make an uncertain investment safe.
Choose custody separately from project merit
Custody concerns how private keys are held, not whether a project is worthwhile. In self-custody, losing the key can permanently remove access to the assets. With a third-party custodian, the provider may fail, be hacked, or have terms that affect how assets are held or used. Compare withdrawal terms, fees, key control, security exposure, and what happens if the provider becomes insolvent before deciding how to hold an asset.
