Then test whether the company can sustain its margins and turn reported work into cash. The result should be a range tied to operating assumptions—not a single sector-wide multiple.
Keep public-market trading multiples separate from private-company sale benchmarks. The latter can offer context about what buyers have paid in transactions, but they do not establish the right multiple for a listed stock.
Start by defining the business you are valuing
“Engineering services” can describe businesses with very different economics. Establish what the company actually does before choosing peers or forecasting growth. Separate engineering and technical consulting from construction, installation, staffing, or other activities, and examine its mix of clients, end markets, fee structures, and delivery methods.
Also distinguish service revenue from pass-through amounts. A firm may report subcontractor or reimbursable costs as revenue even though those amounts do not represent work performed by its own employees. AECOM, for example, describes fee-for-service planning, consulting, design, and program management while also reporting pass-through subcontractor and direct-cost revenue. Bowman describes “net service billings” as gross contract revenue less pass-through and reimbursable expenses. These definitions matter when comparing reported revenue, margins, or revenue multiples.

Normalize the financials before applying a multiple
Use several years of issuer filings to understand the business through different operating conditions. Build a consistent view of revenue, operating income, EBITDA, cash from operations, capital spending, working capital, net debt, and diluted shares. Reconcile the company’s adjusted figures to its GAAP statements rather than accepting an adjusted EBITDA figure at face value: adjusted EBITDA is company-defined and does not replace reported results.
- Separate organic growth from revenue added through acquisitions, and identify acquisition-related costs or obligations.
- Review unusual adjustments, stock-based compensation, customer or project disputes, and other items described as nonrecurring. Consider whether an item is truly unlikely to recur.
- Compare earnings with cash from operations. Receivables, unbilled work, retainage where applicable, and working-capital needs can make accounting earnings a poor guide to cash available to investors.
- Use diluted rather than only basic share count when translating equity value into per-share value; consider options and other potential dilution.
Use public-company comparisons without assuming one “right” multiple
For listed-company comparisons, look for businesses with similar service mix, specialization, scale, margins, growth, geography, contract mix, and balance-sheet risk. Reconcile differences in accounting and in reported versus adjusted measures using each issuer’s own disclosures. Enterprise-value multiples help compare companies with different capital structures; equity-value measures such as price-to-earnings can be useful when earnings are positive and accounting is comparable.
The available sector benchmarks do not establish a current public trading-multiple range for an unnamed small-cap issuer. In particular, adviser-reported private transaction ranges should not be presented as public-stock comparables.
Private transaction figures are context, not listed-stock targets
Diamond Capital Advisors’ Q1 2025 report gives the following EV/EBITDA ranges for private engineering-services transactions. The figures are adviser-reported transaction benchmarks, not public-company trading multiples; they do not provide a matched public-peer set or all deal terms.

Do not average these ranges into a universal engineering-services multiple. Specialty and transaction context differ, and private sale values need not translate to the trading value of a small listed company.
Build a DCF as a separate cross-check
A DCF estimates value from the cash the business may generate, rather than applying a peer multiple. Forecast revenue and margins using explicit assumptions about utilization, hiring, pricing, backlog conversion, and end-market conditions. Deduct taxes, capital spending, and investment in working capital to estimate free cash flow. Discount forecast cash flows and terminal value using assumptions appropriate to the company’s risk and financing.
Show how the result changes when growth, margins, discount rate, or terminal assumptions change. A DCF is sensitive to those inputs, so a precise-looking single value can conceal substantial uncertainty. Use it alongside, not instead of, an earnings-based view.
Bridge enterprise value to equity value and per-share value
Enterprise value (EV) represents the value of the operating business before allocating it between debt and equity. To estimate equity value, deduct debt and debt-like obligations, add excess cash and other relevant assets, and divide by diluted shares. A simplified bridge is:

Equity value = enterprise value − debt and debt-like obligations + excess cash and other relevant assets
Value per diluted share = equity value ÷ diluted shares
Use the same definitions of debt, cash, and shares throughout the analysis. Acquisition obligations and other balance-sheet claims can affect the bridge; do not treat all cash as excess if the business needs it to operate.
Test the operating drivers behind the valuation
A multiple or DCF is only as credible as the earnings and cash flows beneath it. For an engineering-services company, examine whether people can be kept productively billable, projects can deliver expected margins, and contracted work can convert into collected cash.

Utilization and labor economics
Utilization is the proportion of labor charged to billable work. SC&H reports a buyer-preferred utilization range of 70%–80% for acquisition targets. Treat that as adviser-reported acquisition context, not a universal operating target or public-equity threshold. Assess the company’s own trend, hiring needs, staff mix, and ability to maintain billable work.
Project margins and revenue mix
Consider whether project margins are repeatable and whether reported revenue includes substantial pass-through or reimbursable costs. A high pass-through share can make revenue appear larger relative to the company’s own service activity. Compare the economics of the work, not just top-line growth.
Backlog and conversion
Assess what work is awarded, funded, scheduled, and likely to convert, as well as cancellation rights, expected timing, margins, and customer concentration. Backlog definitions can differ between companies. Bowman says its measure includes awarded contracted work and expected invoicing over an eighteen-month horizon for some open-ended engagements; it cautions that methods vary and its backlog is not reliable for peer comparison. Do not assume that a larger reported backlog means more certain or more profitable future cash flow.
Concentration, people, and delivery capacity
Revenue or utilization tied to a single customer, program, or project can be vulnerable to delays or cancellations. Evaluate customer and project concentrations alongside contract mix, rather than relying on aggregate backlog alone. Technical expertise and licensed staff are central to delivery, so consider retention, succession, recruiting needs, leadership depth, and dependence on a founder or a few senior professionals.

Cash conversion, claims, and balance-sheet risk
Review receivables, unbilled work, retainage where applicable, insurance, professional-liability exposure, debt, and acquisition obligations. Weak cash conversion can undermine an attractive-looking earnings multiple, while project claims or balance-sheet commitments may change the equity value left after enterprise value is bridged.

Build downside, base, and upside cases around explicit operating assumptions. For example, vary utilization, project margins, hiring or pricing, backlog conversion, working-capital needs, and growth rather than changing the valuation multiple without explanation. Calculate an equity-value range for each case, then compare it with the current market price using current issuer-specific market data. No company is specified here, so there is no current price, public peer selection, or target value to report.
When comparing several stocks, apply the same checks to each: specialization and service mix; end markets and geography; recurring versus project revenue; customer and project concentration; backlog definition, funding, and conversion; utilization and project margins; pass-through revenue; earnings and cash conversion; leverage; dilution; and leadership depth.
What the available benchmarks cannot tell you
Auxo Capital Advisors’ AEC Valuation Guide, last updated May 20, 2026, describes valuation as a diligence-driven outcome and emphasizes company-specific evidence. Engineering-sector guides are largely focused on business sales and acquisition underwriting; they can help identify value drivers, but do not determine fair value for every small-cap public stock. Auxo also notes that earnings, backlog conversion, margins, client transferability, management, working capital, geography, and deal structure affect outcomes.

SC&H also reports a 20%+ EBITDA margin as a buyer preference for acquisition targets. That is advisory guidance, not an observed industry-wide average or a public-company valuation rule. Diamond Capital Advisors’ Q1 2025 report says it analyzed over 2,000 transactions and describes engineering-services transaction volume as above 300 year over year since 2021; those are the report’s own transaction dataset and period, not counts of listed-company observations.
