Treat missing details as unknown—not as proof that the project is fraudulent, but not as a reason to assume it is sound. A presale label, white paper, audit, or legal disclaimer does not certify a project as safe or predict a return.
What a presale label does—and does not—tell you
“Presale” describes how a token is being offered; it is not, by itself, proof of legitimacy or a special legal category. The U.S. Securities and Exchange Commission’s May 29, 2024 staff alert describes promoters using a so-called presale to create demand for a memecoin before selling into the resulting hype. The alert is staff guidance, not a binding legal rule.
Whether a token offering falls under a particular law depends on the facts and the jurisdiction. Calling a token a “utility token,” describing a project as decentralized, incorporating offshore, or adding a disclaimer does not settle that question. No conclusion about a specific offer is possible without its terms and relevant facts.
Evaluate the offer in six steps
1. Identify the issuer and people behind it
Record the legal entity offering the token, its jurisdiction, the named team, advisers, and affiliated entities. Then verify those identities and roles using sources independent of the project’s website and social accounts. A profile, certificate, or social-media account is not self-authenticating.

The CFTC’s customer advisory, “Use Caution When Buying Digital Coins or Tokens,” recommends checking the individuals and entities listed as affiliates and identifies difficulty finding information about them as a red flag. The SEC’s “Investor Bulletin: Initial Coin Offerings” (July 25, 2017) also advises investigating the people and firms involved and checking relevant registration backgrounds. A name appearing in promotional material is a claim to verify, not verification by itself.
2. Translate the pitch into token rights and sale terms
Write down in plain language exactly what a buyer receives: for example, access to a service, a stated claim, a governance function, redemption rights, or another specified benefit. Distinguish rights described in binding sale terms from benefits promised in marketing. If the documents do not say what the token entitles its holder to, record that as undisclosed rather than inferring a right from the project’s plans.
Check the offer documents for the sale price and phases, how proceeds will be used, any minimum or maximum fundraising target, and what happens if a minimum is not reached. Look for the subscription period, payment methods, delivery timing, refund or redemption terms, transfer and resale restrictions, and any stated route to trading. Note whether vesting or technical requirements affect when or how you can hold or transfer the token.

ESMA’s MiCA single-rulebook disclosure list gives examples of information required in the specific context of an asset-referenced-token white paper. It includes offer size and goals, sale phases and price differences, refunds if a minimum target is missed, subscription period and payment methods, transfer timing, holding requirements, trading-platform access and costs where applicable, token rights, transfer restrictions, technology, risks, and audit outcomes if an audit was conducted. That is scoped regulatory material, not a universal checklist or legal rule for every presale.

Compare the stated use case with the actual product or service, its current development status, announced milestones, and resources allocated to delivery. Separate functionality that is already available from roadmap promises. Ask what must happen before the token can provide its claimed utility, who is responsible for making it happen, and what the offer says if delivery is delayed or abandoned.
A white paper can help explain a project, but it is promotional material and may be incomplete or misleading, as the UK Financial Conduct Authority warns in its guidance on initial coin offerings. Compare it with the specific sale terms, independently verifiable issuer information, project milestones, and technical documentation. A plausible-sounding business plan does not establish future demand or token value: the CFTC advisory notes that competition, technology changes, adoption, liquidity, and theft risk can all affect value.

4. Examine the code and any audit report
Ask whether the relevant blockchain is public, whether the token or sale contract code is published, and whether an independent cybersecurity audit exists. These are diligence questions, not pass/fail certifications. If an audit report is available, inspect its date, the contract and version it identifies, the scope reviewed, its findings, and any exclusions. Compare the contract covered by the report with the address and code actually used for the sale.
An “audited” label alone does not tell you what was reviewed or whether the deployed contract matches the reviewed version. The SEC’s 2017 ICO investor bulletin recommends asking whether code is published and whether an independent audit exists; it does not say that an audit guarantees safety.
5. Check legal claims in the relevant jurisdiction
For U.S. readers, the SEC’s April 22, 2026 educational overview, “Transactions Involving Crypto Assets,” summarizes an investment contract as involving an investment of money in a common enterprise with a reasonable expectation of profits derived from the essential managerial efforts of others. It says a crypto asset that is not itself a security may be offered subject to an investment contract, and that an offering involving promises of managerial efforts may be subject to federal securities laws if the other elements are met. This is a U.S. framework; it should not be applied as a universal rule.

For UK context, the FCA’s initial coin offering guidance says ICOs vary, can be high-risk and speculative, and whether a particular offering falls within the FCA’s regulatory boundary can be decided only case by case. The guidance was originally published in 2017; do not treat it as a determination of any particular project’s current status. In any jurisdiction, verify a claimed registration, exemption, or regulatory status against the relevant primary records where possible. The available facts and applicable law matter more than a label in a pitch.
6. Watch for manipulation and payment traps
Be especially cautious about guaranteed high returns, urgency, unsolicited approaches, claims based only on social media, or a person or organization impersonating a government body or celebrity. The CFTC advisory states: “There is no such thing as a guaranteed investment or trading strategy.” The SEC’s May 29, 2024 staff alert says, “Never make investment decisions based solely on information from social media platforms or apps.” Check claims against evidence outside the project’s own promotional channels.
Do not pay a new “tax,” withdrawal charge, or recovery fee simply because someone says it will release funds or recover a loss. The SEC alert describes fee demands and requests for private keys as scam tactics. Never disclose private keys to someone claiming to help recover assets.

Compare multiple presales with the same record
Use the same fields for each offer so that polished marketing in one project does not obscure missing information. For every entry, record “verified,” “claimed only,” or “not disclosed,” along with the source and the date you checked it. This is a comparison worksheet, not a validated scoring model.

A blank field is information: it means the offer has not established that point for your comparison. Do not fill it with assumptions or convert the worksheet into a safety score.
When to pause rather than send funds
- You cannot establish who is offering the token or independently check important claims about the team or affiliates.
- The token rights, use of proceeds, delivery timing, refund terms, or transfer limits are unclear or absent from the offer documents.
- The project’s central claims rest on future milestones, but the materials do not explain who will deliver them or what happens if they are not delivered.
- The sale relies on urgency, guaranteed returns, unsolicited pitches, impersonation, or social-media promotion instead of verifiable information.
- Someone asks for your private keys or demands additional money to release funds or recover a loss.
Do not treat this list as a formula for proving a project fraudulent or safe. It is a set of reasons to stop, verify claims through independent sources, and avoid sending funds while material questions remain unanswered.
