Before buying a “crypto ETF,” check what it actually holds, how it is legally structured, what it costs, how closely its shares track the crypto exposure, and whether its risks fit your investment plan. The label alone is not enough: U.S. spot bitcoin and ether exchange-traded products (ETPs) may be called ETFs, but the SEC says they are commodity trusts rather than investment companies registered under the Investment Company Act of 1940.
1. Identify the exposure and legal structure
Start with the fund’s prospectus, not its name or marketing description. A spot product holds the underlying crypto asset; a futures product holds futures contracts and gets exposure through those contracts. The SEC describes spot bitcoin and ether ETPs as holding the crypto itself, while futures ETPs hold futures contracts and are primarily structured as ETFs. These descriptions concern the U.S. products covered by the SEC bulletin, not every crypto-linked product or jurisdiction.
For spot bitcoin and ether products in the United States, the SEC says the exchange-traded products are commodity trusts, not investment companies registered under the Investment Company Act of 1940—even when a product is referred to as an ETF. The legal structure matters because it tells you what the product owns and which disclosures and protections apply. Read the specific product’s filings to confirm its structure and strategy.
2. Read the product’s disclosures
Use the summary prospectus to orient yourself, then check the full prospectus and latest periodic reports for details. SEC guidance says spot bitcoin and ether ETP filings disclose material factors that make an investment speculative or risky and points investors to EDGAR for filings: SEC: Exchange-Traded Products Providing Exposure to Bitcoin and Ether.

Check the following items in the product documents:
- Objective and strategy: What exposure does the product seek, and how does it try to provide it?
- Risks: Which risks are specific to the asset, the product’s structure, or its operations?
- Custody and service providers: Who is responsible for holding the assets or handling other key functions, and what risks do the filings describe?
- Creation and redemption: What do the filings say about how shares are created or redeemed?
- Fees: What sponsor or operating fees apply, and are there other costs investors should account for?
3. Compare total costs, not just the headline fee
Use the standardized fee table in the prospectus to compare sponsor or operating fees, then account for trading costs such as brokerage commissions and the bid-ask spread. A published fund fee does not capture every cost of buying and selling shares. The SEC explains how fees affect returns in its investor bulletin on fees and investment portfolios and its guidance on ETF costs and mechanics.

For spot crypto trusts, the SEC notes that the trust generally pays a sponsor fee. Because the trust does not generate income, the fee is paid from trust assets, reducing the amount of crypto represented by each share over time. When comparing products, consider both the stated fee and the trading costs you are likely to face; the lowest stated fee does not necessarily mean the lowest overall cost for your situation.
4. Check tracking, premiums and discounts, and trading spreads
An exchange-traded share can trade above or below its net asset value (NAV). If you buy above NAV, you pay more than the value of the fund’s assets per share; if you sell below NAV, you receive less. Crypto ETP share prices can also diverge from the underlying crypto exposure as investor demand changes or because of issuer issues or broader crypto-market events.

Look at the fund’s website and exchange information for:
- How the market price compares with NAV and the relevant crypto benchmark or reference price.
- Recent and historical premiums or discounts to NAV.
- The median bid-ask spread, which indicates the typical gap between quoted buy and sell prices.
- Whether tracking has varied over time, rather than assuming that the stated objective guarantees a precise match.
The SEC’s ETF investor guidance recommends reviewing objectives, holdings, risks, costs, NAV, closing market price, historical premiums and discounts, and median bid-ask spreads.

5. Compare products on a like-for-like basis
If you are considering multiple products, compare the same dimensions rather than choosing by name or a single fee figure. Record the information from each product’s current filings and available trading data; costs, holdings, spreads, and premiums or discounts can change.

6. Decide whether the downside fits your plan
The SEC warns that bitcoin and ether are highly speculative investments. It also flags volatility, possible loss, tracking deviation, and fraud or manipulation risks in underlying crypto trading platforms. An exchange listing does not remove risks in the underlying crypto market. Consider whether you could tolerate a substantial loss and whether this exposure fits your overall investment plan; this checklist is educational, not personalized investment advice.
