Check observable trading depth, who controls the pool and token contract, how supply is allocated, and whether promotional claims match primary documents. These checks can identify warning signs; they cannot guarantee safety or predict a token’s price.
Start with the question that matters: Can you actually sell?
A displayed price may come from a tiny trade or a thin pool. It is not proof that a larger sale can execute near that price. The SEC identifies volatility and illiquidity as crypto-asset risks and warns that a market may disappear or an asset may cease to be tradable. In its March 23, 2023 investor alert, the SEC also said: “The risk of loss for individual investors who participate in transactions involving crypto assets, including crypto asset securities, remains significant.”
For a token already trading
- Identify the venues where it actually trades and check whether the relevant markets and pools are independently observable.
- Look at pool composition and available depth, not just the latest price or a small recent trade. Consider how a sale of a realistic size might affect execution; thin depth can mean substantial slippage or no practical exit.
- Check liquidity changes over time rather than relying on one snapshot. Conditions can change, and a dated observation does not establish what is available now.
There is no universal safe liquidity or pool-depth threshold established by the SEC materials cited here. Whether depth is adequate depends on the token, venue, transaction size, and conditions when a trade is attempted.
For a pre-launch token
If trading has not begun, there is no live market depth to inspect and no demonstrated market exit. Treat claims about future liquidity, launch timing, or listings as unverified until there is observable evidence. A presale price is not evidence that a buyer will be able to sell after launch.

Check who controls liquidity and withdrawal rights
In a liquidity pool, liquidity-provider (LP) tokens can represent a holder’s share of the pool and may give that holder the ability to withdraw liquidity. The SEC’s January 16, 2025 complaint in SEC v. Eric Zhu describes this mechanism and includes project-specific allegations about claims that liquidity was locked. Those allegations concern that case; they are not a general finding about every token or project.
What “locked liquidity” should mean in practice
Ask for verifiable details, not just a badge or a statement on the project’s site:

- Which LP tokens or withdrawal rights are covered, and who controls them?
- What mechanism imposes the lock, and where can it be independently checked?
- How long does the restriction last, who benefits when it ends, and are there exceptions or other ways to withdraw liquidity?
A claimed lock that cannot be independently verified is not evidence of a restriction. Even a verifiable lock does not establish that the market will remain active, that buyers can sell at a particular price, or that other token risks are absent.
Trace token supply, insiders, and contract powers
Find primary documentation for the token’s allocation and administration. Look for team and insider holdings, vesting schedules, unlock dates, and the rights attached to the token. Concentrated or opaque ownership and control are risks identified by the SEC, but the cited sources do not establish a universally safe ownership percentage.

Questions to answer
- Who holds the supply, and what share is allocated to insiders, the team, investors, or a treasury?
- When can allocations be transferred or unlocked? Are dates and conditions documented?
- Who can mint additional tokens, pause transfers, upgrade the contract, or otherwise change its behavior?
- Are administrative powers controlled by a named party, a multisignature arrangement, or another mechanism? Can that arrangement and its current control be verified?
Attribute technical observations to the source and time they were checked. A contract explorer display or project dashboard can expose useful data, but it is not automatically an independent assurance opinion. Likewise, an “audit” label alone does not establish what was reviewed, by whom, when, or what limitations applied.
Test presale and promotional claims against primary documents
Presale language, social posts, urgency, celebrity promotion, guaranteed-return claims, or assertions that an exchange has vetted an offering are prompts to verify—not independent evidence. In its May 29, 2024 investor alert, the SEC warned about social-media promotion and presale patterns in which promoters encourage buying and price increases before selling, potentially leaving later buyers with a falling price. The alert says: “Never make investment decisions based solely on information from social media platforms or apps.”

Before sending money to an offering
- Identify the issuer and offering. Seek primary documents that say who is raising funds and what is being offered. If the responsible party or disclosures are unclear, do not treat a polished site as a substitute.
- Determine what the token conveys. Check whether it grants any rights, what those rights are, and what use—if any—the offering documents promise for proceeds.
- Compare claims with the stated terms. Look for supply and allocation, insider holdings, lockups, vesting or unlock conditions, and the conditions for any planned launch or listing.
- Verify claims independently. Confirm exchange-vetting claims, endorsements, dates, and launch details through sources independent of the promoter where possible. A claimed listing or vetting is not proof of SEC approval or a guarantee of legitimacy.
Legal treatment depends on the facts and jurisdiction; not every token can be classified from promotional language alone. SEC investor education materials describe risks and warning signs, not a token-specific legal conclusion.

A technical or financial-sounding credential does not by itself establish that a token is safe, liquid, or legitimate. For any audit, verification, or reserve report, check who produced it, what assets or systems it covered, when it was issued, and what limitations it disclosed.

The SEC’s investor bulletin on proof of reserves explains that proof-of-reserves reports are not equivalent to financial-statement audits. A reserve report therefore should not be presented as a complete audit or as assurance about a token’s market, issuer, liabilities, or ability to exit. Nor does a filing, exchange listing, or claim of exchange review amount to SEC approval.
Keep account security separate from token due diligence
Protecting an account or wallet helps protect access; it does not validate a token, its disclosures, or its liquidity. The SEC’s December 12, 2025 investor bulletin on crypto-asset custody advises: “Never share your private keys, or seed phrases.” It also recommends strong passwords and multifactor authentication and warns investors to watch for phishing.
- Never share a private key or seed phrase, including with someone claiming to offer support or verify an investment.
- Use strong, unique passwords and multifactor authentication, and check links and messages for impersonation or phishing.
- Do not mistake a hardware wallet or security key for protection against a bad token, a disappearing market, or fraud.
Use a stop-and-verify checklist
Before treating a low-liquidity token or presale as assessable, see whether you can answer these questions with dated, independently checkable evidence:
- Where does it trade now, and what depth is available for a sale of a realistic size?
- Who controls the pool’s LP tokens or withdrawal rights, and what exactly does any lock restrict?
- Who owns the supply, when do allocations unlock, and who can administer or change the contract?
- Who is behind the offering, what rights does the token convey, and do primary documents support the promotion?
- What exactly does each audit, report, or vetting claim cover, who issued it, and when?
If a material answer rests only on a promoter’s assertion, an unverified badge, or a future promise, record it as unverified—not as evidence that the risk has been resolved. The SEC sources cited here describe categories of risk and consumer guidance; they do not certify current market depth or the on-chain state of any unspecified token.
