Check the sale documents against token allocations, release controls, venue announcements and actual trading data. A presale label alone does not determine whether an offering involves securities; that depends on the facts and circumstances.
What is token vesting?
Vesting is a schedule or restriction that governs when an allocation of tokens may be released or transferred. A lockup is a restriction on transfer for a stated period or until a specified event. Projects may use these terms differently, so rely on the definitions and mechanics in the applicable sale terms, token documents and, where relevant, smart-contract code.
For each allocation, identify:
- Who receives it: presale buyers, founders, employees, the treasury, advisers or another category.
- How much is covered: the token amount or percentage of total supply.
- When release begins: the start date or triggering event, and whether there is a cliff before any tokens are released.
- How release proceeds: the cadence, such as periodic installments, and the date the schedule ends.
- Who controls the rules: whether an administrator, issuer or contract can pause, accelerate, change or override releases.
Compare these terms with total supply, initial circulating supply, planned minting or burning, and other reserved allocations. The SEC Division of Corporation Finance’s April 10, 2025 staff statement, Offerings and Registrations of Securities in the Crypto Asset Markets, gives examples of supply, vesting, lockup and authority disclosures relevant to securities offerings. Those examples are not a universal mandatory presale checklist.
When do presale tokens unlock?
There is no standard presale unlock date. It depends on the specific sale terms and the release mechanism for each allocation. Read the project’s published terms and tokenomics alongside any applicable offering disclosures; note their publication or update dates and any geographic eligibility limits.

Put each disclosed release stream on a calendar with its beneficiary, amount, start date, cliff, cadence and end date. Check whether the stated schedule is reflected in an independently verifiable contract or whether an administrator can control it. If you cannot verify the contract or the administrator’s authority, treat that as unresolved rather than assuming the published calendar is enforced automatically.
An unlock means tokens may become transferable under the relevant terms. It does not mean that holders will sell. A larger potential supply of tradable tokens may be one market factor, but the calendar alone cannot predict a price move or establish its direction or size.

Will the token be listed on an exchange?
Only a confirmed statement from the venue itself establishes that venue’s announced support for trading; a project’s own claim is not the same thing. Check the venue’s official announcement for the token, trading pair and timing, and distinguish a completed listing from a plan or conditional announcement. A listing announcement does not guarantee that trading will begin as described, continue, or have meaningful buyers and sellers.
Also distinguish what a platform calls itself from its regulatory status. Investor.gov’s January 14, 2020 alert about initial exchange offerings (IEOs) warns that platforms may imply registration or vetting inaccurately. That alert concerns IEOs, not every presale; apply its warning to a presale only where the arrangements are comparable.

How do I check whether a presale has liquidity?
Liquidity is the practical ability to trade a particular amount at a particular time without an excessive spread or price impact. A promise to add liquidity or hire a market maker is a plan to inspect, not proof of durable trading depth. SEC staff disclosure examples identify market-maker and liquidity arrangements as relevant information; they do not establish a universal threshold for adequate liquidity.
Before trading begins, look for specific, documented details about any liquidity or market-maker arrangement, including who is responsible and what the arrangement actually commits them to do. After trading begins, inspect public market data on the actual venue:

- Spread: the gap between the best available buy and sell prices.
- Trading activity: whether trades are occurring and whether volume persists over time.
- Depth and price impact: how much is available near the quoted price, and how far the price might move to execute the amount you are considering.
- Venue and trading pair: whether the data are for the venue and pair named in the project’s claim.
A quoted price or reported volume by itself does not show that a holder can sell a large amount near that price. Crypto-asset markets can be volatile and illiquid, and a market can disappear or an asset can stop trading, as the SEC’s March 23, 2023 investor alert, Exercise Caution with Crypto Asset Securities, cautions.
Can I sell tokens after they unlock?
Not necessarily. An unlock may remove a vesting restriction, but selling still depends on whether transfers are technically enabled, whether other contract or administrative restrictions apply, and whether a venue supports trading with buyers and sellers available at a workable price. Check the governing token terms and actual venue conditions; an unlock calendar is not a promise of an exit.

Do not treat a planned listing, audit, or market-maker arrangement as a guarantee that you can sell. The SEC investor alerts describe volatility and illiquidity risks, but the sources cited here do not establish a general rate of presale failures or quantify the typical price effect of an unlock.

- Find the primary documents. Locate the issuer’s sale terms, token allocation information, white paper or technical documentation, and any applicable offering disclosures. Record when each was published or updated and which countries or investor categories are eligible.
- Reconcile supply and allocations. Compare total supply and initial circulating supply with presale, founder, team and treasury allocations. Look for planned minting or burning and identify who has authority to change supply or related rules.
- Map each release schedule. Record the recipient, amount, cliff, start, cadence and end date for each vesting stream. Compare scheduled releases with planned circulating supply and check what contract or administrator implements them.
- Check the audit’s scope. Find out whether a third party reviewed the code or smart contracts, who performed the review and what it covered. An audit is evidence of a review with a particular scope; it is not a guarantee against defects, later changes or misuse.
- Verify trading claims independently. Compare the project’s listing and liquidity statements with announcements from the named venue and, once trading begins, with market data for that venue and pair.
- Check the issuer and claims. Look for a clearly identified issuer, a description of how proceeds will be used, and evidence supporting statements about reserves, insurance or asset backing. Review conflicts and legal disclosures, too. Investor.gov’s 2023 alert notes that unregistered crypto offerings may lack important information, such as audited financial statements.
- Assess the offering in context. A presale label, a SAFT, or promotional language does not resolve the legal classification. The SEC’s July 25, 2017 ICO investor bulletin is historical guidance stating that securities treatment depends on facts and circumstances; it should not be read as a complete statement of current law. The SEC Division of Corporation Finance FAQs issued September 25, 2026 and updated September 28, 2026 expressly describe staff views that have no legal force or effect and create no obligations. They discuss how promotional communications can relate to promised managerial efforts depending on the facts. For a particular project, jurisdiction or investor, the answer requires project-specific legal analysis.
- Reject effortless-return promises. The SEC’s 2017 bulletin says, “There is no such thing as guaranteed high investment returns.” Treat promises of high returns with little or no risk as a warning sign, not a credible guarantee.
In an April 17, 2026 enforcement release, the SEC described allegations that the founder of Bitcoin Latinum and affiliated companies defrauded investors in a $16 million securities offering involving a Simple Agreement for Future Tokens (SAFT). The release concerns allegations in one case; it is not a finding about all SAFTs, proof that all such agreements are unlawful or fraudulent, or a measure of how often presales fail. The cited sources provide no reliable representative statistic for presale failure rates, unlock-related declines, liquidity survival or promised versus actual listings.
How can I compare two presales without guessing?
Compare disclosed, verifiable terms rather than assigning a score based on a single headline claim. SEC disclosure examples support examining several of these dimensions in securities-offering contexts, but they do not provide scoring weights or rank projects.
- Total supply, initial circulating supply and allocation by category.
- Amounts and timing of unlocks, including founder, team and treasury releases.
- Who can change supply, upgrade or vesting rules.
- Whether liquidity or market-maker arrangements are documented.
- A named venue’s confirmation versus a promoter’s assertion.
- Issuer identity, sale terms, jurisdiction and quality of disclosures.
- Audit provider and scope, if a smart-contract audit is claimed.
- Stated utility and milestones compared with functionality already delivered.
If a material detail is absent or cannot be independently checked, record it as unknown. No project is named here, so no particular token’s contract, supply, listing, legal status or market depth can be established from these general checks.
