But share ownership is only part of the picture: Alibaba’s Partnership has special rights to nominate or, in limited circumstances, appoint directors, and some China-based operations use contractual VIE structures rather than direct equity ownership by the listed parent.
Who owns Alibaba Group?
Alibaba Group Holding Limited is the listed parent, incorporated in the Cayman Islands. Its ordinary shares trade on the Hong Kong Stock Exchange under 9988 (HKD counter) and 89988 (RMB counter); its American depositary shares trade in New York under BABA. Alibaba describes the parent as a holding company that does not itself directly conduct business operations.
Investors own shares in that parent. The parent in turn holds subsidiaries and has contractual arrangements with certain operating entities. Those are distinct layers: owning Alibaba shares is not the same as directly owning a stake in every company or entity that carries out Alibaba-branded operations.
What the latest dated share figures show
Alibaba’s FY2026 annual report states that 19,134,051,238 ordinary shares were in issue as of March 31, 2026. It reports one class of ordinary shares, with one vote per share. That share count is a dated figure, not a live total or a breakdown of who owns each share.

The report identifies interests held by directors and executive officers, including Joe Tsai’s direct and attributed interests. Those interests include holdings through different arrangements, such as shares held by his spouse, a foundation-related proxy, and entities for which he was sole director. Such reported beneficial-ownership figures depend on the filing’s definitions and should not be read as a complete, current register of all investors.
Does Jack Ma still own Alibaba?
The ownership information summarized in Alibaba’s FY2026 annual report does not establish a current exact shareholding for Jack Ma. It therefore does not support a precise claim about how much he owns today, or a claim that he controls Alibaba through share ownership. Alibaba is publicly traded, and a founder’s historical role is separate from a dated disclosure of current shares or voting rights.

Does SoftBank still own Alibaba?
Alibaba’s FY2026 annual report says SoftBank Group was no longer a major shareholder as of the relevant date in that report. That does not establish that SoftBank held no shares at all; it means old descriptions of SoftBank as a large shareholder should not be presented as current without a newer filing that supports the claim.
Alibaba’s filings index showed new beneficial-ownership statements through October 2, 2026. A precise position after the annual-report snapshot depends on the underlying filing, including its reporting date and whether it reports ordinary shares, ADS equivalents, or attributed interests. The index alone is not a complete current cap table.

Ownership of shares and rights over board composition are different. Each ordinary share carries one vote, but the Alibaba Partnership has a separate right under the company’s articles to nominate—or in limited circumstances appoint—up to a simple majority of the board. Shareholders vote on Partnership nominees at annual general meetings, and the annual report also describes interim appointment rights and conditions on the Partnership’s authority. Alibaba says these nomination rights make it a weighted-voting-rights issuer under Hong Kong Listing Rules.
Partnership rights versus the board at the report date
The Partnership is a management governance body, not a separate class of shares. Its internal decisions use one-partner-one-vote. Alibaba’s FY2026 annual report counted 18 Partnership members and described a ten-member board: six independent directors nominated by the Nominating and Corporate Governance Committee and four Partnership nominees. These are figures for the report’s stated date. The Partnership’s right to nominate up to a simple majority does not mean it had a board majority in that reported composition.

In the report’s words, “all partnership votes are made on a one-partner-one-vote basis.”
What is Alibaba’s VIE structure?
For some businesses in mainland China, where foreign investment is restricted, Alibaba uses variable interest entities (VIEs) and contractual arrangements. The FY2026 Form 20-F describes an enhanced arrangement in which a VIE is typically held by a PRC limited liability company, itself owned directly or indirectly through two PRC limited partnerships.

The contracts are intended to give the listed group specified economic benefits and control over the relevant business. They are not the same as direct equity ownership of the VIE by Alibaba Group Holding Limited or by an Alibaba shareholder. Alibaba warns that contractual arrangements may not be as effective as direct ownership and that a counterparty’s failure to perform could harm the group. These legal and enforcement risks are separate from the ordinary risk that Alibaba’s share price may rise or fall.

When two sources give different ownership figures, check what each figure actually measures before comparing them:
- Reporting date: A shareholding is a snapshot; a later filing may report a different position.
- Security type: Distinguish ordinary shares from ADSs and any conversion or equivalent figures the filing provides.
- Direct versus attributed interests: Beneficial-ownership disclosures can include holdings associated with other people or entities under the filing’s rules.
- Economic interest versus governance: Shares carry votes, while the Partnership has separate board-nomination rights.
- Equity versus contracts: Direct ownership of a subsidiary is different from rights created by VIE contractual arrangements.
For exact current holdings, use the underlying ownership filing and its stated date and definitions rather than a historic percentage repeated without context.
