Tyco International agreed in September 1999 to buy Siemens AG’s Electromechanical Components business for about $1.1 billion in cash. The deal closed on November 23, 1999, adding a major relay supplier with roughly $900 million in annual sales to Tyco’s electronics operations.
What Tyco bought from Siemens
The transaction covered Siemens Electromechanical Components GmbH & Co. KG and related electromechanical-components assets in the United Kingdom and Italy, according to the European Commission’s merger decision. Tyco described the business as the world market leader for relays and a leading supplier of components to communications, automotive, consumer and general-industry customers. Its annual sales were approximately $900 million, according to Tyco International’s 1999 annual report.
Price and timing of the deal
Tyco announced the agreement on September 28, 1999. The company’s 1999 annual report records that the acquisition closed on November 23 for approximately $1.1 billion in cash. Siemens described the consideration at announcement as about DM2 billion and said the transaction required antitrust approval before closing. Why Tyco wanted the business
Tyco sought to expand its electronics platform with a substantial components business serving several end markets. Contemporary coverage said Siemens’ operation would be integrated into Tyco Electronics’ Telecommunications and Electronics segment, creating a world leader in passive electronics products. The relay business also gave Tyco an established position in a product category used across communications, automotive and other industries.

Tyco’s 2000 annual report later reflected positively on the electronics acquisitions: “Our decision to invest heavily in electronics by acquiring Siemens Electromechanical Products and Thomas & Betts’ OEM business, among others, has turned out better than we could have imagined.” The statement appeared in Tyco International’s shareholder letter, not as a quotation attributed to a named executive. Why Siemens sold the unit
Siemens presented the divestiture as part of a program to improve profitability and separate its components activities. The sale therefore fit different strategic aims on each side: Siemens was reshaping its portfolio, while Tyco was adding scale in electronics.

How the acquisition fit Tyco’s buying binge
The Siemens deal was one of Tyco’s largest purchases during a period of broad expansion.
