Avnet bought selected European operations of VEBA Electronics, not the entire business. The acquisition, completed on 31 October 2000, added component distribution, logistics and computer-systems distribution to Avnet’s European operations. It was one part of a wider breakup in which other buyers took VEBA businesses in Europe and the United States.
What did Avnet buy from VEBA Electronics?
The European Commission’s 18 October 2000 decision describes Avnet as gaining sole control of part of VEBA’s European electronic-components distribution business and all of its European electronic-systems distribution business. Avnet reported that it completed the purchase on 31 October 2000.
The acquired operations spanned several businesses. In its decision, the Commission names EBV Electronic, Distron, WBC and Atlas Logistic Service among the component-distribution and logistics operations, with activities across the European Economic Area. It describes RKE Systems as VEBA’s European electronic-systems distributor, active throughout Europe. Avnet’s later filing groups its purchase as the Germany-headquartered EBV Group, Atlas Services Europe and Germany-based RKE Systems; those corporate groupings are not identical word-for-word to the Commission’s list.
The distinction between components and systems matters. The component businesses distributed semiconductors, interconnect, passive and electromechanical components. Distributors also offered services such as technical support, customization and supply-chain management to original equipment manufacturers and contract manufacturers. RKE Systems, by contrast, distributed computer products and related hardware and software. The deal expanded Avnet’s business-to-business distribution activities; it was not the acquisition of a consumer electronics brand.

Who bought the rest of VEBA Electronics?
The VEBA transaction was a consortium breakup rather than a sale of the entire electronics business to Avnet. The European Commission records Avnet, Arrow Electronics and Schroder Ventures as participants in the transaction. Avnet took the selected European operations described above; Schroder acquired Memec, the remaining European electronic-components distributor, and Arrow acquired VEBA’s US electronic-components and systems businesses.
Avnet reported approximately $740 million for its portion, including assumed debt and subject to closing adjustments. Separately, Avnet reported that the companies it acquired had combined calendar-year 1999 sales of approximately $1.8 billion, calculated using average 1999 exchange rates. These are historical company-reported figures, not present-day valuations.

The same Avnet filing puts the consortium’s overall purchase agreement at approximately $2.35 billion, including assumed debt. That larger figure covers the broader transaction and should not be confused with Avnet’s individual portion.
How did the VEBA deal expand Avnet in Europe?
One reason EBV is a significant part of the story is its existing European distribution presence. EBV’s company timeline says it was founded in 1969, acquired by Raab Karcher (identified there as VEBA) in 1996, and acquired by Avnet in 2000. EBV currently describes itself as a European semiconductor distributor with design expertise, application know-how, value-added services and logistics solutions.

Avnet later connected the 2000 EBV acquisition to the way it organized its European business. In a 2018 EMEA leadership announcement, Avnet said it had built the European operation around focused business units, supported by shared logistics and infrastructure. It described integrating later EMEA acquisitions by combining units or forming new ones around technical and product strengths—such as semiconductors and IP&E (interconnect, passive and electromechanical components)—or logistics needs.
That account supports viewing the VEBA purchase as an important early building block in Avnet’s European model. It does not show how much of Avnet’s current sales, geographic reach or market position is attributable to this acquisition alone.

What did regulators decide?
The European Commission received notification of the operation on 15 September 2000 and issued a non-opposition decision on 18 October 2000. It concluded that the notified operation “does not raise serious doubts as to its compatibility with the common market and the EEA agreement.” That was a regulatory conclusion about the notified transaction, not an assessment of its later commercial results.
