In June 2008, Cadence Design Systems proposed a hostile, all-cash acquisition of Mentor Graphics at $16.00 per share. A contemporaneous headline said an analyst thought the deal made sense, but the searchable archive does not identify that analyst or preserve the reasoning behind the view. Another headline reported a contrasting assessment: that the merger was “a bad idea.”
What Cadence offered for Mentor Graphics
Design & Reuse’s archive dates Cadence’s proposal to June 17, 2008. It reports an offer of $16.00 per Mentor share in cash and describes the transaction as having a $1.6 billion enterprise value on a fully diluted basis. The archive also reports that Mentor had $69 million in net debt. These are the proposal figures reported at the time, not evidence that a transaction closed. What “makes sense” does—and does not—tell us
A June 19, 2008 headline in the same archive reads “Cadence-Mentor deal makes sense, says analyst.” That establishes that an analyst publicly endorsed the proposal in broad terms. It does not establish the analyst’s identity or explain whether the judgment rested on price, product strategy, possible synergies, or another consideration. The archive does not preserve the underlying article’s detailed rationale or assumptions.
Why the analyst view was not unanimous
The archive also lists a separate headline, “Analyst: Cadence/Mentor merger ‘a bad idea’.” Thus, contemporaneous coverage included opposing analyst assessments. The available archive page does not identify the authors or explain either headline’s reasoning, so it cannot support a reliable comparison of their valuation arguments, strategic views, or risk assessments.

Was the proposed bid hostile, and did it happen?
The archive describes Cadence’s proposal as a hostile bid for Mentor Graphics and associates it with Cadence chief executive Michael J. Fister. Its commentary says, “History will be the final judge of Michael J. Fister’s decision to make a hostile bid for Mentor Graphics Inc.” The page does not attribute that sentence to a named person, so it is best understood as publication commentary rather than a quotation from an identified source.
The cited archive establishes that Cadence made a proposal; it does not establish the transaction’s eventual outcome. On this evidence alone, it would be inaccurate to say that Cadence acquired Mentor Graphics.
