Before signing a bookkeeping service agreement, confirm exactly what work is included, when it will be delivered, how fees can change, who controls the accounting records and accounts, and what happens when the engagement ends. The agreement should let you obtain complete, usable books and supporting documents—not just depend on the provider’s continued access to its systems.

This checklist is general guidance for U.S. small businesses, not legal advice. Applicable law and the right terms depend on your jurisdiction, the services, and the data involved.

What should a bookkeeping service agreement cover?

“Bookkeeping” is too broad to define a useful engagement on its own. The contract should set out the tasks, deliverables, schedule, price, responsibilities, access and security arrangements, record handling, and exit process. Use the questions below to identify gaps; they are practical review points, not a claim that every clause is legally required. Commercial agreement examples commonly address scope, fees, access, and termination, but they do not establish a universal legal standard (LegalZoom bookkeeping contract examples).

Is the scope specific enough?

List only the tasks the parties actually expect the bookkeeper to perform. Possible tasks include categorizing transactions, reconciling accounts, supporting accounts payable or receivable, entering payroll data, and preparing monthly financial statements. For each, clarify the frequency and what counts as complete.

  • Deliverables: Identify reports, their format, and where they will be delivered.
  • Close and deadlines: Set the monthly close schedule and delivery dates. Explain how late or incomplete information from the client affects timing.
  • Review and approval: State who reviews reports and approves transactions or adjustments.
  • Exclusions: Say explicitly whether tax-return preparation, tax advice, audit representation, bill payment, payroll filings, or financial planning are included. Do not assume these are part of bookkeeping unless the contract says so.
  • New work: Specify how either party can request additional work, how its price is approved, and whether it changes deadlines.

How will fees and extra work be calculated?

Identify whether the fee is fixed, hourly, tiered, or based on transaction volume, and spell out the assumptions behind it. A quoted base fee is hard to compare if one provider includes more accounts or transactions than another.

  • Ask what the base fee covers, including the number of accounts, entities, or transactions, if limits apply.
  • Check the rates or pricing method for cleanup and catch-up work, amended periods, extra accounts, rush requests, and additional meetings.
  • Review when invoices are issued, when payment is due, whether expenses are billed separately, and what happens if you dispute a charge.
  • Find out how price changes are communicated and how much notice you receive before they take effect.
  • Check any late-payment terms and whether unpaid fees affect ongoing work or access to records.

Do not compare providers on the base price alone; compare the expected cost for your actual workload and likely additional requests.

Who does what, and who controls access?

The agreement should make the client’s and provider’s responsibilities clear. Specify which receipts, statements, invoices, and other records the client supplies, when they are due, and who approves transactions and reports. If the bookkeeper can initiate payments or payroll actions, state the permitted actions and approval controls.

Name the accounting platform and clarify who owns the account, what permission levels the provider receives, and how credentials and authentication are handled. Make sure you can retrieve a complete native accounting file and the supporting source records in a usable form.

Keep the IRS distinction in view: outsourcing electronic record services does not transfer or remove the taxpayer’s recordkeeping responsibility. The IRS says a taxpayer’s use of a third party for services involving machine-sensible records “does not relieve the taxpayer of its recordkeeping obligations and responsibilities” (IRS Publication 583, Starting a Business and Keeping Records). The contract should support your ability to access and substantiate your own tax records.

How will confidential data be protected and handled?

Financial and personal information can be sensitive. Look for terms addressing how the provider may use and disclose it, which employees or subcontractors may access it, what safeguards apply, and how a suspected security incident is escalated and reported. Ask about backups, retention periods, and secure return or deletion of records when the engagement ends.

IRS Publication 5708 offers information-security planning topics for tax and accounting practices, including access, incident response, and retention. It can help you frame questions, but it is not proof that every suggested control is legally mandatory for every bookkeeping contract (IRS Publication 5708, Creating a Written Information Security Plan for Your Tax & Accounting Practice).

There is a separate, narrower case for federal tax information handled under a government arrangement. IRS Publication 1075 includes specific contract safeguards for authorized access, confidentiality, and subcontracting; it should not be treated as a general statutory checklist for an ordinary small-business bookkeeping engagement (IRS Publication 1075).

  • Whether there is a cure period for a breach, if applicable, and what fees remain payable.
  • What work, final close, and reports the provider will complete through the end date.
  • Which records and files will be returned, in what format, and by when.
  • Whether the provider will help with migration or transition, how that support is priced, and whether cleanup is billed separately.
  • When system access will be removed, and what copies or workpapers the provider may retain and for how long.

Commercial contract examples commonly flag termination and handoff, but the right notice period and the legal effect of the clause depend on the wording and applicable law (LegalZoom bookkeeping contract examples). Avoid an arrangement where leaving the provider makes you unable to access your own accounting data.

What liability and legal terms deserve review?

Read any liability cap, indemnity, and exclusions carefully. Check what the agreement says about claims involving errors, negligence, confidentiality breaches, data incidents, and unpaid fees; do not assume a particular cap is standard or enforceable. The appropriate terms depend on the contract and jurisdiction, so obtain local legal advice if the potential exposure is material.

Also check the governing law and dispute venue, how amendments must be made, and whether electronic signatures are addressed. The practical examples cited above do not establish state-specific requirements or guarantee that any particular clause is enforceable.

How can you compare two agreements?

Review both contracts against the same questions rather than comparing headline fees alone:

  1. What work is included, what is excluded, and when are deliverables due?
  2. What will the service likely cost after limits, overages, and exit charges?
  3. Which records and approvals are the client’s responsibility, and what actions can the provider take?
  4. What safeguards cover confidential data and access?
  5. Can you retrieve complete, usable accounting files and supporting records, and what happens to provider copies?
  6. How do termination, handoff, and transition assistance work?

A sound agreement makes those answers explicit enough that both parties can follow them—and that you can keep control of your records if the relationship ends.
