Microsemi announced a signed acquisition agreement on September 10, 2014, then confirmed completion on September 16 through CNT Acquisition Corp., its wholly owned subsidiary. The transaction was therefore completed, not just proposed. Microsemi’s September 10 announcement and September 16 completion release reported that closing was subject to customary conditions and that the terms were not disclosed.
How much did Microsemi pay for Centellax?
The companies did not disclose Centellax’s individual purchase price. What happened after the acquisition?
Microsemi said it immediately integrated the acquisitions into its existing operations, engineering groups, sales distribution networks and management structure. Because the businesses were integrated, it was impracticable to determine their separate post-acquisition sales and earnings.
