A polished website, white paper, exchange listing, or regulatory filing does not prove an investment is legitimate or safe. These checks can expose unanswered questions and warning signs, but no checklist can certify that you will not lose money.
Start by identifying who is asking for your money
Write down the full names of the token issuer, project operator, founders or developers, promoters, platform operator, and any person or entity that will receive your funds. Include the legal names as well as the names used in the promotion. If funds are directed to a wallet, record the address and who says it controls that wallet.
Verify identities independently. Do not treat a profile, testimonial, group-chat introduction, copied logo, or polished website as proof that a person represents the project or a regulated firm. Compare the names and contact details in the promotion with records from the relevant official regulator or corporate authority. A filing shown by a promoter is not, by itself, proof that the person or firm is registered.
If you cannot establish who is responsible for the offer or where your money is going, pause rather than filling in the gaps with assumptions. Not finding a record does not by itself prove fraud; it does mean the claim remains unverified until you can resolve it through reliable, independent sources.

Turn the pitch into claims you can check
Separate statements of fact from forecasts, opinions, and promises. For each factual claim, ask what evidence would confirm it and whether that evidence comes from someone independent of the promoter.
- What exists now? Identify the working product or service, who can use it, and what can be demonstrated outside a presentation or promotional video.
- What is still planned? Record future milestones and the dates or conditions attached to them. A roadmap or white paper describes plans; it does not show that they have been completed.
- What does the project say the token does? Compare the marketing language with the token’s documented rights, transfer rules, and any conditions imposed by the issuer or platform.
- Who controls important decisions? Find out who can change the software, supply, fees, access rules, or project direction, and what happens if those people stop working on it.
- Where will funds go? Compare the stated use of proceeds with available disclosures and the arrangements described in the offer.
- How is the claimed value supposed to arise? Ask whether it depends on actual use, demand, revenue, scarcity, future buyers, or decisions made by a small group—and what evidence supports those assumptions.
Public source code, where available, can help establish what code says, but does not prove that a product works as advertised or that the project is sound. An audit can identify issues within its scope; it is not a guarantee that code is safe or that the investment will succeed.
Find out exactly what rights the token gives you
Read the offering documents and token terms for what a holder can actually do—not just labels such as “utility,” “governance,” or “community.” The SEC’s July 25, 2017 Investor Bulletin: Initial Coin Offerings recommends asking what the proceeds will fund, what rights a token provides, and whether and how a buyer can exit or resell. The bulletin predates later SEC interpretations, but those diligence questions remain useful.

Check whether ownership gives you any right to use a service, vote, redeem the token, receive a refund, claim an asset, or share in anything. A token may provide none of these. Where a right is promised, identify the party obligated to honor it and the conditions, limits, or exceptions that apply.
- Supply and issuance: Look for the current supply, how new tokens may be issued, who can authorize changes, and whether insiders or the project hold tokens subject to different terms.
- Transfer and resale: Check restrictions, lockups, eligibility rules, and whether any stated resale route depends on a particular platform or market.
- Exit and failure: Determine whether there is a redemption, refund, or other exit right—or simply the possibility of selling to another buyer. Ask what happens to access and token utility if the project closes or changes direction.
- Decision-making: Identify who can alter the rules or administer governance, and whether a holder’s vote is binding or advisory.
Do not infer legal status from a token’s name, its current trading venue, or a marketing category. The SEC’s March 17, 2026 interpretive release, effective March 23, 2026, discusses crypto-asset categories and circumstances in which a non-security crypto asset may be offered subject to an investment contract or may later separate from that contract. Its April 22, 2026 explanation describes the Howey factors as an investment of money in a common enterprise with a reasonable expectation of profits derived from the essential managerial efforts of others. Applying that test depends on the facts; it is not a label-based shortcut or a determination an investor can make from a token ticker alone.
The SEC Division of Corporation Finance’s September 25, 2026 FAQs say that whether marketing communications amount to representations or promises of essential managerial efforts depends on the facts and circumstances. The page identifies its answers as staff views, not a rule or regulation, and says the Commission has neither approved nor disapproved them; they have no legal force or effect. Treat those FAQs as staff guidance, not binding law or a ruling on a particular token.

Challenge the value and return story
Ask what must be true for the token to retain or gain value, and which parts of that case can be verified today. Relevant factors include real demand for the product or service, adoption, competition, liquidity, technological changes, forks, and whether the token can become obsolete or lose its connection to a service. Also consider the possibility of theft and the practical limits on selling when you want to.
The CFTC’s July 2018 customer advisory says there is no widely accepted standard for valuing a digital coin or token. It also cautions that buying only in expectation of selling at a higher price is speculation, even when a white paper, application, or business plan looks persuasive. A forecast is not evidence of a dependable exit price. Treat a promise of guaranteed returns as a warning sign, not as a valuation method.

First establish the platform’s full legal name, home jurisdiction, custody model, withdrawal conditions, and the exact services it provides. The same brand may be associated with different entities or services in different places. Identify which legal entity would hold assets, execute trades, or receive your money.

Then check the official records and disciplinary history of the regulator responsible for that activity and jurisdiction. A registration for one service does not establish registration for another. If the platform claims a particular registration, compare the legal entity and permitted activity in the official record with what it is offering you.
The word “exchange” does not establish that a platform is a registered securities exchange. Nor does an agency filing, claimed listing review, or statement that a platform vets tokens show that the government approved the platform or the token. The SEC’s January 14, 2020 Initial Exchange Offerings (IEOs) – Investor Alert warns that platforms may improperly call themselves “exchanges” and that claimed due diligence may be used to attract investors. Registration, where applicable, is not a government endorsement or a guarantee against loss.
Regulatory requirements vary by activity and location. If you cannot determine which entity provides the service, which regulator oversees that activity, or what a claimed registration covers, treat those points as unresolved—not as proof either of legitimacy or fraud.

Inspect how the offer reached you and what it asks you to do
Investor.gov’s Common Scams, last reviewed July 16, 2026, describes tactics such as building trust through social messages, impersonating trusted professionals or agencies, coordinating a group to buy and “pump” an asset before promoters sell, and demanding fees to withdraw funds or recover losses. Be particularly cautious if a promotion combines any of these tactics:
- Unsolicited contact through social media, messaging apps, or a group chat, followed by pressure to move the conversation or act quickly.
- High returns presented as guaranteed or low-risk, without a credible explanation of how they would be generated.
- Secrecy about the trading method, pressure not to consult others, or claims that a deadline means you must send money immediately.
- A celebrity or purported expert used as the main evidence, rather than verifiable project facts and terms.
- Claims of regulatory approval supported only by a screenshot, filing number, or logo supplied by the promoter.
- A displayed account balance or trading profit that you cannot independently verify, especially if a withdrawal is blocked until you pay a new tax, unlock, or recovery fee.
- Pressure to recruit other buyers as a condition of earning returns or receiving benefits.
In a September 29, 2026 announcement, the SEC said it had filed charges in two cases alleging that entities used WhatsApp and other channels, claimed regulatory legitimacy, promised trading returns, and displayed fictitious profits; the SEC said investors seeking withdrawals were asked to pay advance fees. These are allegations in complaints, not findings of guilt. The pattern is a practical reason to verify a platform and withdrawal demand independently before sending any additional money. A new payment request does not itself establish that a tax, fee, or recovery service is genuine.
Compare offers using evidence, not a made-up score
If you are weighing more than one project or promotion, record the same kinds of evidence for each. This comparison framework is a practical way to organize checks, not an official scoring model. Avoid assigning numerical scores when the underlying claims are not reliably comparable.

Pause, preserve evidence, and report suspected fraud
Do not send funds or disclose sensitive identity or financial information while the people, entity, terms, or payment destination remain unclear. If you suspect fraud, preserve the original promotion and messages, account details, wallet addresses, transaction hashes, payment instructions, and records of any attempted withdrawal or fee request. Keep copies in a place you control.

Report the matter through the official channels of the regulator or law-enforcement authority relevant to your location and the activity. The SEC and CFTC, together with Investor.gov, have published warnings about crypto promotions and fraudulent trading websites; the appropriate reporting body depends on the facts and jurisdiction. Preserve evidence before blocking or deleting contact, and do not pay someone claiming they can recover funds unless that claim is independently verified.
