Cisco announced its plan to acquire Duo Security on August 2, 2018, for $2.35 billion in cash plus assumed equity awards. The deal closed on October 1, 2018. Cisco added Duo’s cloud-based multifactor authentication and device-health checks to strengthen how it secured access to applications across networks and multicloud environments.

How much did Cisco pay for Duo, and when did the deal close?

Cisco announced the acquisition on August 2, 2018, and completed it on October 1, 2018. The consideration was $2.35 billion in cash, together with assumed equity awards, for 100% of Duo’s outstanding shares, warrants, and equity incentives on a fully diluted basis. Cisco’s 2018 Form 10-K also recorded approximately $2.35 billion of agreed consideration.

Why did Cisco buy Duo Security?

Cisco said Duo was a strategic addition to its security portfolio. Its technology could help verify both a user’s identity and the health of the device being used before allowing access to applications. That approach supported more secure access across networked devices, rather than relying only on a user’s credentials.

Cisco also presented the deal as a way to extend its intent-based networking strategy into multicloud environments. It said the combination would help simplify cloud-security policy and expand endpoint visibility.

What did Duo add to Cisco’s security portfolio?

Duo provided cloud-based unified access security and multifactor authentication (MFA). In practical terms, MFA asks a user to prove identity using more than one factor; Duo’s service also assessed device health before granting access. These checks fit the zero-trust principle of evaluating access rather than treating a device’s presence on a network as sufficient proof of trust.

Cisco planned to integrate Duo with its network, device, and cloud security platforms. The intended result was a more connected way to help customers control access to applications across networked devices and cloud environments. Cisco’s 2018 Form 10-K said Duo revenue would be included in its Security product category.

How was Duo integrated into Cisco?

Duo CEO and co-founder Dug Song and the Duo team joined Cisco’s Networking and Security business, which was led by Executive Vice President and General Manager David Goeckeler, according to Cisco’s closing announcement. This placed Duo’s access-security capabilities within Cisco’s existing networking and security organization.

What the acquisition does—and does not—establish

The deal explains Cisco’s strategic rationale and the capabilities it sought to add; it does not, by itself, establish how Duo compares with other identity-security products today. A product comparison would need current evidence on authentication methods, device-trust checks, application and network integrations, cloud or on-premises delivery, multicloud policy management, endpoint visibility, and deployment complexity. The cited transaction materials do not provide competitor pricing or test results.
