NTT DATA completed its acquisition of Dell Services in November 2016, adding substantial North American scale and a wider set of industry, outsourcing, application, and infrastructure capabilities. For partners, that created plausible opportunities to complement larger enterprise solutions—but the public record does not show that any particular third-party partner’s contract, certification, channel status, revenue, or economics changed.

What NTT DATA acquired—and when the deal was completed

NTT DATA and Dell announced a definitive agreement on March 28, 2016. Dell Services brought infrastructure, cloud, application, and business-process outsourcing (BPO) services, along with experience in industry-specific markets. The deal was not fully transferred on a single day: NTT DATA announced closing on November 2, 2016, while its SEC-filed notice said more than 98% of Dell Services by asset value had been acquired and the remaining transfer was expected within the fiscal year ending March 31, 2017. NTT DATA’s agreement announcement and closing notice describe the transaction.

The SEC notice described the acquired businesses and assets as Dell Systems Corporation, Dell Technology & Solutions Limited, Dell Services Pte. Ltd., and Dell Group IT-services-related assets, mainly in North America. It reported a purchase price of US$3.039 billion for the acquired shares and business segments, plus estimated advisory and other costs of US$36 million. Those are transaction figures reported in 2016, not current operating measures. The SEC-filed notice gives the scope and figures.

How the business was identified afterward

The acquired operation initially used the name NTT DATA Services. NTT DATA’s FY2017 annual report says it integrated the business with NTT DATA, Inc. as of April 1, 2017. In May 2017, the company clarified that NTT DATA remained the primary brand and that NTT DATA Services was a business identifier, not a replacement for legal entity names. What NTT DATA said the acquisition would add

NTT DATA presented the deal as a way to broaden its enterprise-services portfolio and expand its scale, especially in North America. The stated strategic additions included:

  • Industry expertise: consulting and vertical solutions in healthcare and life sciences, financial services and insurance, public sector, manufacturing, and commercial industries.
  • More service lines: BPO and business-process-as-a-service, alongside full-lifecycle application and infrastructure services.
  • Investment areas: digital, cloud, automation, and analytics.
  • Wider delivery reach: global delivery capacity, with particular expansion in North America, Europe, India, Asia, and the Middle East.

At closing, NTT DATA described a network of more than 240 data centers globally together with NTT Group. The March 2016 agreement announcement had described Dell Services data centers in the United States, United Kingdom, and Australia joining NTT’s 230 data centers. These are company statements made at different points during the transaction; they should not be treated as a current data-center inventory. The companies also characterized the acquisition as beginning an important business relationship between NTT DATA and Dell.

These points explain the companies’ rationale, not independent proof that every promised benefit materialized. Michael Dell, then Dell Inc.’s chairman and CEO, said the combination would be a “winning combination” for Dell Services customers, team members, and partners. At closing, Toshio Iwamoto, then NTT DATA Corporation’s president and CEO, called the addition of Dell Services a milestone in partnering with clients through digital disruption. Those remarks express the companies’ expectations and positioning.

What NTT DATA later reported about integration

NTT DATA’s FY2017 annual report described measurable changes to its own business mix and scale after the integration. These are management-reported company outcomes, not partner-level results.

Former Dell Services revenue Approximately ¥300.0 billion, including around ¥150.0 billion from healthcare.
Healthcare share of North American net sales Rose from roughly 13% to 33%.
ITO share Rose from 10% to 40%.
BPO share Rose from 1% to 8%.
Order backlog Approximately ¥2.4 trillion at fiscal 2016 year-end, more than ¥800 billion above the previous fiscal year-end.
Large U.S. accounts Accounts with annual net sales of at least US$50 million increased from five to 16.

The report also says management analyzed integration risks, including the loss of employees and clients and country-by-country approval processes. That makes continuity a reasonable subject for customers and partners to monitor during a large acquisition, but it does not establish that a particular partner experienced disruption.

What the acquisition might mean for technology and delivery partners

More scope to complement enterprise solutions

A larger portfolio spanning industry consulting, BPO, applications, infrastructure, cloud, digital, automation, and analytics could give a complementary technology or delivery partner more ways to fit into a broader client solution. That is a plausible implication of the announced portfolio, not evidence that a specific partner received an award, referral, or revenue opportunity.

Greater relevance of vertical expertise

Healthcare and life sciences, financial services and insurance, and public sector were among the named areas of emphasis. NTT DATA’s FY2017 report later showed a substantial increase in healthcare’s share of North American net sales. A partner evaluating fit should consider its domain expertise, ability to meet enterprise requirements, and compatibility with a vertically organized go-to-market approach.

Geography and delivery models may matter more

NTT DATA cited expanded global delivery capacity and a stronger North American presence. A partner’s geographic coverage and ability to work across delivery models are therefore sensible points of comparison. The announcements do not quantify which partners gained access, qualified for work, or became eligible for new opportunities.

Portfolio fit was the company’s stated rationale, not an independent audit

At closing, John McCain, then CEO of NTT DATA, Inc., said the portfolios were “extremely complementary” and that client overlap was less than 10 percent. This was an executive characterization of the strategic fit, not an independently verified overlap analysis.

What is—and is not—known about partner outcomes

The available company announcements, annual report, SEC filing, and current ecosystem page do not establish changes to any specific third-party partner’s contract, certification, channel standing, revenue, referral terms, or economics. They also do not provide a verified count of partners affected, partner-retention statistics, or partner-satisfaction results. NTT DATA’s reported revenue, backlog, account, and service-mix figures describe NTT DATA’s business; they should not be read as partner outcomes.

For a practical assessment of a potential partner relationship, compare its vertical expertise, complementarity with the services involved, geographic and delivery capacity, and ability to integrate with the customer’s existing environment. The public sources cited here do not provide partner-level prices, referral terms, program criteria, or comparative outcome data.

How the Dell relationship is described today

NTT DATA’s current ecosystem page lists Dell Technologies among its partners and describes collaboration across networking, hybrid infrastructure, enterprise applications, AI, security, collaboration, and customer experience. That supports saying the companies have a current ecosystem relationship as presented by NTT DATA. It does not establish that every Dell Services partner transferred, that a particular 2016 channel program was created, or that an affiliate arrangement exists. NTT DATA’s partner ecosystem page is the company’s current description and may change over time.
