The Pakistan Telecommunication Authority (PTA) issued its final no-objection certificate (NOC) on 2 April 2026 for consolidating and transferring Telenor Pakistan’s telecom licences and amalgamating the company into Pak Telecom Mobile Limited (PTML), the PTCL-owned mobile operator known as Ufone. The NOC was a later regulatory milestone than the Competition Commission of Pakistan’s (CCP) conditional approval of PTCL’s acquisition in October 2025; the two approvals covered different legal steps.
What PTA’s final NOC covers
In a 2 April 2026 disclosure to the Pakistan Stock Exchange, PTCL said PTA had issued an NOC for the consolidation and transfer of Telenor Pakistan’s licences and its amalgamation into PTML. That scope is distinct from the earlier acquisition decision. The CCP’s conditional approval concerned PTCL’s purchase of 100% of the shares in Telenor Pakistan and Orion Towers. PTA’s NOC addressed telecom licences and the subsequent legal amalgamation of Telenor Pakistan into PTML; it should not be treated as the same approval as the CCP’s acquisition clearance.

APP’s 1 July report says final Islamabad High Court approval had already been received, while its separate 14 July report dates that approval to 14 July. The reports do not reconcile the sequence, so the court milestone should be attributed to the report being cited rather than presented as a settled procedural date.

Conditions attached to the approvals
The approvals came with competition safeguards. The CCP’s announcement describes separate boards and independent management, non-discriminatory access to infrastructure and interconnection, PTA approval of reference interconnect offers and specified wholesale pricing, service-quality and tariff requirements, and a requirement to show that efficiencies benefit consumers. It also says an independent third-party reviewer is to issue quarterly compliance reports for five years, and that future violations may lead to divestiture. CCP announcement, 1 October 2025
The Pakistan Economic Survey 2025–26 says PTCL and PTML/Ufone are to remain separate legal entities, maintain separate detailed accounts, and not cross-subsidize. It also summarizes restrictions on discriminatory or preferential conduct in interconnection, pricing, branding, wholesale bandwidth access, and exclusive arrangements, as well as a bar on predatory pricing and subsidizing downstream services with upstream revenue. The survey says PTCL assumes liabilities of Telenor Pakistan, TLDI, and Orion Towers. Separately, APP’s account of the court scheme describes Telenor Pakistan’s assets, properties, rights, and liabilities transferring to PTML upon completion. Those statements refer to different descriptions and stages of the transaction.

The NOC itself does not specify a customer action. The sources reviewed provide no universal SIM replacement instruction, migration deadline, tariff change, coverage improvement, or verified individual service outcome. Do not change a SIM, handset, or network setting solely because of this approval; follow a specific instruction from your operator if one is issued for your account.

APP reported service-continuity commitments during integration, but that is a company commitment reported by the news agency, not an independent measure of post-merger performance. The available sources do not provide merger-specific before-and-after figures for prices, coverage, dropped calls, speeds, or customer numbers.
