Mastodon is restructuring to place key assets under a European nonprofit parent, reducing reliance on founder-centred ownership and supporting community governance and long-term sustainability. The transition is still described as underway: Mastodon’s February 2026 update said forming the Belgian parent was a next step, and no official announcement located by September 27, 2026 confirmed its formation or the transfer of assets.

Why is Mastodon transitioning to a nonprofit?

Mastodon says its original, single-person structure was an efficient way to get the project started, but no longer fits a network involving a larger community and more organizations. Its stated goal is to ensure that no one individual owns or controls key parts of the project, and to align its legal structure with its public-interest mission. Mastodon’s January 2025 announcement described the planned transfer of key ecosystem and platform components, including the name and copyrights, to a nonprofit.

The restructuring is also tied to Mastodon’s plans for community governance, sustainable funding, network health, and product and ecosystem development. In February 2026, Executive Director Felix Hlatky presented these as connected priorities, including a governance model that consults and informs the community, a European nonprofit parent, and easier in-app donations. What is changing, and what is the intended structure?

The plan involves several organizations with different jobs. The Belgian entity is intended to become the parent and eventual home for key assets; the German company continues operations; and a U.S. nonprofit has been described as an interim asset holder and fundraising hub.

The terms “nonprofit” and “charitable” do not mean that every organization in the structure has the same legal status. Mastodon’s February 2026 update specifically said its German organization had lost its former charitable status; it also said the Belgian parent remained to be formed. Has the Belgian nonprofit been formed?

Mastodon’s official updates describe the Belgian AISBL as the intended future parent, but the latest structural update located, dated February 13, 2026, said that forming it was still a next step. A July 31, 2026 terms-of-service announcement discussed early ideas for legal resources from a future EU-based holding organization, but did not confirm that the organization had been formed. Accordingly, the available official statements do not establish that the Belgian entity was legally formed or that the assets were transferred by September 27, 2026. That is an unresolved status in the announcements located, not proof that no filing or transfer occurred.

How did the transition progress?

  • January 13, 2025: Mastodon announced a phased transition, saying it expected the structural transformation to take place over the following six months. It said Mastodon GmbH would continue daily operations and that the U.S. 501(c)(3) would remain a fundraising hub. These were plans and a target horizon, not confirmation of completion. Announcement

  • November 18, 2025: Mastodon identified a Belgian AISBL as its intended future home, described the U.S. 501(c)(3) as the temporary trademark and asset holder, and announced the WE AID partnership for German donations. It also named Felix Hlatky Executive Director, Renaud Chaput Technical Director, and Hannah Aubry Community Director; founder and former CEO Eugen Rochko became Strategy & Product Advisor. Update
  • February 13, 2026: Mastodon said the German organization had lost its former charitable status, announced the public-name change to Mastodon GmbH, and described forming the Belgian parent as the next step. What does the nonprofit transition mean for Mastodon users?

The corporate restructuring concerns Mastodon’s own organizations and assets; it does not make Mastodon the owner or rule-setter for every server in the wider Fediverse. Mastodon’s January 2025 announcement said it would continue to host mastodon.social and mastodon.online and support a federated network of instances. Its July 2026 terms announcement says its terms apply to those two operated servers, while independently administered servers set their own rules.

For users of mastodon.social or mastodon.online, the transition is an organizational change, not an announcement that those services are being shut down. People on other instances should look to their server administrators for that instance’s policies.

What financial figures has Mastodon disclosed?

Mastodon’s November 2025 update described a one-time €1 million compensation payment to Rochko, based on replacement costs, his time and effort, and the fair market value of the brand, related properties, and social network. The post did not cite a third-party valuation. The same update said individual donations funded €337,000 of operations—primarily full-time employee costs—over the 12 months from September 2024 to September 2025. It also reported gifts of €2.2 million from Jeff Atwood and the Atwood Family, €260,000 associated with Biz Stone and AltStore, and €65,000 from GCC. Mastodon’s 2024 annual report, published in 2025, set a €4.2 million revenue target and a growth goal of 1 million to 2 million monthly active users for 2025. What is established—and what remains unsettled?

  • Established in Mastodon’s announcements: the organization intends to move key assets into a European nonprofit structure; the U.S. nonprofit is the stated interim holder of the trademark and other assets; the German company continues operations; and Mastodon says the German organization’s former charitable status was removed.
