To evaluate a U.S. IPO, read the latest SEC filing in sequence: understand the business, test its financial trends and cash needs, assess the disclosed risks, then examine the offering terms, ownership and price. A prospectus helps you judge what the company has disclosed; it does not establish that the IPO is a good investment or predict how its shares will trade.
Start with the latest filing, not an old prospectus
For a U.S. IPO, the registration statement is the core offering document. Form S-1 is a common registration form, and the prospectus within it describes the business, financial condition, results, risks, management and offering. The SEC says the prospectus must include audited financial statements. See the SEC’s What is a Registration Statement?
- Search the company or ticker on SEC EDGAR.
- Open the most recent registration statement and any amendments. Terms can change during registration, so an earlier S-1 or media summary may be out of date.
- After the registration statement becomes effective, look for the final prospectus, commonly filed as a 424B3 or 424B4. It generally includes the final offering price. Recheck EDGAR before making a decision because price, share count and proceeds can change. This framework is U.S.-focused. Other countries may use different filing documents, accounting rules and regulators.
Understand what the company sells and what could disrupt it
Begin with the prospectus summary as a map, then verify its claims in the detailed business description, financial statements and notes, management’s discussion and analysis (MD&A), risk factors, and capitalization and dilution sections. The SEC’s IPO investor bulletin identifies risk factors, use of proceeds, dilution and MD&A as sections to consider, while noting that other sections may also matter.

- Identify the main products or services, target markets and how the company earns revenue.
- Look for reliance on a small number of customers, suppliers, platforms or markets. Concentration can make growth more vulnerable to a lost contract, supply interruption or market shift.
- Consider competition and the execution required to deliver the strategy described in the filing.
- Check whether prominent business claims are consistent with the reported financial results and risk disclosures.
Build a financial trend, not a one-number story
Use the periods and audited statements actually presented. Compare results across periods rather than relying on a single growth rate highlighted in the summary. The checklist below is an analytical method, not an SEC scoring test.
- Revenue: Track the direction and pace of sales. Consider whether growth appears broad-based or exposed to customer or product concentration.
- Margins and operating results: Follow gross profit or the margins relevant to the business, along with operating income or loss. A revenue increase alone does not show whether the business is becoming more economically sustainable.
- Cash flow and liquidity: Compare operating cash flow with reported earnings, and review cash, debt and working-capital needs. Determine whether operations are consuming cash or generating it.
- Obligations: Note debt maturities, commitments and contingencies that could affect future funding needs.
- Accounting and compensation: Read the notes for accounting policies and share-based compensation. These can affect how headline earnings, costs and the share count should be interpreted.
MD&A should explain how and why results changed and what management believes may affect future financial condition or operating results. Compare those explanations with the audited figures. Treat management’s interpretation as a claim to evaluate, not independent verification. Look for cash burn, improving cash generation, working-capital demands, debt maturities and the possibility that the company may need more capital.

Turn risk factors into specific failure scenarios
Risk factors describe risks management believes could significantly affect the business, operations, performance or securities. Instead of treating the section as boilerplate, group the risks and connect them to evidence elsewhere in the filing.
- Demand and competition: What could reduce sales, pricing power or customer retention?
- Execution and technology: What must go right for the product, platform or expansion plan to work?
- Concentration and supply: Could losing a major customer, supplier or distribution channel materially change results?
- Financing and liquidity: Could cash needs, debt or weak cash generation force additional fundraising?
- Regulation, litigation and governance: What legal, compliance or control issues could restrict operations or affect shareholders?
For each material risk, ask whether its effects already appear in the financial statements or MD&A, and what conditions could make it more serious. Disclosure of a risk does not mean the risk is harmless or resolved.

Work out who receives the IPO proceeds and what dilution means
Separate newly issued shares from shares sold by existing holders. Money from the company’s own share sale can fund the company; proceeds from selling-holder shares go to those holders. Check the actual split and terms in the filing rather than assuming the entire offering finances growth.
Read use of proceeds, underwriting terms, capitalization and dilution together. The SEC describes the dilution section as showing the difference between the IPO price and book value per share, as well as the average price paid by existing holders, including founders and early investors. This comparison shows how the IPO price relates to historical book value and early-holder cost; it is not a complete valuation method.

Check control, incentives and shares that may come to market
Review principal stockholders, voting rights and any differences between share classes. Consider who can control company decisions after the offering, how management is incentivized and whether related-party transactions create conflicts. Also look for disclosed lock-up terms and shares eligible for future sale: these terms vary by deal and can affect the amount of stock available to trade later.

A promising company can still be offered at a price that leaves little margin for error. The filing supplies evidence and assumptions to examine, but there is no universal acceptable valuation multiple or single IPO scoring formula in the SEC guidance.

- Set out your assumptions for growth, profitability, cash generation and the number of shares outstanding after the offering.
- Compare those assumptions with the company’s reported history, stated plans, risks and funding needs.
- If you compare valuation with peers or forecasts, state the method and assumptions; differences in business models, reporting periods, currencies and accounting frameworks can make headline comparisons misleading.
- When comparing IPOs, use like-for-like measures: business and market exposure, concentration, margins, operating cash flow, cash and debt, risks, issuer proceeds, primary versus secondary shares, post-offering share count, control structure, insider incentives and valuation method.
Whether an IPO is worth buying depends on both the evidence about the company and the price and risks you are willing to accept. A prospectus-reading framework cannot determine suitability for an individual investor or predict aftermarket performance.
Understand what SEC effectiveness does—and does not—mean
SEC staff review selected filings for compliance with disclosure and accounting requirements. Review may result in revisions, but it is not an evaluation of investment merit. The SEC states: “The SEC’s declaration of effectiveness does not represent an approval of the merits of the IPO or an indication that the information disclosed is complete or accurate.” See the SEC’s SEC Filing Review Process and its IPO investor bulletin.
