The Public Company Accounting Oversight Board (PCAOB) oversees audits of public companies and brokers and dealers registered with the U.S. Securities and Exchange Commission (SEC). It develops auditing standards and other rules for covered audit work, but a rule adopted by the PCAOB does not take effect until the SEC approves it.
What the PCAOB does
The PCAOB is a nonprofit corporation established by Congress. Its stated mission is to protect investors and further the public interest in informative, accurate, and independent audit reports. It regulates registered accounting firms’ covered audits and related professional practice; it is not itself the auditor of public companies.
Its oversight includes audits of public companies and SEC-registered brokers and dealers, as well as certain compliance reports filed under federal securities laws. Inspections and other oversight can surface current or emerging audit issues that the Board may examine when deciding whether existing standards need to change.
How PCAOB rulemaking works
The process is issue-led. An issue can result in a new standard-setting project, another action such as staff guidance, or no change to standards. The steps below describe the usual high-level path, not a fixed sequence that every project must follow.

1. Identify an audit issue
PCAOB staff monitor oversight observations and other developments for current or emerging issues. An issue that merits further consideration may be placed on the research agenda.
2. Research the issue and possible responses
An interdivisional team may conduct research and stakeholder outreach, assess whether a standards change is warranted, consider alternatives, and define possible scope and approaches. If the PCAOB pursues standard setting, the issue can move from the research agenda to the standard-setting agenda. If a new standard is not appropriate, the Board may consider another response, such as staff guidance on applying existing standards. See the PCAOB’s standard-setting process.

3. Develop a proposal and invite public comment
The Board solicits public input before adopting changes. Depending on the project, comment opportunities may include a concept release, a proposing release, or a re-proposal. The number of rounds and the time between them vary; not every project follows the same pattern.
4. Analyze likely effects
Economic analysis helps inform the Board’s judgment but does not replace it. PCAOB staff guidance describes examining the need for a rule, the baseline against which changes would be assessed, alternatives, and likely benefits and costs. Releases should also discuss expected effects generally and likely effects on audits of emerging growth companies (EGCs). The guidance allows analysis to be adapted to the project; it is not a statute or an inflexible checklist. See the PCAOB’s economic-analysis guidance.

5. The Board adopts; the SEC reviews
After considering comments and analysis, the Board may adopt a final rule or standard. Adoption is not the same as SEC approval or effectiveness: PCAOB rules and standards must be approved by the SEC before they take effect. The SEC’s statutory review includes notice and consideration of public comments.
EGCs have a specific additional statutory consideration. Before a new standard applies to their audits, the SEC must determine that application is necessary or appropriate in the public interest, considering investor protection and whether the action promotes efficiency, competition, and capital formation. The SEC’s current materials and applicable law are the appropriate references for legal questions about that determination.

How to follow a rule or take part
Use the PCAOB’s Rulemaking Docket to find a rule’s docket number and related releases, comment letters, SEC filings, and other documents. The docket tracks rules under consideration. The PCAOB’s standard-setting and rulemaking project agenda provides current project information.
To assess a project, check its procedural stage rather than relying on the fact that it appears on an agenda. Look for whether it is in research, open for comment, adopted by the Board, pending SEC action, approved, withdrawn, or effective. Stakeholders may comment during PCAOB comment periods; the SEC also has its own public-comment process when reviewing a Board-adopted standard.

PCAOB agenda snapshot as of October 3, 2026
The PCAOB agenda listed amendments to QC 1000 as adopted by the Board on September 9, 2026, pending SEC approval, and scheduled to become effective December 15, 2026. It also listed a permanent broker-dealer inspection program as a rulemaking project, with staff developing a proposal for Board consideration in Q4 2026. Other listed standard-setting work included negative assurance in comfort letter engagements, auditor independence, fraud, and noncompliance with laws and regulations.
These are dated status details, not permanent facts. Project stages and anticipated dates can change, so consult the live agenda and docket for the latest status. The PCAOB’s June 2026 request for feedback on future agenda priorities and its overall standard-setting process closed on August 7, 2026; it is not an open comment period.
