A website development contract should clearly define the work, payment, ownership, responsibilities, and what happens when the project ends. At minimum, document the scope and deliverables, schedule and acceptance process, fees and change approvals, intellectual-property rights, third-party services, privacy and security duties, accessibility expectations, testing and support, liability, termination, and handover. The examples below focus on U.S. law; which legal requirements apply depends on the parties, website, and governing jurisdiction.

1. Identify the parties and define the project

Name each legal party, identify project contacts, and say who has authority to approve work. Describe the website’s purpose, required pages and functions, integrations, supported devices or browsers where material, hosting assumptions, and relevant technical constraints. Put detailed requirements in an attached statement of work or specification if they would make the main agreement unwieldy.

Be explicit about what is outside the developer’s work. Depending on the project, exclusions might include content writing, photography, data migration, search-engine optimization, payment processing, analytics setup, hosting, or ongoing maintenance. Also assign responsibility for supplying content, assets, and timely decisions.

2. List deliverables, milestones, and acceptance rules

Identify the actual items the client will receive, such as design files, source code, configuration, documentation, migrated content, or launch support. Set dates or milestone targets and state which client inputs or approvals each depends on.

Define a review process rather than relying on a vague promise that the site will be “finished” or “satisfactory.” Specify who reviews each submission, how long review takes, how defects must be reported, what qualifies as acceptance, and how the developer corrects rejected work. An objective process makes it clearer when a milestone is complete and payment is due.

3. Set fees and control changes

State whether fees are fixed, hourly, milestone-based, or a combination, along with invoice timing, due dates, approved expenses, taxes, late-payment terms, pauses for nonpayment, and the process for disputing an invoice. There is no universal payment model or private-project payment rule established for website work; choose terms that fit the project and write them down.

Require written authorization before a change to scope, cost, or delivery dates takes effect. The change request should record the developer’s estimate and the client’s approval before changed work begins. This reduces disputes over whether a feature was included in the original price or schedule.

4. Specify copyright ownership and licenses

Payment for development services does not, by itself, transfer exclusive copyright rights in everything created. The U.S. Copyright Office explains that a website’s author and the owner of physical copies may differ, and that a signed written agreement is needed to transfer exclusive rights. Cornell’s Legal Information Institute summarizes that commissioned work qualifies as “work made for hire” only in limited statutory circumstances, including a signed written agreement for specified categories of work. For each category of work, say whether the client receives an assignment or a license. State when rights take effect, such as after payment, and address territory, duration, exclusivity, modification, sublicensing, and transfer rights as appropriate. Do not rely on “work for hire” alone: specify an alternative assignment or license that achieves the parties’ intended result.

Separate custom work from the developer’s pre-existing tools and reusable components, as well as themes, libraries, fonts, stock images, and open-source software. Identify what license the client receives for each category and who is responsible for any recurring third-party charges.

5. Address confidentiality, privacy, and security

Define confidential information and permitted uses. If the developer may handle personal information, set out what data can be accessed or collected, the purpose, permitted processors and subcontractors, safeguards, incident notification and cooperation, retention, return or deletion, and restrictions on other uses. Address account credentials, backups, vulnerability fixes, software updates, and access revocation when relevant.

Match these promises to the data, parties, and applicable law; a contract title alone cannot determine their legal roles or obligations. Federal clauses are limited examples, not default terms for every private website. For instance, 48 CFR § 752.239-72, USAID-Financed Project Websites (May 2024), covers defined contractor-operated, USAID-funded websites and addresses collecting only information needed for the business purpose, safeguards and incident response, and transition or decommission planning. Federal IT security and privacy clauses likewise have a covered federal-services context under 48 CFR § 839.106-70.

6. Make accessibility expectations explicit

Name the accessibility standard to be followed, expected testing, the process for fixing identified issues, and which party is responsible for accessible content and components. Accessibility requirements depend on the project and its users. As federal examples, 48 CFR § 739.106(c) requires an accessibility clause in specified ICT procurements for federal employees or the public, and the USAID website clause cited above applies accessibility standards to its covered websites. Those federal rules do not establish that the same clauses apply to every private project.

7. Define testing, warranties, and post-launch support

Describe who tests the site, what launch readiness means, and how defects are handled. If the developer warrants that deliverables will conform to agreed specifications, state the correction period and remedy. Do not assume that a broad promise to build a working site supplies a clear warranty or support obligation.

State whether hosting and maintenance are included or separate. If support is offered, define its hours, response targets, fees, and covered work, such as backups, hosting operations, routine updates, and security fixes. Separate post-launch enhancements from defect correction so the parties know what is included.

8. Document third-party services and account control

List relevant domains, hosting providers, content-management systems, plugins, APIs, payment services, analytics, and other recurring services. Say who opens and owns each account, pays subscriptions, controls renewals, and holds administrator credentials. Plan for vendor term changes, service discontinuation, or outages, and confirm that the client has sufficient rights to use supplied content and assets as intended.

9. Allocate liability and set a dispute process

Allocate responsibility for third-party infringement claims, client-supplied materials, security incidents, and losses caused by either party. Any indemnities, liability caps, or exclusions should fit the project’s risk and applicable law; there is no universal cap amount established for website contracts. Include governing law, venue, notice details, and any escalation or mediation steps. These terms are jurisdiction-sensitive, so avoid copying a generic clause without checking whether it fits.

10. Set termination and handover terms

State when either party may terminate, the required notice or opportunity to cure, fees that remain due, and whether the client receives work in progress. Specify delivery of source files, credentials, configuration, documentation, exports, and data, plus the price and scope of migration assistance. Also address account transfer and return or deletion of data.

Where relevant, specify whether the site and its records will be transferred, retained, archived, or decommissioned. The USAID clause provides a public-sector example of a disposition plan for covered websites, including records and technical documentation; it is not a general rule for private projects.

Compare proposals on practical protections

When evaluating competing proposals or drafts, compare the terms that determine what the client will actually receive and be able to use:

  • How complete and testable the scope is, including exclusions and client dependencies.
  • Whether acceptance and change approvals have clear procedures.
  • The total cost, including hosting, licenses, and post-launch support.
  • The client’s rights to code, design, data, and accounts.
  • Whether privacy, security, and accessibility commitments fit the project.
  • Whether the client can take over or migrate the site at the end.

For a binding agreement, have a lawyer in the governing jurisdiction review the contract and statement of work. The appropriate terms depend on the site, data, audience, project parties, and applicable law.
