Electronic software licensing is an agreement that gives a person or organization permission to use software under specified conditions. It does not, by itself, mean the user owns the software or its copyright. The agreement—often an end-user license agreement (EULA) or an enterprise license agreement—sets the scope of that permission.

What does an electronic software license mean?

A software license is permission from the rights holder to use software within defined limits. The agreement may be presented and accepted electronically, or recorded in a written contract. A UK government marketplace supplier describes software licensing broadly as agreements and permissions governing software use, distribution, and modification; the actual rights in any particular case depend on that license’s terms. Electronic format describes how an agreement is presented or handled; it does not change the basic distinction between permission and ownership. For example, Epic Games Store’s consumer EULA states: “The Software is licensed, not sold, to you under the License. What does an EULA let you do?

The agreement controls the specific grant. Depending on the software and license, it may set out:

  • Who may use it and for what purpose: for example, personal use, commercial work, or use by an organization.
  • How many users, devices, or installations are allowed: a license may limit simultaneous use or the number of authorized users.
  • How long permission lasts: it may be time-limited, renewable, or tied to an active subscription.
  • Whether use can be transferred or shared: transfer, sublicensing, or sharing may be restricted.
  • Whether copying, modification, reverse engineering, or redistribution is allowed: these rights are not automatically included with permission to use the software.
  • What happens to updates, support, and access: the agreement may define what is included and what happens when the license or subscription ends.

These are possible terms, not guarantees that every license addresses them in the same way. Epic’s current consumer store EULA, for instance, grants a personal, non-exclusive, non-transferable, non-sublicensable limited right for personal, non-commercial use, and includes restrictions on simultaneous device use and unauthorized copying, transfer, or modification. Do you own software you download?

Downloading or installing software does not automatically give you ownership of the software or its copyright. A license typically grants only the rights the agreement specifies; the rights holder may retain ownership. Whether you can keep using the software, move it to another device, or transfer it to someone else depends on the license terms.

How to read a software license before accepting

Focus on the terms that match your situation. An individual user may care most about personal or commercial use, device limits, and continued access. A business may also need to check how users are counted, whether use can be reassigned, and what support is included.

  1. Check permitted use and audience. Confirm that the license covers your intended purpose and the people or organization that will use the software.
  2. Find the user, device, and installation limits. Look for restrictions on the number of users or devices and whether simultaneous use is limited.
  3. Check duration and renewal. Identify any end date, renewal terms, or dependence on an active subscription.
  4. Review transfer and sharing rights. Check whether you can transfer the license, sublicense access, or reassign it to another user.
  5. Look for restrictions on changes and distribution. Confirm whether copying, modifying, reverse engineering, or redistributing the software is permitted.
  6. Understand updates, support, and termination. Check what is included during the license term and what happens to access when it ends.

Why government software licenses can use different terms

Government procurement rules use specialized definitions that should not be treated as the ordinary consumer meaning of a software license. For example, a U.S. Defense Federal Acquisition Regulation Supplement (DFARS) clause defines commercial computer software using criteria that include software used for nongovernmental purposes and sold, leased, or licensed to the public. It also addresses distinct government-use rights. Those rules apply in their procurement context, not as a universal definition for downloaded consumer software. DFARS clause

Does accepting a license electronically make it enforceable?

Not automatically in every situation. Electronic-contract rules depend on the governing law and the facts of the transaction. U.S. E-SIGN provisions allow electronic records to satisfy certain legal writing requirements when statutory conditions are met, including conditions concerning consumer consent and access.
