The developer may find replacement finance, renegotiate with lenders, or bring in a new investor; a lender may take control; or the project may be delayed, sold, or left incomplete. For buyers, the outcome depends on the contract, who holds the deposit, any applicable warranty or insurance, and local law. There is no reliable basis in the cited official guidance for estimating how often projects follow each path.
What can happen when a developer’s funding falls short?
The first question is whether the funding gap can be resolved and whether the project company can continue operating. In a UK guide to privately financed public infrastructure projects (PFI), possible responses include using available reserves, seeking funds from shareholders or lenders, restructuring or rescheduling loans, and lender intervention. The guide also cautions that shareholders and lenders in limited-recourse structures typically are not obliged to put in more money. Which route is available depends on the legal entities involved, security and step-in rights, contract terms, the project’s completion status and cost, and applicable insolvency law. The PFI guidance is useful for illustrating how a project company may respond, but its structures differ from many private developments. The official sources cited here do not establish the likelihood of rescue, delay, or abandonment across the property market.
What changes if the project company becomes insolvent?
Insolvency can shift control away from the developer’s usual management. The UK PFI guide says an appointed insolvency practitioner takes control and that statutory insolvency duties may override ordinary contractual arrangements. It defines insolvency for its UK company-law discussion as inability to pay debts when due (the cash-flow test), liabilities exceeding assets (the balance-sheet test), or both. An appointment does not mean that an administrator will finish the build. Depending on the company’s finances, contracts, lender rights, and the cost and state of construction, the project might be rescued, transferred, sold, delayed, or terminated. A UK ministerial answer dated 24 September 2025 said local authorities would be expected to work with administrators to help unblock sites and restart housing delivery; it is a statement of expectation, not a guarantee about any particular site. The answer also noted that land can become ownerless after insolvency and liquidation, and that a Law Commission project had been announced in September 2025 to clarify the issue. What happens to a buyer’s deposit?
Do not assume that a deposit is automatically refunded, lost, or protected merely because a developer has a funding problem. The answer turns on the purchase contract, the account holding the money, local rules, and any warranty, bond, or insurance policy. Check the actual documents and get advice under the law governing the transaction.

New South Wales: trust or controlled-money account
For off-the-plan purchases in New South Wales, the NSW Government says the deposit and instalments must remain with a stakeholder in a trust or controlled-money account until settlement. That NSW-specific arrangement protects those funds if the developer becomes insolvent, but it should not be assumed to apply elsewhere. United Kingdom: check the specific warranty
In a ministerial answer on 24 September 2025, Housing and Planning Minister Matthew Pennycook said most new-build homes are issued with a 10-year new-build warranty. He said some warranties cover an off-plan deposit if the developer becomes insolvent before completion. “Most” and “some” are important qualifications: the statement is not a promise that every home has cover, that every policy covers deposits, or that a buyer will be reimbursed in every failure scenario. Insurance and compensation schemes have eligibility limits
The NSW guidance says Home Building Compensation cover may assist with some losses where work is defective or incomplete and the builder or developer becomes insolvent, dies, disappears, or has a relevant licence suspension. It also says residential building work above $20,000 including GST, including strata construction, must have that cover. Building type, eligibility, exclusions, and policy details matter; verify current requirements and the policy for the particular project. Could construction be delayed or the design changed?
Yes. A funding shortfall may delay work, but the buyer’s rights depend on the contract and local law. Before signing, identify the completion date and any extension rights, what happens if the developer changes the design, whether either party can terminate, whether delay compensation applies, and how notices must be delivered. NSW buyer guidance specifically recommends understanding delay, design-change, sunset, and termination provisions and consulting a lawyer or licensed conveyancer before committing. For an off-the-plan purchase in NSW, the government describes a 10-business-day cooling-off period, during which withdrawal results in forfeiture of 0.25% of the purchase price, subject to the stated rules and possible waiver or shortening. This is a jurisdiction-specific cooling-off right, not a general cancellation right triggered by insolvency. Check current rules and the contract before acting. NSW Government off-the-plan guidance
Buyers should also consider whether a later or earlier completion could affect their ability to arrange finance. The NSW guide raises that issue; any answer depends on the lender’s terms, the buyer’s circumstances, and the contract’s timing provisions. Do not assume a loan offer will remain available for a changed completion date.

What should buyers check or do?
- Identify the contracting parties. Confirm the legal seller and project company named in the contract. They may differ from a parent company or the builder doing the work.
- Trace the deposit. Ask who holds it, whether it is in trust or escrow, when it can be released, and what the contract says about it after termination or insolvency.
- Read the timing and change clauses. Check completion dates, extension rights, sunset clauses, developer termination rights, delay compensation, and procedures for material changes. Have a local property lawyer or licensed conveyancer explain unclear terms before signing or agreeing to amendments.
- Verify protection in writing. Obtain the exact warranty, bond, or insurance policy and check the risks, parties, building types, limits, exclusions, and claims deadlines it covers. Do not rely on a general statement about typical coverage.
- Keep a complete record. If a funding problem is announced, preserve correspondence, payment records, contract versions, and insurance documents. Ask promptly about notice requirements and deadlines; a remedy for a material change may be time-limited.
- Get advice before changing your conduct. Do not stop payments or terminate solely on the basis of general information. Ask a lawyer familiar with the governing contract and local insolvency law what steps are safe.
How to judge whether completion is realistic
A headline saying that a developer is seeking funds does not show whether money is committed or whether the project can be completed. To assess the situation, separate confirmed information from possibilities and look at the project’s financing, legal control, construction position, and buyer protections:
- Funding: Is the money already committed, or is the company only seeking investors or negotiating with lenders?
- Control and lender rights: Has a lender exercised security or step-in rights, or has an insolvency practitioner been appointed?
- Viability and delivery: Which company remains responsible, how much work is complete, and what time and cost remain?
- Buyer safeguards: Where is the deposit held, what refund rights apply, and what do the actual warranty, bond, or insurance documents cover?
These questions are more informative than treating every funding announcement as proof that the project will fail—or that it will be rescued. The contractual and legal answer varies by project and jurisdiction.
