TD Cowen reportedly raised its bitcoin forecasts but left its price target for Strategy (MSTR) unchanged at $260, maintaining a Buy rating. The Block’s October 8, 2026 report says the analysts see better bitcoin prices improving Strategy’s earnings potential, while dilution, preferred-stock obligations and cash-reserve building can limit how much of that benefit reaches common shareholders.
What TD Cowen reportedly changed—and what it did not
The Block reported on October 8, 2026, that TD Cowen analysts Lance Vitanza and Jonnathan Navarrete raised their bitcoin outlook but kept their MSTR target at $260 and their Buy rating. Their reported forecast put bitcoin near $109,000 at the end of 2026 and $280,000 by 2029. These are analyst forecasts, not observed prices, Strategy guidance or guaranteed outcomes.
For comparison, The Block cited QCP Capital’s fourth-quarter 2026 bitcoin base case of $80,000–$90,000. That, too, is a forecast rather than a certainty. The contrasting outlooks show that analysts can differ about bitcoin’s path even while the underlying question for MSTR holders remains how bitcoin performance translates into common-share value.

Why a higher bitcoin price may not produce the same gain per MSTR share
Strategy’s bitcoin exposure sits inside a company capital structure. The company can raise money by issuing common shares or preferred securities, has debt and preferred claims ahead of common equity, and may use cash for reserves or preferred-stock obligations rather than immediate bitcoin purchases. More bitcoin or a higher bitcoin price can improve the company’s overall economics without increasing the residual value attributable to each common share by the same amount.
TD Cowen’s analysts wrote, according to The Block: “Capital structure expansion and associated dilution temper the per-share benefit.” Issuing additional common shares can dilute existing holders’ proportional interest. Preferred securities and debt also affect what remains for common shareholders after senior claims are considered. The Block reported that preferred-stock repurchases and cash-reserve building could absorb some of the benefit for MSTR holders.

Reserves can provide liquidity and financing flexibility, so directing cash away from bitcoin purchases is not automatically a loss. The trade-off is that money set aside for reserves or preferred-stock support is not being used for bitcoin acquisition at that moment. The available reporting does not quantify how much each use of capital contributed to TD Cowen’s unchanged target.
What MSTR ownership does—and does not—represent
Strategy’s SEC-filed investor communication describes MSTR as common equity junior to the company’s debt and preferred stock. It says MSTR holders have no direct claim on specific bitcoin and characterizes MSTR as corporate equity rather than a spot bitcoin ETF. A shareholder’s outcome therefore depends not only on bitcoin’s price, but also on the company’s liabilities, financing choices, share count and valuation relative to its assets.

Strategy’s materials identify dilution, financing risk, bitcoin volatility, compression in market net asset value (mNAV), and corporate liabilities among the risks. These factors can move independently: bitcoin may rise while MSTR’s premium to net asset value narrows, for example, or financing activity may change the common-share claim even as aggregate bitcoin holdings grow.
October figures are snapshots, not a complete valuation model
The Block’s October 8 report said Strategy was valued at roughly 1.0 times net asset value, following a June low of 0.63, citing Saylor Tracker. It also reported 848,000 BTC held and approximately $4.5 billion in unrealized profit. These are dated figures reported at that time, not durable measures of the company’s current holdings, profitability or valuation.

A separate Strategy investor briefing gives a different, earlier snapshot: as of August 10, 2026, it listed 840,447 BTC, a $4.65 billion USD reserve, $36.68 billion in net reserve after debt and preferred stock, and 1.06x mNAV. Those August company figures should not be substituted for the October numbers reported by The Block; the dates and source contexts differ.

Strategy’s Q1 2026 analyst table also listed an earlier TD Cowen view dated April 20, 2026: a $125,000 bitcoin forecast, $385 MSTR target and Buy rating. It is not the October forecast or target. Strategy says third-party analyst views in that presentation are not endorsed by the company, can change and are not investment advice.

What the unchanged $260 target can—and cannot—tell investors
The October report supports a broad explanation for the apparent mismatch: TD Cowen saw more favorable bitcoin price assumptions but also considered dilution and other capital-structure uses that can temper common shareholders’ per-share benefit. It does not provide enough detail to reconstruct the analysts’ full valuation model or calculate a precise dilution impact. The $260 target is an attributed analyst opinion, not a company commitment or a prediction that the share will reach that price.
For readers assessing the outlook, the useful distinctions are:
- Bitcoin outlook: the analysts’ price forecasts concern bitcoin, not a guaranteed MSTR return.
- Bitcoin per share: aggregate BTC holdings do not alone establish how much bitcoin-related value corresponds to each common share.
- Senior claims: debt and preferred securities rank ahead of MSTR common equity.
- Capital actions: new common or preferred issuance, repurchases, reserves and bitcoin purchases can affect shareholders differently.
- Valuation: MSTR’s market price relative to net asset value can change independently of bitcoin’s spot price.
These are relevant factors, but the October reporting does not disclose enough inputs to reproduce TD Cowen’s target or assign a numerical effect to each one.
