Corpbook is a cloud corporate-records and governance platform for Canadian corporations and SMEs. It brings director, officer and shareholder registers together with central securities and cap-table records, transparency or ISC registers, resolutions, meeting documents and minute-book storage. Its focus is maintaining a connected corporate record: transactions and resolutions link to affected records, and jurisdiction-specific fields are validated for CBCA, BCBCA and OBCA companies. Solo founders or small companies can use it for core records, while growing teams and professional firms may need its broader collaboration and entity controls.

The plans add capabilities in clear steps. Ascent costs 200 per year and includes a single user, document editor and minute book, registers, cap table and a basic compliance checker. Expedition costs 500 per year, adding multi-user roles, a board portal for agendas, notices and decisions, lawyer and advisor invitations, AI resolution drafting, AI meeting minutes with speech-to-text, and an AI-powered compliance checker. Summit costs 1,000 per year and adds options, warrants and convertible instruments, a data room, multiple entities and priority support. Pinnacle adds unlimited entities, users and agent API keys, plus custom integrations, API SLAs and dedicated onboarding.

Its governance coverage is more substantial than a simple document repository: permissioned access, version history and append-only audit trails support oversight of changes, while the web platform and API provide two access routes. The trade-off is scope. Validation centers on three Canadian statutes, so organizations working across other jurisdictions may need a different system or complementary advice. A solo operator with straightforward records may find Ascent sufficient; companies that need collaborative board work should consider Expedition, and multi-entity organizations should look at Summit or Pinnacle. It suits teams seeking a centralized Canadian corporate record, but is less suited to governance spanning jurisdictions beyond its stated validation coverage.

Corpbook pros and cons

  • Where it wins
    • Keeps registers, cap tables, transparency records and minute books together
    • Validates jurisdiction-specific fields for CBCA, BCBCA and OBCA companies
    • Links resolutions and transactions to records with append-only audit logs
  • Where it doesn't
    • Jurisdiction validation is limited to CBCA, BCBCA and OBCA companies
    • Multi-user roles and board portal features require the 500-per-year Expedition plan
    • Multiple entities and a data room start at the 1,000-per-year Summit plan
