Microsemi agreed to acquire PowerDsine Ltd. for an announced fully diluted value of $245 million on October 24, 2006, and completed the acquisition on January 9, 2007. The deal combined $8.25 in cash with 0.1498 Microsemi shares for each PowerDsine share; the $245 million was not cash paid alone.
What did Microsemi pay for PowerDsine?
Microsemi’s October 24, 2006 announcement put the deal’s fully diluted value at $245 million, based on the companies’ closing share prices on October 23. The release also described the offer as $11.00 per PowerDsine share, an 18.5% premium to PowerDsine’s previous close. Those are announcement-date transaction figures, not a later accounting valuation. Microsemi’s announcement filed with the SEC gives the terms.
Microsemi’s transaction presentation showed the same $245 million transaction value and separately listed $168 million net of cash acquired. The latter figure deducts acquired cash from the announced value; it does not mean the purchase price or shareholder consideration was $168 million. The transaction presentation provides that distinction.

How was the consideration structured?
For each PowerDsine share, shareholders were to receive $8.25 in cash plus 0.1498 Microsemi shares. That combined cash-and-stock offer explains why the $245 million headline should not be read as an all-cash payment. The terms appear in both the announcement and the SEC-filed merger agreement.

When was the acquisition announced and completed?
Microsemi announced the agreement on October 24, 2006. Its presentation anticipated a close in calendar first-quarter 2007; the transaction actually closed on January 9, 2007, according to Microsemi’s closing announcement and closing Form 8-K.
Why did Microsemi buy PowerDsine?
Microsemi said the acquisition would broaden its Power over Ethernet (PoE) offerings and add PowerDsine’s analog and mixed-signal engineering expertise. CEO James J. Peterson described PowerDsine as a recognized leader in PoE products for growing applications, and said its design team could contribute both in PoE and in other commercial analog and mixed-signal markets Microsemi served.

PoE technology delivers electrical power over Ethernet cabling alongside data. A contemporary EE Times report identified PoE injectors among PowerDsine’s products. That provides historical product context, not evidence that a PowerDsine model is currently sold.

What happened to PowerDsine after the merger?
Under the merger structure, Microsemi’s merger subsidiary merged into PowerDsine, with PowerDsine surviving as an indirect wholly owned Microsemi subsidiary. The structure is stated in the merger filing; the completion is documented in the closing filing.
