For U.S. public-company merger situations, monitor official SEC filings for both the target and the acquirer, use alerts to find new documents, and read each filing against the existing deal terms and timeline. An alert is a pointer to a document—not a conclusion about whether a trade is attractive or a deal will close.
Build a watchlist for every company in the situation
Start with the public companies and securities involved. In a merger arbitrage situation, follow both the target and the acquirer: either company may file material information about terms, approvals, timing, or completion. EDGAR is the U.S. SEC filing system; it does not provide complete coverage of every market or jurisdiction.
Keep a simple record for each situation: company name, ticker or other identifier, SEC Central Index Key (CIK) when known, relevant filing feeds, the deal documents you are using as a baseline, and the latest transaction milestones. This makes it easier to distinguish a new development from an old filing or an unrelated company report.

Subscribe to SEC filing alerts
- Open EDGAR company search. Find the target company, then subscribe to its search results. Repeat for the acquirer and any other public company whose filings are material to the transaction. The SEC says company-search subscriptions can provide the most recent filings and can be filtered by filing type. SEC EDGAR search.
- Add a broader latest-filings feed if useful. The SEC’s latest-filings search can be filtered by company, CIK, or form type, and EDGAR search results provide RSS subscription links. Use these feeds to broaden discovery or monitor a specific filing category. SEC EDGAR search.
- Choose filters deliberately. A narrow form-type filter may reduce noise, but an overly narrow filter can miss an unexpected filing relevant to the deal. Start with coverage of both companies, then adjust filters after reviewing the kinds of filings appearing in the feed.
The SEC materials describe the EDGAR/RSS baseline; they do not establish a guaranteed notification speed. Treat an alert as a discovery aid and verify the filing on EDGAR.

Read the filing, then check what changed
Form 8-K is a current report used for material corporate events. The SEC says most required 8-K disclosures are due within four business days of the triggering event, while some are due sooner. That filing timetable means an alert workflow cannot guarantee immediate public notice of every development. The SEC describes the purpose of the form this way: “Form 8-K provides investors with current information to enable them to make informed decisions.” SEC Investor Bulletin: How to Read an 8-K.
When an alert arrives, open the underlying document and compare it with the last relevant deal documents and your current timeline. Record a change only when the filing supports it. In particular, check:

- Transaction consideration or other stated deal terms.
- Conditions to completion and any reported change in their status.
- Regulatory, board, or other approval status described in the filing.
- Shareholder meeting dates, vote results, or other reported vote milestones.
- Deadlines, extensions, termination rights, or timing updates.
- Whether the filing reports signing, a delay, termination, or completion.
This is a practical review checklist, not a claim that every item must appear in a particular filing. Read the filing’s full context, including exhibits and referenced documents, rather than inferring a change from an alert headline alone.

EDGAR pages and automated alerts can include voluntary submissions alongside required filings. In a 2026 proposed-rule discussion, the SEC noted that voluntary notices can appear alongside required filings and may make required materials harder to locate. Check the filing type and source before treating an alert as an official transaction update; use filters where they help, but do not assume every alert has equal significance. SEC 2026 proposed rule.

Keep a dated event log
A lightweight event log helps prevent missed context and makes amendments easier to compare. For each item, record the filing date, company, form type, document link, the specific reported change (if any), and the deal milestone it affects. Keep prior versions or links so that an amended agreement or updated disclosure can be checked against the earlier record. Separate what the filing says from your interpretation; the filing is evidence, while the investment judgment is yours.
Choose a monitoring setup by its coverage and controls
The free SEC EDGAR/RSS workflow is the official starting point for U.S. company filings. When assessing any setup, consider whether it covers every relevant company and filing type, how precisely it filters alerts, how quickly it notifies after publication, whether it links to the primary document, and whether expanded workflow features cost extra. Current commercial service speeds, coverage, and prices are not established here, so compare those details directly before relying on a paid service.
