Physical security teams should be involved in mergers and acquisitions before a target is identified—not only after a deal closes. The right work depends on whether your organization is preparing for a possible acquisition, integrating a named target, or managing a continuing stream of acquisitions. Which situation matches your business?
How the three M&A scenarios differ

These are planning situations, not a scored maturity model. An organization may move from preparation to an active deal, while frequent acquirers may need readiness and integration practices to operate at the same time.
Before a target is identified: build readiness
Early involvement gives security a chance to shape assumptions, identify likely needs, and make integration costs visible before a transaction schedule is fixed.

Give security a place in M&A planning
Ensure a security leader can contribute to the M&A committee or equivalent planning group. Describe the organization’s risk profile in a way that can be compared with a potential target, and outline the security questions that should be raised as a deal takes shape.

Prepare for different deal sizes
Develop adaptable plans for smaller and larger acquisitions rather than relying on one generic checklist. Identify likely costs for systems migration, retraining, change management, and travel. Estimate preliminary integration costs and consider relevant compliance expectations and timelines; the exact requirements depend on the organizations, locations, and transaction.
Reduce avoidable complexity
Where operationally sensible, simplify or standardize core security platforms before a deal adds another environment. This is preparation, not a mandate to force every system into one design: risk, site needs, and the systems involved determine what can be consolidated.

Prepare the people side
Review security team structures and processes, and create role-mapping templates that can help compare responsibilities across organizations. This makes it easier to identify overlapping duties, missing expertise, and training needs when a target becomes known.
When a deal is underway: coordinate and establish a baseline
Once a target is identified, security needs to contribute early and regularly to deal discussions. A fast-moving transaction can leave little time to build consensus, so communicate specific risks, needs, and decisions promptly.

Identify the people who understand each environment
Find the relevant subject-matter experts in both organizations, including system administrators, investigators, and other physical security specialists. Assign owners and prepare task checklists so that knowledge and responsibilities do not get lost during the transition.

This baseline helps teams compare the environments using facts rather than assumptions. The inventory should be detailed enough to support the transaction’s decisions, but the specific technical scope depends on the systems, sites, risks, and regulatory context involved.

As systems and teams change, harmonize incident and emergency plans. Make ownership, reporting structures, and escalation paths clear so staff know who acts and whom to contact during the transition.

For recurring acquisitions: adapt the operating model
Organizations that acquire repeatedly face a different constraint: technology, teams, and operating conditions may keep changing. Complete enterprise-wide standardization can be impractical in that setting. Instead, adapt administration, monitoring, and maintenance so they work across a mixed environment.
Consider dedicated capacity for M&A change
Assess whether a dedicated M&A function—with assigned people and resources—would help manage repeated integrations. Its purpose is to maintain continuity across deals and coordinate security’s work, not to impose the same technical design on every acquired organization.
Protect a stable response backbone
Keep incident and emergency response dependable while systems transition. Establish clear plan ownership, reporting, and escalation, even where underlying security platforms or local procedures are not yet uniform.

Make security’s role and timing visible
Stay involved from early planning through post-deal change management, including budget and scheduling decisions. Explain security’s contribution consistently to stakeholders and give realistic integration timeframes; a timetable that omits security work can create avoidable operational strain.
Turn the scenario into a practical next step
- Still preparing: secure a role in M&A planning, develop risk-comparison and deal-size plans, and estimate likely integration needs and costs.
- Integrating now: maintain active committee communication, identify experts in both organizations, and create a current inventory before making integration decisions.
- Acquiring repeatedly: adapt support for mixed systems, consider dedicated capacity, and keep incident response clear and reliable through each change.
The recommendations here are practitioner guidance, not a technical implementation standard. Platform choices and sequencing must be set against the organization’s actual systems, sites, risk profile, transaction plan, and compliance obligations.
