Offshore drilling backlog is an estimate of future contract revenue under a drilling contractor’s own definition—not revenue already earned, cash already collected, or free cash flow. To understand what it may mean for cash generation, follow the contract from eligible workdays and rate assumptions through performed services, customer collections, operating costs, working capital and capital spending.
What does offshore drilling backlog mean?
Backlog is a company-defined estimate of revenue opportunities associated with contracted future drilling work. It is a snapshot: contracts are performed, amended or won over time, so the figure is meaningful only alongside its measurement date and the rules used to calculate it.
A useful starting model is eligible firm contract days × the rate assumption used in the company’s backlog calculation, with any included fees or other provisions handled according to that company’s definition. It is not a standardized industry measure. One contractor may include items another excludes, and two totals therefore may not measure the same thing.

Firm commitments, options and contract scope
Borr Drilling’s 2025 Form 20-F defines total contract backlog using firm commitments in definitive agreements, including binding letters of award and letters of intent. Its calculation uses firm contract days and maximum contract dayrate revenue, includes mobilization and demobilization revenue, and counts future extension options only after they are exercised. Borr excludes capital or upgrade reimbursements, recharges, bonuses and other revenue sources.

Those inclusions matter: a backlog number is not simply the sum of every possible future payment mentioned in a contract. The company’s definition determines which commitments and revenue components enter the total.
How much of backlog turns into revenue?
Backlog can indicate potential revenue visibility, but it does not guarantee that the full estimate will be reported as revenue. Contractors generally recognize dayrate revenue as they perform drilling services. The rate earned can depend on the work performed and the contract’s terms, while downtime, restrictions, suspension or termination can reduce or shift the amount ultimately earned.
Dayrates can change with operating conditions
Operating work may earn a different rate from periods when operations are interrupted or restricted. Noble Corporation describes higher rates for operating time and lower or zero rates in some interrupted or restricted periods. Borr says it recognizes dayrate revenue for the specific activities performed, which can produce a full, reduced or zero rate. Transocean warns that actual rates may be lower than the maximum operating rate used in its backlog measure and that downtime or suspension may reduce earned revenue.

Equipment breakdowns, repairs, weather and operational restrictions are among the conditions that can affect conversion. The contract determines the applicable rate and remedies; the headline backlog total alone does not show how much revenue those days will produce.
Termination terms and fleet changes matter
Review which days the company classifies as firm and what the contract says about customer termination and any early-termination payments. A filing excerpt cited for this topic describes those risks, but its issuer is not identified, so it cannot establish terms for any particular contractor. For a company-specific assessment, use that company’s own contract and filing disclosures.
Also check whether the backlog is tied to rigs that may leave the operating fleet. Noble’s filing says its backlog table included approximately $84 million associated with six rigs classified as held for sale as of December 31, 2025. That is a dated disclosure about the scope of Noble’s table, not a general estimate of how much backlog will convert.

Why backlog figures from different contractors may not compare
The definitions and snapshots below illustrate why headline totals should not be ranked without checking their scope. The figures are not directly comparable: they cover different companies, dates and calculation rules.
| Company and date | Disclosed figure | What the disclosure says it represents |
|---|---|---|
| Transocean Ltd., February 19, 2026 | $6.06 billion | Contract backlog calculated using maximum contractual operating dayrate multiplied by remaining firm contract days, with certain probable performance provisions. The measure excludes mobilization, demobilization, contract preparation, other incentive provisions and reimbursements not expected to be significant to contract drilling revenue. |
| Noble Corporation plc, December 31, 2025 | Approximately $84 million | Backlog associated with six rigs classified as held for sale, included in the company’s backlog table. This is not Noble’s total backlog. |
Transocean’s $6.06 billion is a company-defined figure reported on February 19, 2026; it is neither an industry-wide total nor a cash-flow forecast, and it should not be treated as a current October 2026 balance. Borr’s 2025 Form 20-F illustrates a different scope by including mobilization and demobilization revenue in its total backlog definition. Differences like these can make raw totals misleading even before considering rate assumptions or operating risk.
What to check before comparing two companies
- Measurement date: identify when the backlog was reported; work performed and new contracts can change the balance.
- Commitments counted: check how the company treats firm contract days, letters of award or intent, exercised options, termination notices and performance provisions.
- Rate basis: determine whether the calculation uses maximum operating rates or another assumption, and how standby, repair, weather or other lower-rate periods affect actual revenue.
- Fees and reimbursements: check the treatment of mobilization, demobilization, preparation, upgrades, bonuses and reimbursable costs.
- Fleet scope: note backlog tied to rigs held for sale, not yet earning, or otherwise exposed to changes in the operating fleet.
When does contract work become reported revenue?
Revenue recognition follows accounting rules and contract terms, not simply the date a contractor receives cash. This is particularly relevant to mobilization and demobilization amounts, which companies may account for over a contract term rather than as stand-alone revenue when the related activity occurs.
Rank #4
Mobilization and demobilization
Borr says pre-operating activities such as mobilization, contract preparation, customer-requested goods or services and capital upgrades are generally not distinct promises in the contract. Mobilization amounts received are recorded as a contract liability and amortized to dayrate revenue over the firm term. Borr estimates demobilization revenue at contract inception and recognizes it over that term only to the extent it is estimable and a significant reversal is not probable.
Noble likewise describes mobilization and demobilization as not distinct within the contract, with associated revenues and costs recognized over the initial contract term. Its filing says demobilization revenue can depend on conditions at contract completion and may be constrained by contract facts and market conditions.
As a result, a fee may be collected before the corresponding revenue is recognized, while estimated revenue may be recognized over a contract term before the related cash is received. The precise accounting depends on the contractor’s contract facts and disclosures.

How does backlog translate into free cash flow?
Backlog does not provide a direct conversion rate to free cash flow. Revenue is an accounting measure; free cash flow depends on cash actually collected and cash paid out. A company-level analysis needs a separate bridge, with a clearly stated definition of free cash flow and treatment of interest and taxes.
- Estimate revenue earned: start with work performed and applicable dayrates, not just the backlog balance; account for downtime, rate changes and contract terms.
- Trace cash collection: examine customer receipts, receivables, contract assets and contract liabilities to understand when revenue is collected or cash arrives ahead of recognition.
- Subtract operating cash outflows: consider cash costs required to operate the rigs and fulfill the contracts.
- Account for working capital: changes in receivables and other operating balances can make cash flow differ from reported earnings in a period.
- Subtract capital spending: include maintenance and upgrade spending, then apply the company’s stated free-cash-flow definition, including its treatment of interest and taxes.
The cited company disclosures explain backlog and revenue recognition mechanics, but do not provide a reconciled backlog-to-free-cash-flow bridge for a named contractor. There is therefore no supported backlog-to-FCF percentage to apply to these figures.
How to use backlog as an investor
Read backlog as one input into future revenue visibility, not as a standalone forecast of cash generation. For a specific contractor, start with the latest dated disclosure and read its definition alongside contract terms, fleet plans and financial statements. Then assess whether the work is likely to be performed at the assumed rates, when revenue is recognized, how quickly customers pay, and what operating and capital costs must be funded to deliver the work.
