Choose a fixed-price contract when the website’s deliverables and acceptance criteria are clear enough to price reliably. Choose time-and-materials (T&M) when requirements or technical work are likely to evolve and you can actively monitor spending. Fixed price shifts more cost-overrun risk to the provider; T&M gives the buyer more cost flexibility but less certainty about the final bill.

The right choice depends on how well the work is defined, how changes will be handled, and which party can best manage uncertainty. Government procurement guidance helps explain these trade-offs, but it does not automatically govern private client-agency agreements.

How fixed-price and T&M contracts differ

Useful controls Specific deliverables, acceptance tests, assumptions, exclusions, responsibility for dependencies, milestones, and a written change process. Named roles and rates, time records, regular reports, approval thresholds, estimates or ceilings, and review points.

This is a practical comparison, not a universal legal definition. The U.S. Federal Acquisition Regulation (FAR) describes fixed-price contracts as placing substantial cost risk on the contractor, and distinguishes payment for effort from payment tied to results. UK Cabinet Office guidance likewise connects pricing choices with specification clarity and delivery-risk allocation. Those sources address public procurement, not every private web project: FAR Subpart 16.2, FAR Part 16, and UK Cabinet Office pricing guidance.

When a fixed price makes sense

A fixed price works best when the parties can describe what the provider must deliver and how the client will decide it is complete. A price alone does not define the scope: the statement of work, acceptance criteria, assumptions, and change procedure do that.

Define the work and acceptance

List the pages, functions, integrations, and other deliverables included. Set objective acceptance tests where practical—for example, which user actions a checkout flow must support or which browsers the site must work in. Explain how the client reviews a delivery, how defects are reported, and what happens if acceptance criteria are not met. Avoid relying only on broad phrases such as “complete website” or “launch-ready.”

Assign dependencies and assumptions

Record who supplies copy, images, design assets, hosting access, credentials, third-party accounts, and approvals, and by when. State how delays or missing inputs affect the schedule and price. List exclusions—such as content entry, ongoing hosting, or post-launch support—if they are not included. These details reduce disputes about whether the provider’s fixed amount covered work that was never clearly specified.

Make changes a deliberate decision

Set out how either party can request a change, how its effect on price and schedule will be assessed, and who must approve it. Require written approval before changed work begins. Without that process, a “fixed” price can become a source of disagreement when a client’s evolving wish list goes beyond the priced scope.

FAR guidance emphasizes the relationship between contract type and the work being acquired; UK pricing guidance stresses specification clarity and appropriate risk allocation. Applying those principles to a private website contract is a drafting choice, not a rule imposed on private parties by those sources: FAR fixed-price guidance and UK guidance.

When time-and-materials makes sense

T&M can suit work where discovery may reveal new requirements, the technical approach is not yet clear, or priorities will change as users and stakeholders respond to working software. The U.S. Digital Service TechFAR Handbook says agile software development is not limited to fixed-price arrangements and discusses T&M or labor-hour contracts when requirements cannot be defined sufficiently for fixed pricing and costs cannot be estimated accurately enough. That is federal procurement context, not a blanket recommendation for private projects: TechFAR Handbook.

Set rates and billing rules

Specify each role’s rate, how time is recorded and billed, what increments are used, and whether materials or third-party expenses are reimbursable. Clarify whether meetings, project management, testing, and rework are billable, and who may authorize work. This makes invoices easier to assess and reduces surprises about what counts as project time.

Control the budget without pretending it is fixed

Ask for an initial estimate and regular forecasts of actual spend, work completed, and expected remaining effort. Set an approval threshold or a not-to-exceed ceiling if appropriate, and identify the person authorized to approve spending past it. State whether the provider must pause work when a threshold is reached until the client gives written approval. A ceiling is useful only if the contract explains what happens when it is approached or exhausted.

Review progress and value

Use agreed review points to compare completed work with time charged and decide whether to continue, change priorities, or stop. GAO’s 2022 report describes T&M and labor-hour contracts as riskier in federal procurement because billing is hourly and more hours can mean more cost; it also discusses periodic assessments, including whether parts of the work can be shifted to fixed price as they become better understood. This does not establish that every T&M provider works inefficiently. It illustrates why visibility and review matter: GAO report.

How to choose the payment structure

  1. Write down the outcome. Describe the site or capability needed, its users, essential functions, and what counts as acceptable delivery.
  2. Identify what is still unknown. Separate unresolved scope, technical risks, dependencies, and decisions that may change after discovery or testing.
  3. Ask whether the work can be estimated credibly. If scope and acceptance are stable, request a fixed-price proposal. If significant uncertainty remains, consider T&M with explicit reporting and approval controls.
  4. Compare proposals on more than the headline price. Review exclusions, assumptions, rates, milestones, acceptance, client responsibilities, change rules, and treatment of delays.
  5. Match risk to control. Choose the arrangement under which the party best able to manage the uncertainty has a workable incentive and the other party has enough visibility to make decisions.
  6. Check the actual agreement and governing law. Public procurement rules are not automatically terms of a private client-agency contract. Obtain qualified legal advice where the stakes or terms warrant it.

FAR Subpart 16.1 addresses selection of contract types for federal acquisitions. Its principles support choosing deliberately rather than defaulting to one model, but its provisions do not bind ordinary private web-development projects: FAR Subpart 16.1.

Consider a staged or hybrid arrangement

Not every project needs one payment structure from discovery through launch. A practical option is to use T&M for a bounded discovery phase, then price defined deliverable increments at fixed amounts once the parties understand the work. Another option is to keep uncertain work on T&M while fixing the price for well-specified components. The parties should define the boundary between the work types, approvals, and handoff conditions.

This is an application of the flexibility described in public procurement guidance, not a prescribed formula for web projects. FAR allows different contract types or combinations where appropriate, and UK guidance treats risk allocation and payment mechanisms as design choices: FAR contract selection and UK pricing guidance.

Contract questions beyond the payment model

Neither fixed-price nor T&M settles every important term. Before signing, address ownership and licensing of custom code, designs, documentation, and other deliverables; third-party software and service costs; security and access responsibilities; post-launch support; termination rights; and what happens to work in progress if the engagement ends. The cited procurement sources explain pricing and risk allocation; they do not determine these terms for your private agreement.
