Choose an archive by mapping your actual recordkeeping obligations to the records, preservation method, discovery and export requirements, and operating controls it must support. For U.S. financial-services firms, SEC, FINRA, and CFTC rules illustrate why a compliant system is more than a storage location: an applicable electronic recordkeeping system may use WORM preservation or, under the amended SEC framework, a complete time-stamped audit trail that permits reconstruction. These are examples, not a universal checklist; requirements depend on jurisdiction, industry, record type, and the facts of your organization.

What does a regulatory archive need to do?

A regulatory archive preserves records for the required period and makes them retrievable, understandable, transferable, and producible when needed. Depending on the applicable rule and record class, it may also need to prevent alteration or deletion, or preserve a complete audit trail that allows changes and deletions to be reconstructed. It must fit the organization’s retention schedule, legal holds, source systems, and procedures—not merely offer a feature labeled “compliance.”

Start by identifying the rules that apply to your organization and the specific records they cover. SEC Rules 17a-4 and 18a-6, FINRA Rule 4511(c), and CFTC Regulation 1.31(c)-(d) are useful U.S. financial-services examples, but they do not establish one retention period or design for every firm, record, or industry. Have legal, compliance, records-management, and technical owners validate the obligations before configuring a platform.

Map obligations to records before comparing products

Build an inventory of information the organization creates or receives that must be preserved. Include the business systems and communications channels involved, not just files already stored in a central repository. FINRA’s report highlights business-related communications as records firms may need to preserve and supervise. The relevant record classes and scope still depend on the firm’s obligations.

For each class, document the governing rule, what event starts retention, the required duration, any hold or suspension process, deletion constraints, and the business owner. A retention period copied from another organization—or applied uniformly to all data—can be wrong. The archive’s rules should reflect the organization’s approved schedule, including what happens when a hold conflicts with ordinary disposal.

  • Record and source: identify what must be kept, where it originates, and how it enters the archive.
  • Retention trigger and duration: record the start event and applicable period for that class, as confirmed by the responsible stakeholders.
  • Hold and correction behavior: define how legal holds, investigations, corrections, and exceptions affect retention and access.
  • Disposition: specify who can authorize deletion after retention expires and how exceptions are documented.

WORM storage or an audit trail?

Do not assume WORM—write once, read many—is the only permitted approach. The amended SEC framework described by Microsoft and the SEC staff FAQ provides an audit-trail alternative to preserving records exclusively in a non-rewriteable, non-erasable format. The appropriate path depends on the entity, system, applicable requirement, and implementation. FINRA’s amendment summary also discusses record and audit-trail usability, along with redundancy capabilities.

Immutable or WORM preservation

WORM controls are intended to prevent rewriting or erasure during the configured retention period. Verify the lock mode, scope, duration, administrative permissions, and interaction with holds in the actual deployed service. A product name or a WORM checkbox is not proof that the organization’s records are protected as required. The operating design must also account for how records are indexed, found, exported, and eventually disposed of when permitted.

Time-stamped audit-trail preservation

For an audit-trail route, establish that the system records changes and deletions with complete time stamps and, where applicable, actor identity, and that it can reconstruct the original record. Test this using realistic changes and retrievals rather than relying on a product description. Confirm that the trail itself is retained, searchable, exportable, and protected for the required period.

The decision is not a general contest between “safer” immutability and “more flexible” auditability. Determine which route the relevant rule permits for the entity and system, then validate that the chosen configuration and operating process meet it.

What are the main archive tool patterns?

Two broad patterns appear in the available service descriptions. They solve different operational problems and are not interchangeable turnkey compliance products. Compare them against the systems that generate the records, how records will be ingested, and the time and format in which the organization must produce them.

Pattern Examples Questions to evaluate
In-place productivity-suite retention and discovery Microsoft 365 retention and preservation policies, Microsoft Purview Data Lifecycle Management, eDiscovery (Premium), Audit (Premium), and Preservation Lock Which workloads and record types are covered? How do policies interact with normal user workflows? Can holds, searches, audit review, and eDiscovery cover the required scope? What configuration assumptions apply to locks and assessments?
Cloud object or storage-based immutable archive AWS S3 Object Lock, S3 Glacier Vault Lock, FSx for NetApp ONTAP with SnapLock, and AWS Backup Vault Lock What is locked, for how long, and under which WORM mode? How are holds, indexes, metadata, retrieval, export, and redundancy handled? Does the assessment cover the intended service and configuration?

In-place retention may be attractive when the relevant records already live in covered productivity workloads and investigators need search and discovery in that environment. Storage-based approaches may fit records being written to a separate object or storage layer. Those are selection considerations, not guarantees about a particular deployment; validate workload coverage, ingestion, and administrative controls against your own architecture.

How to evaluate a candidate archive

1. Confirm capture and workload coverage

List each source system, record type, communication channel, and metadata field in scope. Determine whether the candidate preserves the original content and the context needed to identify it, or whether another connector, export process, or archive is needed. Ask what happens when a source is unavailable, a connector fails, or a record is corrected after capture. Test coverage using representative records from the actual workloads rather than relying on a broad platform label.

2. Test preservation, holds, and administration

Demonstrate the selected preservation method in a test environment. For WORM, test whether authorized and ordinary administrators can alter or delete a locked record before expiry. For an audit-trail design, alter and delete representative records, then verify that the trail records the event and supports reconstruction. Exercise legal holds, policy locks, role separation, and exceptions. Record which roles can change retention settings and how those changes are logged.

3. Prove discovery and production

Test a realistic request from search through delivery. Can authorized staff locate records using relevant dates, identities, terms, and other metadata? Is the content readable without the original application? Can the firm export it in a human-readable form and a reasonably usable electronic format, along with the information needed to locate records and the audit trail? FINRA’s amendment summary describes these usability and transfer concerns. Measure retrieval and review using the organization’s own workload and deadlines; no generic product claim establishes that result.

4. Assess resilience and operational controls

Review redundancy, recovery, encryption, access control, audit logging, retention policy locks, hold procedures, and exit or migration plans. FINRA’s summary describes a compliant backup electronic recordkeeping system or other redundancy capabilities with equivalent protection. Determine how the proposed design meets the applicable obligation and how the organization will detect and respond to failed ingestion, missing data, unauthorized access, or a recovery event.

5. Read assessments narrowly

Vendor assessments are evidence about defined services and configurations, not a transfer of the buyer’s responsibility or a blanket compliance guarantee. Microsoft points to Cohasset assessments for selected Microsoft 365 services; its regulatory-resource page identifies a cited Microsoft 365 Cohasset assessment version released in July 2022 and reports that the page was updated September 26, 2025. AWS identifies independent assessments for specified storage services. For either vendor, check the assessment date, rule paragraphs, workloads, service tiers, and assumptions, then compare them with the configuration actually under consideration.

Implementation plan: from requirements to a defensible operating system

  1. Set the scope. Have legal and compliance stakeholders identify the applicable jurisdictions, rules, record classes, retention triggers, holds, and production expectations.
  2. Map sources and ownership. Assign each record class to a source system, capture method, business owner, and operational owner. Identify gaps such as unconnected communications channels or missing metadata.
  3. Select the preservation path. Determine whether the applicable requirement is met through WORM or an audit-trail alternative, and document why the selected path applies to the entity and system.
  4. Configure and test controls. Validate retention rules, locks, holds, access roles, audit events, redundancy, export, and recovery with representative records. Preserve test evidence and approvals.
  5. Establish ongoing operations. Define how staff monitor ingestion, investigate failures, approve policy changes, fulfill requests, handle holds, review access, and document exceptions.
  6. Plan exit and change. Confirm that records, metadata, and trails can be transferred in usable form if the organization changes providers, source systems, or retention design. Reassess when obligations, workloads, configurations, or vendor assessment scope change.

Common failure modes and how to address them

  • “The vendor says it is compliant.” A service assessment may cover selected workloads and a particular configuration. Match its scope and assumptions to the deployment; the organization remains responsible for its settings and procedures.
  • Records are retained but cannot be produced usefully. Search, metadata, readable rendering, machine-usable export, audit-trail transfer, and retrieval should be tested as one end-to-end request—not treated as optional conveniences.
  • A WORM label masks a configuration gap. Check the locked object or data scope, duration, permissions, and hold behavior directly. Verify that records actually enter the protected scope and remain there for the required period.
  • An audit log exists but cannot reconstruct records. Test changes and deletions and confirm the complete trail, timestamps, identity information where applicable, and reconstruction procedure. Retaining an event log alone does not establish that reconstruction works.
  • Retention policies conflict with holds or normal workflows. Test the interactions before production rollout, document exception ownership, and make sure authorized staff can preserve records without silently weakening the policy.
  • Recovery or migration is assumed rather than proven. Exercise the organization’s recovery and export procedures. Confirm that metadata and audit information accompany content and that the resulting output is usable outside the platform.

Cost, performance, and reliability: what to measure

The cited material does not establish comparable prices, retrieval speeds, durability figures, or failure rates for the services listed here, so a buyer should not treat an unsourced headline number as a decision basis. Build a workload-specific evaluation instead. Estimate the volume and growth of records, the frequency of search and retrieval, export sizes, indexing needs, and the effort required to operate holds, policy changes, and investigations. Ask vendors for applicable pricing and service terms, then model the organization’s own use rather than extrapolating from an unrelated benchmark.

Measure ingestion completeness and latency, search usefulness, export time, restoration behavior, and staff effort with representative records. Include unusual but important cases: long-running holds, high-volume searches, source-system changes, provider exit, and recovery after an interruption. Reliability depends on the complete design—source capture, configuration, monitoring, redundancy, recovery, and trained operators—not only the storage product.
