An analyst price target is a share-price conclusion in an equity research report; fair value is an estimate of an asset’s worth under a stated definition and assumptions. A target may be based on an analyst’s valuation estimate, but the terms do not guarantee the same method, assumptions, or time horizon. To compare them, read how the report defines and calculates each figure.
What is fair value?
Fair value is not one universal stock-market formula. Its meaning depends on the valuation context and the definition being used. CFA Institute describes valuation broadly as estimating an asset’s value using factors such as expected future investment returns, comparisons with similar assets, or—in relevant cases—proceeds from immediate liquidation.
CFA Institute distinguishes fair value from intrinsic value. It defines intrinsic value as an asset’s value given a hypothetically complete understanding of its investment characteristics. Fair value, in its described sense, is the price informed parties who are not under compulsion would exchange for an asset or liability. These concepts can overlap in practical analysis, but they are not interchangeable by definition. CFA Institute’s valuation reading discusses these value concepts.
What is an analyst price target?
A price target is the analyst’s stated share-price conclusion in an equity research report. It may be derived from discounted cash flow analysis, valuation multiples, or another method. The target’s meaning depends on the report: its assumptions, the analyst’s chosen method, and any stated time horizon.

A target is not a guaranteed future market price. FINRA’s 2012 Regulatory Notice 12-29 says a price target in a research report should have a reasonable basis, with the valuation method and risks that could prevent the target from being reached disclosed. This describes the notice’s guidance; it is not a substitute for current compliance advice.
How the two estimates differ

The figures can coincide if a target is set from a valuation estimate, but the label alone does not establish that relationship. A report might use a particular value concept to reach a target while applying a separate horizon or assumptions. CFA Institute notes that analysts may use more than one valuation model because models have different applicability and sensitivity to inputs. Its discussion of valuation methods also highlights the variability estimates can have.

How to compare a target or fair value with the share price
- Identify the value concept. Check whether the report means intrinsic value, fair value, market value, or another stated basis. The phrase “fair value” alone may not tell you which definition is intended.
- Find the method and assumptions. Look for the model and its key inputs, including forecasts or comparable-company measures. Different models and inputs can produce different estimates.
- Check the horizon and risks. Determine when the target is meant to apply, if the analyst states a horizon, and what could keep it from being reached. FINRA’s 2012 notice calls for disclosure of the valuation method and risks that may impede a target.
- Interpret the gap cautiously. Comparing an estimate with the market price can suggest that a security looks undervalued, fairly valued, or overvalued under the chosen assumptions. But a small difference is not decisive: valuation inputs are uncertain, and analysts may require a marked difference before describing a security as misvalued. - Read the recommendation in context. Consider the analyst’s reasoning and any disclosed conflicts. The SEC’s investor alert on research analysts cautions that analyst recommendations may affect stock prices and discusses potential conflicts of interest.
What to take from an estimate
Treat a price target or fair value figure as the conclusion of a particular analysis, not as a stand-alone fact. For a useful comparison, make sure the estimates refer to the same value concept and examine their methods, assumptions, horizons, risks, and disclosures. If those differ, the numerical gap may reflect differing approaches rather than a simple disagreement about where a stock should trade.
