CoreWeave completed its acquisition of AI developer-platform company Weights & Biases (W&B) on May 5, 2025. The companies said the deal would pair W&B’s model-development tools with CoreWeave’s AI cloud infrastructure. The $1.7 billion figure in the headline is not confirmed by the reviewed SEC filings as the final purchase-accounting amount: CoreWeave first reported approximately $1.4 billion in cash and stock consideration, then reported a $1.029 billion total purchase price in its FY2025 annual filing.
When did CoreWeave acquire Weights & Biases?
CoreWeave announced an agreement to acquire W&B on March 4, 2025, and announced that the transaction had closed on May 5, 2025. The deal was subject to customary closing conditions, including regulatory approvals, when announced. CoreWeave’s March 4 announcement described W&B as an AI developer platform for model training, application evaluation, and monitoring; its closing announcement confirmed completion.
How much did CoreWeave pay for Weights & Biases?
The SEC filings report different figures at different stages and under different accounting categories. They do not establish the $1.7 billion headline figure as the final purchase-accounting total.
| Disclosure | Reported amount | What it represents |
|---|---|---|
| CoreWeave Form 10-Q for the quarter ended March 31, 2025 | Approximately $1.4 billion | Cash and stock consideration, subject to purchase price adjustments, as described in the quarterly filing. |
| CoreWeave FY2025 Form 10-K | $1.029 billion | Total purchase price reported in the annual filing: $96 million cash, $929 million fair value of Class A common stock and restricted stock awards, and $4 million fair value of replacement restricted stock units. |
The annual filing also describes $123 million in stock-based award compensation arrangements. Of that amount, $33 million was recognized in the purchase price; the filing says the remainder is compensation expense over the awards’ service period. These are separate reported figures, not interchangeable versions of one simple cash price. The reviewed filings do not explain how the $1.7 billion headline figure was derived. CoreWeave’s March 2025 Form 10-Q and FY2025 Form 10-K provide the filing contexts.

Why did CoreWeave want W&B?
The stated strategic rationale was to connect tools used to develop and evaluate AI models with infrastructure used to train and run them. CoreWeave provides cloud infrastructure and managed services; W&B’s platform supports experiment tracking, model training workflows, evaluation, and monitoring. The companies presented the combination as a way to make it easier to build, tune, deploy, and monitor AI applications.
That was the companies’ intended benefit, not a demonstrated measure of post-acquisition performance. At the announcement, W&B co-founder and then-CEO Lukas Biewald said, “We have long admired CoreWeave.”

What changed for W&B users?
CoreWeave’s current W&B page describes W&B as a product within CoreWeave Forge, with tools for experiment tracking, evaluation, and model improvement. The company says W&B remains cloud-agnostic, so customers can use it across infrastructure providers rather than being required to move workloads to CoreWeave. Some other Forge services run on CoreWeave compute. These are CoreWeave’s current product and compatibility statements, not an independent assessment. CoreWeave’s W&B page, accessed October 5, 2026, says:
- Free, Pro, and Enterprise SaaS accounts sign in through CoreWeave Forge using existing credentials.
- Self-hosted and dedicated-instance accounts remain unchanged.
- Existing contract pricing is not changing as part of the move to Forge.
CoreWeave also publishes adoption figures on that page: more than 1 million AI practitioners at 1,400+ companies use W&B, and teams have tracked more than 1 billion runs. These are company-published figures, not independently audited market statistics.

Does the acquisition mean W&B is exclusive to CoreWeave?
No, according to CoreWeave’s current product page. It says W&B remains cloud-agnostic, and the companies’ closing announcement emphasized customer flexibility across deployment options, infrastructure providers, models, frameworks, and protocols. That is the stated interoperability commitment; it should not be read as independent proof of how every integration works in practice.
