The European Commission cleared NVIDIA’s acquisition of GPU-orchestration company Run:ai without conditions on 20 December 2024. The review was possible because Italy used its national powers to call in the deal and referred it to the Commission under Article 22 of the EU Merger Regulation—even though the transaction did not meet the regulation’s turnover thresholds for an EU dimension.

What happened—and when

NVIDIA agreed to acquire sole control of Run:ai through a share purchase agreement dated 19 April 2024. The agreement contemplated NVIDIA acquiring 100% of Run:ai’s share capital. Italy’s competition authority used national call-in powers and referred the transaction to the European Commission. The Commission accepted the referral request on 31 October 2024, and NVIDIA formally notified the deal on 15 November.

On 20 December 2024, the Commission adopted an Article 6(1)(b) non-opposition decision, declaring the transaction compatible with the internal market and the European Economic Area (EEA) Agreement. The Official Journal later published its notice of non-opposition on 21 May 2025. The December date is the decision date; the May date is the notice’s publication date.

How the EU could review a deal below its merger thresholds

The Commission said the transaction had no EU dimension because the companies’ turnover did not reach the thresholds in Article 1 of the EU Merger Regulation. That did not prevent review: Italy required notification under its national law, called the transaction in, and referred it to the Commission under Article 22.

As the Commission explained in its announcement of the clearance, Article 22 can allow a Member State to ask the Commission to examine a deal without an EU dimension when it affects trade between Member States and threatens to significantly affect competition in the referring state or states.

What NVIDIA and Run:ai do

NVIDIA designs and supplies accelerated-computing platforms, including GPUs used in datacentres. GPUs perform parallel computation; Run:ai’s software schedules workloads across GPU clusters, helping allocate computing work among available accelerators. The companies’ products therefore occupy complementary parts of an AI-computing stack, rather than directly competing as the same type of product.

The two competition risks the Commission examined

The Commission assessed discrete GPUs used in datacentres and GPU-orchestration software. Its review considered whether the merged company might use control of one product to disadvantage competitors in the other.

The Commission found Run:ai did not have a significant position in the market and that customers had credible alternatives with similar advanced features, as well as the option to develop orchestration software in-house.

The Commission said NVIDIA likely held a dominant position in the global market for discrete datacentre GPUs. It nevertheless concluded that the acquisition raised no competition concern in the markets examined in the EEA or Italy and cleared it unconditionally. The public decision discusses the compatibility analysis and alternatives in more detail. It notes potential differentiation in Run:ai’s advanced GPU features, while finding that alternatives and in-house development constrained the company’s position. What the clearance does—and does not—say

The decision records the Commission’s competition assessment of this transaction on the evidence before it. It does not establish that the acquisition could never affect competition, or predict every future market effect. In its 20 December 2024 announcement, then-Executive Vice-President Teresa Ribera said the Commission had carefully examined potential effects in markets important to AI and future competitiveness, and that its market investigation confirmed other software compatible with NVIDIA hardware would remain available. She also described the case as illustrating the role of Member State referrals in allowing the Commission to review potentially problematic transactions.
