ServiceNow completed its acquisition of Moveworks on December 15, 2025. The company announced a $2.85 billion deal in March 2025, payable in cash and stock and subject to customary purchase price adjustments. That announced transaction value is different from the $2.4 billion aggregate purchase price consideration ServiceNow later reported for acquisition accounting.

Did ServiceNow complete the Moveworks acquisition?

Yes. ServiceNow announced the agreement on March 10, 2025, and said the acquisition closed on December 15, 2025. The completion date is confirmed in ServiceNow’s closing announcement.

How much did ServiceNow pay for Moveworks?

ServiceNow announced a transaction value of $2.85 billion on March 10, 2025, payable in a combination of cash and stock and subject to customary purchase price adjustments. The company’s later SEC filing reports $2.4 billion in aggregate purchase price consideration for acquisition accounting. These figures describe different measures in different contexts; the filing does not establish that the announced value was corrected to $2.4 billion.

The filing also references approximately 9.6 million shares as the stock consideration basis, using the December 15, 2025 closing price of $153.04 per share. Why did ServiceNow buy Moveworks?

ServiceNow’s stated rationale was to bring together its workflow automation and agentic AI capabilities with Moveworks’ employee-facing AI assistant and enterprise search. In its completion announcement, the company also named Moveworks’ agentic Reasoning Engine as part of the combination. These are ServiceNow’s descriptions of the strategic and product fit, not independently measured evidence of performance or customer outcomes. The original rationale appears in ServiceNow’s March 2025 announcement.

In the completion release, ServiceNow president, chief operating officer, and chief product officer Amit Zavery said, “Moveworks accelerates ServiceNow’s vision to put AI to work for people across every corner of every business.” This is the company’s stated ambition, rather than a reported outcome.

What happened to Moveworks’ products?

A 2026 ServiceNow product announcement described EmployeeWorks as combining Moveworks conversational AI and enterprise search with ServiceNow’s unified portal and autonomous workflows. The same announcement said Moveworks continued to be offered as a standalone product in the ServiceNow portfolio. What the deal figures do—and do not—show

The $2.85 billion announced transaction value and $2.4 billion accounting consideration are not measures of market impact, product effectiveness, or return on investment. The available company and filing statements establish the deal terms as announced, the close, and the later accounting measure; they do not establish realized synergies, customer results, acquisition ROI, or whether competing bids existed.
