HPE argued that the U.S. Department of Justice was defining the market too narrowly when it sued to block HPE’s proposed acquisition of Juniper Networks in January 2025. In HPE’s view, combining the companies would create a stronger networking rival to Cisco; DOJ alleged the deal would substantially lessen competition in enterprise-grade wireless local area networking (WLAN). The dispute ended in a settlement, HPE completed the acquisition on July 2, 2025, and a court approved the settlement remedies on August 12, 2026.
Why did HPE call DOJ’s analysis “divorced from reality”?
“Divorced from reality” was HPE’s characterization of the government’s case, not a court’s finding. HPE and Juniper said they strongly opposed DOJ’s attempt to block the acquisition and considered its analysis fundamentally flawed. Their central disagreement was about which part of networking should define the competitive question.
DOJ’s January 2025 lawsuit alleged that the acquisition would substantially lessen competition in enterprise-grade WLAN solutions. That was the government’s allegation, not a judicial determination that the merger was anticompetitive.
Why did HPE say blocking the deal could benefit Cisco?
HPE argued for a broader view of competition
HPE said DOJ focused too narrowly on WLAN rather than considering the companies’ broader networking portfolios. From HPE’s perspective, a combined HPE and Juniper would have more capacity to compete across networking and would give customers a stronger alternative to Cisco. HPE’s court response, as reported by ITPro on February 14, 2025, described the merger as creating “a credible alternative to Cisco.” Those were HPE’s predictions about the deal’s effects, not established outcomes.

The 11% figure was part of HPE’s argument
HPE’s filing argued that the WLAN products at issue represented 11% of Juniper’s revenue, according to ITPro’s 2025 report. That figure is attributable to HPE’s court-response argument; it should not be read as an independently audited finding or as a measure of the market’s competitive significance.
How did DOJ’s case differ from HPE’s account?
The two sides emphasized different competitive boundaries and risks. DOJ’s case centered on enterprise WLAN and alleged that combining the companies would reduce competition in that segment. HPE countered that treating WLAN as the decisive lens omitted the wider networking contest and the possibility that the combined company could challenge Cisco more effectively.

The disagreement was therefore not simply over whether Cisco was a major competitor. It was over how to define the relevant market and whether combining HPE and Juniper would chiefly remove rivalry in enterprise WLAN, as DOJ alleged, or strengthen a broader competitor, as HPE claimed.

HPE and DOJ reached a settlement in June 2025, and HPE completed its acquisition of Juniper on July 2, 2025. The settlement did not leave the transaction untouched: it required HPE to divest its Instant On campus and branch business and provide for licensing Juniper Mist AI Ops source code used in WLAN products. A court approved the settlement on August 12, 2026.

The transaction’s financial figures describe different things. ITPro reported an approximately $14 billion deal value in 2025; HPE’s 2026 SEC filing described approximately $13.4 billion in cash consideration for the completed merger. The reported deal value and the cash consideration are not interchangeable figures.
