Ambarella announced its agreement to acquire Oculii on October 26, 2021, and completed the acquisition on November 5. The move added Oculii’s adaptive radar-perception software to Ambarella’s camera-vision and edge-AI portfolio, with the stated aim of combining radar and camera data in automotive and other systems. The deal’s announced cash terms and its later accounting value are different figures, and Ambarella’s performance claims were not independently verified by the cited sources.

What Ambarella acquired and when

Ambarella announced a definitive agreement to acquire Ohio-based Oculii Corporation on October 26, 2021. The merger closed on November 5, 2021, and Ambarella announced completion on November 8, when Oculii became a wholly owned subsidiary. Why the deal mattered to Ambarella

Ambarella already supplied computer-vision processing for camera-based systems. Oculii brought radar-perception software that Ambarella said could complement camera perception and help fuse radar and camera data on edge-AI systems. The company identified automotive systems as a key application, along with other connected endpoints such as mobile robotics and security. Ambarella described the acquisition as a way to advance sensor fusion.

In the announcement, Ambarella CEO Fermi Wang said Oculii’s team fit the company’s “algorithm-first approach” and its work to fuse sensor data in edge-AI systems. Hong said joining Ambarella would allow Oculii to expand radar-technology development while working within a vision and AI processor company. These statements explain management’s rationale and expectations; they are not independent evidence of customer adoption or results.

How Oculii’s radar software was described

Ambarella described Oculii’s adaptive AI algorithms as software designed to improve radar perception using current production radar chips. Its 2021 announcement said the approach was intended to provide higher resolution, longer range, and greater accuracy, and that the software could run on Ambarella CVflow system-on-chips alongside radar radio-frequency solutions. The release promoted the claim “up to 100X higher radar resolution.” That figure and the other performance benefits are Ambarella’s claims: the cited materials do not give independent benchmark methods or test results establishing them. What the acquisition cost—and why two figures appear

Ambarella’s November 8, 2021 closing announcement described approximately $307.5 million in cash consideration under the merger agreement, subject to customary adjustments. Its FY2022 Form 10-K later reported total purchase consideration of $355.7 million for acquisition-accounting purposes. These figures describe different measures: the first is the announced cash consideration under the deal terms, while the second is the total purchase consideration reported in the financial statements. What Ambarella said about the technology later

In a 2023 announcement, Ambarella described a centralized 4D imaging-radar architecture combining Oculii algorithms with its CV3 domain-controller family. This indicates how Ambarella later positioned the technology within a system architecture.
