What changed on September 10, 2004?
Bookham Technology plc completed a corporate redomiciliation: a newly incorporated Delaware company, Bookham Inc., became the parent company through a UK court-approved scheme of arrangement. Under the reported exchange terms, each ten existing Bookham ordinary shares were exchanged for one share in the new company. Bookham then said it was headquartered in San Jose and listed on the Nasdaq National Market as BKHM. Bookham’s September 10 announcement and contemporary reporting on the proposal describe the transition.
Why did Bookham move its corporate domicile?
Bookham said its business activities, customer base, and ownership had changed since its initial public offering. It also said its peer group was mainly in the United States and that redomiciling was expected to improve its position for investment and acquisition opportunities. Those were the company’s stated reasons, not proof that the change produced those results. In June 2004, CEO Giorgio Anania said the move would more accurately reflect the company’s profile and provide a better platform for executing its strategy. Did Bookham leave the UK?
No—not immediately. The September change affected the company’s legal domicile and announced headquarters; contemporary coverage said Bookham expected to continue operating in Abingdon, UK. A later SEC filing dated December 7, 2004, identified San Jose as the principal executive office and described a cost-reduction plan that included closing the Abingdon site. That was a subsequent development, not part of the September 10 completion announcement. The September announcement, contemporary coverage, and the December filing distinguish these events.

What was Bookham’s business?
Bookham was a specialist supplier of optical components, modules, and subsystems, including products for telecommunications. At the time, coverage described expansion into tunable lasers, thin-film filters, and erbium-doped fiber amplifiers. Its September announcement put its worldwide workforce at approximately 2,000; that is a company figure from 2004, not a current headcount. Bookham’s announcement and contemporary reporting provide this historical context.
