Cypress Semiconductor completed its merger with Spansion on March 12, 2015. Under the all-stock agreement, each Spansion common share converted into the right to receive 2.457 Cypress common shares, with cash paid for any fractional share. The companies announced the proposed deal in December 2014.

When was the Cypress–Spansion merger announced and completed?

Cypress Semiconductor Corporation and Spansion Inc. announced a definitive merger agreement on December 1, 2014. Their transaction closed on March 12, 2015, after shareholders of both companies approved it at separate special meetings that day. Cypress announced the completion in a closing release.

What did Spansion shareholders receive?

The agreement set an exchange ratio of 2.457 Cypress common shares for each Spansion common share. Fractional Cypress shares were not issued; shareholders were instead entitled to cash in lieu of fractional shares. The merger agreement describes the exchange terms in its transaction provisions.

How much was the merger worth?

There is no single figure in the cited documents that should be treated as the definitive transaction price. Cypress and Spansion described the proposed deal as approximately $4 billion in their December 1, 2014 announcement. Cypress described the completed transaction as approximately $5 billion in its March 12, 2015 closing announcement. In its 2015 Form 10-Q, Cypress reported approximately $2.8 billion in total purchase consideration for accounting purposes; the filing says Cypress was the accounting acquirer and applied the acquisition method (Cypress Form 10-Q).

What synergies did the companies forecast?

In its March 12, 2015 closing announcement, Cypress forecast more than $135 million in annualized cost synergies within three years. That was a forward-looking company estimate, not evidence that the savings were later achieved. The cited sources do not establish the realized synergy total.
