ASML acquired Silicon Valley Group (SVG), a U.S. semiconductor-equipment supplier, to pair SVG’s advanced-technology development with ASML’s ability to bring tools into high-volume production. That was the companies’ stated rationale in October 2000—not proof that every expected benefit later materialized. The deal closed on May 22, 2001, after U.S. review that imposed conditions concerning SVG subsidiary Tinsley Laboratories.

What did Silicon Valley Group make?

Headquartered in San Jose, California, with operations in Wilton, Connecticut, SVG supplied equipment used to manufacture semiconductors. Its portfolio included step-and-scan lithography exposure tools, photoresist processing equipment, thermal-processing systems, and precision optics. The merger announcements identify the acquired company as Silicon Valley Group, Inc.; “SVGL” is associated with its lithography business, but the announcements do not establish which person or publication originated the title’s exact “president hopes” wording.

Why did ASML want to acquire SVG?

ASML announced the all-stock agreement on October 2, 2000. Its CEO, Doug Dunn, described the strategic fit as combining SVG’s “speed to market of new advanced technologies” with ASML’s capability to introduce and ramp tools for volume production. In practical terms, the companies presented the merger as complementary: SVG brought development capabilities, optics, and a broader semiconductor-processing portfolio; ASML brought an established lithography business and production-ramp capability. The announcement does not establish that the acquisition itself preserved or expanded any particular U.S. technology over the longer term.

What were the deal terms?

The agreement was subject to shareholder, government, and customary approvals. SVG CEO Papken Der Torossian said at the announcement: “This is a great deal for our customers, employees, suppliers and shareholders.” That statement records his view of the proposed deal; it does not establish how each group fared afterward.

What did U.S. review require?

On May 3, 2001, ASML and SVG announced an agreement resolving the U.S. foreign-investment review. It addressed Tinsley Laboratories, an SVG subsidiary specializing in optical polishing. ASML committed to spend six months exploring strategic alternatives, including a good-faith effort to sell Tinsley. If it remained within ASML, the company would operate it under restrictions. Dunn also stated: “We are committed to investing in the U.S. in order to maintain, develop and expand our technological edge and capabilities for the benefit of our present and future customer base.” ASML reported that its U.S. business generated approximately 28% of its revenue at the time of the May 2001 agreement. Both the investment commitment and revenue figure are contemporaneous company statements, not current figures or independent evidence of subsequent outcomes.

When did the acquisition close?

  1. October 2, 2000: ASML and SVG announced the all-stock merger agreement.
  2. February 7, 2001: ASML reported that approximately 99.4% of votes cast by SVG shareholders favored the merger. This was the share of votes cast, not necessarily of all outstanding shares. ASML’s shareholder-approval announcement

How should the deal be understood today?

The acquisition brought together semiconductor-equipment businesses with complementary capabilities, according to ASML’s stated rationale. It also proceeded under specific conditions for Tinsley and included a public U.S. investment commitment from ASML’s CEO. Those statements clarify what the parties said they intended and what they agreed to do at the time; the cited announcements alone do not show whether every strategic or investment goal was achieved.
