A business IT support agreement should spell out exactly which systems and services the provider covers, who is responsible for each task, how support is delivered and measured, what it costs, how security and recovery are handled, and how either party can end the relationship. Tailor the terms to your business’s operating needs, data, and applicable laws; there is no universal service-level target or contract template.
Start with the parties, scope, and covered environment
Name the customer and provider, the effective date, contract term, and any schedules or incorporated documents. If documents may conflict, state which one takes precedence. Describe the environment the provider is supporting—not just “company IT.”
- List covered locations, users, devices, networks, applications, cloud services, and relevant third-party dependencies.
- Identify included services, such as help desk, monitoring, patching, account administration, endpoint or network support, backup oversight, security monitoring, vendor coordination, onsite visits, and documentation, as applicable.
- List exclusions, including unsupported legacy systems, project work, migrations, new deployments, third-party vendor work, or onsite and after-hours service if not included.
- Explain how systems and users are added to or removed from coverage, including any inventory or change-approval process.
NIST’s SP 800-35 recommends describing the service environment, including equipment, facilities, locations, policies, procedures, standards, agreements, and licenses. Its outline is guidance, not a required form for every business.
Assign responsibilities and access clearly
For each recurring task, identify whether the provider performs it, the customer performs it, or one party supports the other. Specify the provider’s duties to document work, report status, and support the service, alongside the customer’s duties to provide information, maintain required access or licenses, approve changes, and communicate business priorities.

- Name the provider contact and the customer decision-maker, plus escalation contacts for each.
- Allocate responsibility for privileged access, account creation and removal, change approvals, license procurement, and opening or managing third-party vendor tickets.
- Define approved support channels, what information a ticket must include, how updates are delivered, and who may authorize billable or emergency work.
- Require records and reports that let the customer see what work was performed and what issues remain open.
Make service levels measurable and meaningful
A service-level agreement (SLA) describes expected service performance and related responsibilities, reporting, resolution, and termination provisions; see the NIST SLA definition. Use severity levels tied to operational impact, not labels alone. For each level, define the coverage window and what the provider commits to do.
- State support hours, time zone, holidays, supported channels, and whether after-hours coverage is included.
- Define severity by business impact—for example, whether a critical business function is unavailable, how many users are affected, and whether a workaround exists.
- Separate acknowledgement or initial response from diagnosis, workaround, resolution, or service restoration. A response target is not a promise that the issue will be fixed within that time.
- For each severity, specify any response target, update frequency, escalation path, and restoration or workaround target that the parties have actually agreed to.
- Set the measurement rules: when the clock starts, pauses, and stops; how customer or third-party delays are treated; what performance is measured; and how often results are reported and reviewed.
Choose targets based on the impact of an outage and the service the business needs. The available guidance does not establish a universal response time, uptime percentage, or recovery target. If commitments are missed, state the negotiated remedy—such as a corrective-action plan, service credit, or termination right—and the conditions for using it. Service credits are not the only possible remedy and are not guaranteed by law.
Put security, privacy, and incident duties in writing
Describe what systems and data the provider may access, for what purposes, and under what controls. Address confidentiality, identity and access management, safeguards, vulnerability and patch responsibilities, security reporting, and whether subcontractors may access systems or data. Set limits on data use, retention, disclosure, and onward access where appropriate.

Define how promptly the provider must notify the customer of a suspected or confirmed security incident under the agreement, how the parties will cooperate, who preserves evidence, who makes decisions, and what assistance the provider will give with any required notifications. Do not assume the provider’s contract takes over the customer’s regulatory responsibilities. The FTC’s security guidance advises putting security expectations in provider contracts and verifying compliance.
Requirements vary by business and data. The FTC Safeguards Rule applies to covered financial institutions, not every business. For covered businesses, the FTC Safeguards Rule guide describes written security-program, risk-assessment, safeguards, incident-response, and oversight requirements; a provider may perform tasks, but the business remains responsible for supervising its qualified individual.
For HIPAA covered entities and business associates using a cloud provider that creates, receives, maintains, or transmits electronic protected health information (ePHI), HHS says a HIPAA-compliant business associate agreement (BAA) is required alongside other applicable HIPAA compliance. An SLA may cover availability, backups, recovery, data return, security responsibilities, and use or retention limits, and should be consistent with the BAA and HIPAA Rules. See HHS guidance on HIPAA and cloud computing. This requirement does not mean every IT provider needs a BAA.

Specify backup, continuity, and recovery ownership
Do not leave “backups included” undefined. Record what is backed up, how often, how long copies are retained, where they are stored, who monitors backup failures, and how restoration requests are handled. Clarify what recovery assistance is included in the fee and whether restoration tests are performed and documented.
If the business needs recovery-time or recovery-point objectives, set them only after assessing business impact, dependencies, and cost. The agreement should say who coordinates recovery and how the provider works with the customer and other vendors during an incident. The FTC small-business cybersecurity guidance recommends incident-response, disaster-recovery, and continuity planning; it also identifies regular, disconnected backups as a useful protection. An encrypted backup by itself does not establish that data can be restored or that it will be available when needed.

Describe recurring charges and exactly what the fee includes. Address per-user or per-device pricing, included labor or service limits, minimum charges, and separately billed work.

- State rates or pricing rules for projects, migrations, consulting, emergency and after-hours work, travel, hardware procurement, and third-party licenses.
- Set approval thresholds and explain how estimates and change requests are authorized before chargeable work begins.
- Specify invoicing, payment timing, disputed charges, price-change notice, and any pass-through costs.
- Connect service-level misses to the agreed reporting and remedies instead of leaving performance consequences unclear.
Review warranties, indemnities, insurance, liability limits and exceptions, suspension rights, and dispute procedures with counsel. These terms depend on the transaction and jurisdiction; an example in a public-sector contract is not a market standard. NIST’s service-agreement outline includes service-level costs and remedies, but expressly treats its sample as a guide whose terms must fit the organization.

Set the term, renewal process, and notice requirements. Explain termination for material breach and any cure period, nonpayment, repeated SLA failures, or negotiated termination for convenience. State what happens when service ends, not just how notice is sent.
- Specify transition assistance, what is included, and any fees for additional work.
- Require return or transfer of credentials, configurations, asset lists, documentation, tickets, and customer data.
- Identify export formats and deadlines, data-retention and deletion periods, and how deletion is confirmed where relevant.
- Require reasonable cooperation with the customer or successor provider so the customer can continue operating.
NIST’s SP 800-146 advises analyzing termination and data-retention terms. For cloud arrangements, HHS also identifies the manner of data return after termination as a possible SLA provision.

Compare offers on coverage and risk, not one headline number
When evaluating providers, compare like with like. A fast response target or low recurring charge is difficult to assess without the service scope, measurement rules, exclusions, and responsibilities that sit behind it.

| Exit and risk | Data portability, transition support, liability and insurance terms, and the customer’s ability to operate after termination. |
Weight these factors against service criticality, data sensitivity, and the customer’s internal capacity. NIST’s SP 800-47 Rev. 1 and FTC small-business guidance support tailoring safeguards to risk rather than relying on a single metric. Because the right wording depends on jurisdiction, industry, data, and contract structure, have local counsel review enforceability, required notices, privacy terms, liability allocation, and any regulated-sector addenda.
