An MSP can carry out agreed IT and cybersecurity work, but outsourcing does not transfer your responsibility for protecting your business and customers’ information.
Start with your business requirements
Before contacting providers, write down the outcomes you need and the constraints they must work within. This helps you distinguish routine IT support from cybersecurity work or specialized compliance support.
- Critical systems and data: List the devices, applications, cloud services, locations, and information your business depends on. Note what would disrupt operations if it became unavailable or compromised.
- Current capacity: Record who handles IT today, what they can manage, and where coverage or expertise is missing.
- Coverage: Decide which users, systems, locations, and support hours need to be covered, including whether you need on-site help.
- Obligations: Identify relevant legal, regulatory, customer-contract, and insurance requirements. They vary by jurisdiction, industry, and the data you handle; do not assume a standard MSP package satisfies them.
- Risk and resources: Consider whether you need a full-service MSP, help with specific tasks, internal staff, or a combination. The right arrangement depends on your business needs, available resources, and risk.
NIST’s small-business guidance frames the problem plainly: a business that cannot afford a dedicated cybersecurity employee still has options, but it needs to choose among them based on its situation. See NIST’s guidance on building a small-business cybersecurity team.
Compare proposals against the same scorecard
Ask several providers for proposals or quotes using the requirements you wrote down. Use the same questions and comparison criteria for each finalist so that differences in package names or sales presentations do not obscure what is actually included. NIST advises evaluating experience and ability to meet requirements alongside cost, rather than choosing on price alone.

Read service levels as definitions, not slogans
A headline response-time target or uptime percentage is not enough to compare providers. Ask how the provider defines severity, when the clock starts, what counts as a response versus a resolution or restoration, which support hours apply, what exclusions exist, how performance is measured, and what remedy applies if a commitment is missed. CISA recommends specific performance-related service-level agreements (SLAs); the definitions should reflect the business impact of an outage or incident.
Separate routine support from extra work
Ask which preventive and proactive tasks are included and which are billed separately as projects. Confirm how changes to the scope are proposed, approved, and priced, and whether labor or other charges apply outside the agreed support window.

Check the provider’s security and access practices
An MSP may have access to systems and information that could affect your business and customers. Ask how that access is controlled and how the provider protects data, then seek evidence for material claims and agree on how you will verify commitments during the relationship. FTC guidance recommends asking detailed questions about data security, access, and employee training; CISA’s MSP customer checklist also identifies personnel vetting, data separation, logs, and subcontractors as issues to address.
- Who can access your systems and data, and how is administrator access controlled and removed when no longer needed?
- How are provider employees vetted or trained for the work they perform?
- How are your data and the provider’s management tools separated from those used for other clients?
- Which subcontractors may access your systems or information, and how will the provider disclose or notify you about them?
- What logs and records are retained, for how long, and how can you obtain or review them?
- What evidence can the provider provide for important security claims, and how can you check that agreed controls remain in place?

Define responsibilities, incident handling, and continuity
Write down which tasks the MSP owns, which your business owns, and which require both parties. Pay particular attention to security decisions, backups, incident response, remediation, and regulatory or customer obligations. An agreement should also explain how incidents are reported, escalated, contained, and documented, including what decisions or costs may require your involvement.
- Backups and recovery: Identify who performs and monitors backups, who tests recovery, and who is responsible for restoring systems.
- Incidents and remediation: Set notification and escalation procedures, define who coordinates response, and agree how corrective work is prioritized and accepted.
- Logs and records: Specify what the provider retains, how long it is retained, and how the business can access it.
- Maintenance and outages: Define planned maintenance communications and notice for unplanned outages.
- Shared decisions: Clarify when the MSP must seek your approval and what your staff must do to support the agreed service.
CISA’s MSP customer guidance calls out responsibilities, incident management, remediation, maintenance and outage communications, and operational records as matters customers should address. Put the agreement in writing
The managed services agreement and any service exhibits should describe the actual work, responsibility boundaries, performance standards, and how compliance will be monitored. Tailor the following items to your business’s risk and obligations:
- Service inventory, deliverables, exclusions, support hours, escalation path, and change-control process.
- Customer, MSP, and shared responsibilities, especially for security, backups, incident decisions, and regulatory or customer obligations.
- SLAs with definitions for severity, response, restoration or resolution, measurement period, exclusions, reporting, and remedies.
- Security controls, permitted data use, access, retention and deletion, incident notification, evidence, and verification rights or processes.
- Incident-management steps, remediation acceptance criteria, records handling, and data-separation commitments.
- Subcontractor disclosure and approval or notification terms when another party could access business data.
- Planned maintenance and outage notice, onboarding, transition assistance, data and documentation handoff, and termination steps.
FTC guidance advises businesses to specify expectations contractually and verify that a service provider follows them. A selection guide cannot replace legal advice: have qualified counsel review terms when appropriate, particularly where law, sector rules, customer contracts, or sensitive data create specific obligations.

Plan onboarding and a clean exit
Before signing, agree how the MSP will learn your environment and document it, and how the relationship will end if either party terminates the agreement. A workable transition reduces the risk of losing access, records, or operational knowledge during a provider change.
- Set expectations for onboarding, inventory, system documentation, and credential handoff.
- Specify how your data and records will be returned or deleted, and how deletion will be confirmed where applicable.
- Define how and when access will be removed for provider staff and subcontractors.
- Agree on transition assistance, its scope, timing, and any associated costs.
Questions to ask each finalist
Keep each provider’s answers with its proposal so you can compare responses and resolve gaps before signing.
- Which systems, users, locations, and hours are covered, and what is expressly excluded?
- Which work is preventive and proactive, and what is billed separately as a project?
- What comparable small-business or industry experience do you have?
- Which security outcomes will you own, which remain ours, and which are shared?
- Who can access our systems and data, and how are administrator access, employee training or vetting, and access removal handled?
- How are our data and your management tools separated from those used for other clients? Which subcontractors may access our systems or data?
- How are incidents reported, escalated, contained, and documented? What decisions or costs might require our involvement?
- What logs and records are retained, for how long, and how can we access them?
- What are the SLA measurement period, response and resolution definitions, support hours, severity levels, exclusions, and remedies?
- How are scheduled maintenance and unplanned outages communicated?
- What is the plan for onboarding, documentation, data return, credential handoff, and transition if the relationship ends?
- Can you provide evidence for material security claims and agree to a process for checking compliance?
