You cannot tell whether a crypto presale is legitimate from a polished website, an influencer endorsement, an exchange or launchpad listing, or an audit badge alone. Before sending funds, independently check who is raising them, what rights the token gives you, which contract will receive or distribute funds, who can change its rules, and what happens if the project or sale fails. If a material fact cannot be verified—or sources contradict one another—treat that uncertainty as a reason to pause, not as evidence in the presale’s favor.

This checklist is general, U.S.-oriented investor education, not legal or investment advice. A token sale’s legal treatment depends on its facts, representations, parties, and jurisdiction; this checklist cannot establish that a specific offering is legitimate, legally compliant, technically safe, or right for you.

How to evaluate a crypto presale before buying

Work through the checks below using the current offering documents, the project’s official channels, relevant public records, and on-chain information where available. Keep a written record of what you verified, what is only an issuer’s claim, and what remains unknown. Do not treat a claim repeated across several project-controlled pages as independent confirmation.

  1. Identify the issuer and check the people and entities responsible for the sale.
  2. Read the token rights and sale terms, including refund, transfer, and resale restrictions.
  3. Match the contract address and reviewed code to the actual deployment and investigate privileged controls.
  4. Reconcile token supply, allocations, vesting, and who can change the rules.
  5. Assess the sale’s price, delivery terms, and liquidity assumptions without relying on a promised listing or future price.
  6. Screen for fraud tactics, then decide in writing whether any unresolved issue is a walk-away point.

The SEC’s July 25, 2017 Investor Bulletin: Initial Coin Offerings and its April 10, 2025 Division of Corporation Finance statement, Offerings and Registrations of Securities in the Crypto Asset Markets, describe many of the disclosure questions below. 1. Verify who is raising funds and what they plan to build

Look for the legal entity behind the sale, its jurisdiction, and the responsible people. Check whether team members’ identities, relevant experience, roles, and any third parties with management responsibilities are disclosed. Compare the names and claims in the offering documents, website, white paper, roadmap, developer documentation, and applicable public filings. Note inconsistencies rather than assuming one version is correct.

Then follow the money and the milestones. Determine what the proceeds are supposed to fund, who controls the funds, and how progress will be observable. A roadmap records what the issuer says it intends to do; it does not establish that the team can deliver. The SEC’s 2017 ICO bulletin recommends understanding how funds will be used and whether the business plan is clear enough to understand.

  • Useful evidence: identifiable responsible parties, consistent disclosures, specific funded milestones, and a way to check progress.
  • Unresolved concern: anonymous or impersonated team members, unexplained changes in the issuer’s story, or no clear account of who controls proceeds.

2. Understand the token rights and the offering’s legal explanation

Write down what ownership of the token actually gives you—and what it does not. Is it usable now, or only after a planned launch? Does it provide access, governance, payment, redemption, revenue sharing, or another claim? Are those rights enforceable against an issuer, or do they exist only as code behavior? Find the terms for refunds, redemption, transfers, resale, and lockups. Ask what happens if the project fails, changes direction, is sold, forks, or enters insolvency.

The SEC’s 2017 bulletin specifically recommends checking token rights, when and how money may be returned, and resale limits. Its April 10, 2025 disclosure statement also identifies rights and obligations, transfer characteristics, holder protections, and treatment in events such as a sale, liquidation, bankruptcy, or network fork as potentially relevant information. If an offering document does not answer these questions, record the answer as unknown rather than inferring rights from marketing language.

Do not infer securities status from a label

Calling a token “utility,” “governance,” or “decentralized” does not by itself settle its legal treatment. The SEC’s educational page Transactions Involving Crypto Assets, last reviewed April 29, 2026, explains that some crypto assets may be offered subject to an investment contract depending on the facts and circumstances. Its discussion of the Howey factors includes an investment of money, a common enterprise, a reasonable expectation of profits, and profits derived from the essential managerial efforts of others.

This general checklist cannot determine whether a particular token is a security, whether an offering is registered, or whether it qualifies for an exemption. Verify the issuer’s explanation and any claimed filing or exemption in current official records. For a material legal question, consult qualified counsel.

Do not rely on a platform’s assurance

A platform’s claim that it vetted or approved a sale is not a substitute for checking the offering. The SEC’s January 14, 2020 Initial Exchange Offerings (IEOs) – Investor Alert cautions that platforms may claim due diligence or be misrepresented as regulated exchanges; where securities are involved, a platform may have its own registration obligations. That IEO alert is not a conclusion about every presale or platform.

3. Check the contract, code, and audit

First establish which contract address matters: match the address in the offering documents to the project’s official channels and the relevant block explorer for the stated network. Check whether the source code is published and verified there, and whether the deployed address corresponds to the code the project says was reviewed. A copied address, screenshot, or badge is not enough to establish a match.

Investigate whether the contract can be upgraded, paused, or otherwise altered, and which addresses hold administrator, minting, or other privileged permissions. For each privilege, record what it allows, who controls it, and what could happen if it is used. Determine whether control rests with a single key or is subject to safeguards such as multisignature approval or a timelock. A published contract may still leave important powers in the hands of its administrators.

The SEC’s ICO bulletin suggests asking whether code is published and whether an independent cybersecurity audit exists. Its 2025 disclosure statement identifies code-modification authority, wallet and transfer requirements, audit identity and results, and ownership records as potentially relevant disclosure topics.

Read the audit report, not just its headline

Record the auditor, report date, code version and address examined, scope, findings and severity, remediation status, and exclusions. Check whether the reviewed code is the same version as the contract that will receive or distribute funds. If the report does not identify enough information to make that match, note that limitation.

An audit is evidence about the specified review and scope, not a guarantee of security, honest conduct, project viability, or the safety of future code changes. If the contract address or audit cannot be independently matched and confirmed, treat that as an unresolved gap.

4. Reconcile token supply, allocations, and control

Build a supply picture from the offering documents and, where possible, compare it with on-chain information. Note the initial and maximum supply—or whether supply can continue to grow—along with the presale share, team and adviser allocations, treasury and ecosystem reserves, and any planned emissions. Record vesting terms, lockups, and unlock dates for each material allocation.

Also check for burn, freeze, redemption, or supply-change powers and identify who controls them. The SEC’s 2025 disclosure examples include total supply, issuance methods, treasury and participant reserves, vesting and lockups, authority to change supply rules, and liquidity or market-maker arrangements. Visible wallet addresses can help show token distribution, but they do not necessarily identify every beneficial owner.

Supply or control item What to record
Issuance Initial supply, any stated maximum, ongoing minting or emissions, and who can change those rules.
Allocation Presale, team, adviser, treasury, and ecosystem shares; identify the source for each figure.
Unlocks Vesting schedule, lockups, and dates when material allocations can become transferable.
Administrative powers Who can mint, freeze, burn, redeem, or otherwise alter token behavior, and what safeguards apply.

5. Examine sale terms, price, and liquidity assumptions

Write down the actual terms that apply to your purchase: price and currency, purchase limits, sale stages, hard or soft cap, end conditions, fees, token delivery date, and vesting of purchased tokens. Check the refund conditions and what happens if milestones are missed or the planned network or exchange launch does not happen. Distinguish binding sale terms from statements of intent.

Do not treat a projected exchange listing or token price as established fact. Even a confirmed listing plan does not establish future trading liquidity or price. If you compare the presale valuation with circulating or fully diluted supply, show the assumptions and label the result as a scenario—not a forecast. The SEC’s March 23, 2023 investor alert, Exercise Caution with Crypto Asset Securities, identifies volatility and illiquidity among crypto-asset risks; the 2025 disclosure statement also identifies price volatility, valuation, limited holder rights, supply, custody, and liquidity as risks to consider.

If the issuer cites proof of reserves

Only rely on a proof-of-reserves claim for what it actually shows. The SEC’s March 2023 alert explains that such a snapshot may omit liabilities and activity between snapshots and is not as rigorous or comprehensive as a financial statement audit. A reserves snapshot is not, by itself, proof that a presale project is solvent.

6. Screen for fraud and pressure tactics

Pause if the pitch combines claims that cannot be verified with pressure to act quickly. Warning signs include guaranteed or outsized returns, urgent countdowns, hard-sell tactics, unsolicited direct messages, unexplained jargon, unverifiable endorsements, anonymous or impersonated team members, and wallet addresses that do not match across official sale materials.

The SEC’s July 2017 ICO bulletin warns about high-return promises, hard sells, and urgency. Its May 29, 2024 investor alert, 5 Ways Fraudsters May Lure Victims Into Scams Involving Crypto Asset Securities, describes promoters touting a memecoin presale to pump a price before selling, and cautions against making a decision solely on social media. The alert also describes extra fee or tax demands as a tactic used to extract more money from victims.

If someone asks for additional funds to unlock a withdrawal or recover losses, do not assume the demand is legitimate. Verify any payment instruction through independently confirmed official channels, not the message that introduced the demand.

7. Compare presales on the same evidence

If you are assessing more than one offering, use the same criteria for each. A favorable result in one category does not cancel a critical unknown elsewhere. Treat this as a diligence aid, not a ranking or prediction of returns.

8. Set a walk-away threshold before paying

Before making any payment, write down which facts you independently confirmed, which depend only on issuer claims, and which remain unknown. Decide what amount you could lose without affecting essential needs; do not assume you will be able to resell the token or recover funds.

Set a threshold in advance: if you cannot check the issuer’s identity, token rights, contract address, supply controls, sale terms, or the stated legal basis, defer or walk away rather than converting missing information into an endorsement. Consider the possibility that the token becomes untradeable, that the full amount is lost, and that recovery may be limited. The SEC’s March 2023 alert lists volatility, illiquidity, platform or company failure, opaque ownership or control, regulatory restrictions, hacking, and potentially limited recovery among crypto-asset risks.

For a specific live offering, re-check the current disclosures, deployed contract, audit version, issuer identity, and rules in the relevant jurisdiction immediately before making a decision. This process can expose gaps and inconsistencies; it cannot certify a presale as safe or legitimate.
