On February 14, 2022, Joyent transferred ownership and stewardship of the Node.js trademarks to the OpenJS Foundation. OpenJS took over their ongoing management and maintenance, while the announcement said contributors would see no change. The transfer concerned the Node.js name and branding—not a stated change to the software or its contribution process.
What changed in 2022?
Joyent transferred ownership of the Node.js trademarks to the OpenJS Foundation on February 14, 2022. OpenJS said it would immediately take responsibility for managing and maintaining the marks, with usage rules aligned with those for other OpenJS Foundation projects. The announcement described the move as continuity for contributors, not a change to how they contribute to Node.js. OpenJS Foundation’s announcement and the Node.js project’s announcement set out the transfer.
Why OpenJS used the trademarks before it owned them
The transfer did not mark the beginning of OpenJS’s permitted use of the Node.js name and hexagon graphic. For the preceding six years, Joyent had granted the OpenJS Foundation and its predecessor, the Node.js Foundation, a free, perpetual license to use the marks. In 2022, ownership and stewardship moved to OpenJS as well.
That earlier arrangement followed an organizational change: in March 2019, the Node.js Foundation and JS Foundation announced their merger to form the OpenJS Foundation. The Linux Foundation’s merger announcement described Node.js as a Joyent trademark used with Joyent’s permission.

What the transfer means for contributors and software users
The 2022 announcement said contributors would see no change. It did not announce a change to the Node.js code, its copyright license, or contributor rights. The specific change was who owned and administered the project’s trademarks.
Software licensing and trademark permission are separate. An open-source copyright license governs rights to use, modify, and redistribute the software under its terms. It does not automatically grant permission to use the project’s name or logo as branding. The OpenJS Foundation trademark policy expressly says that an open-source license does not create an implied right to use a related trademark.

How to refer to Node.js or use its marks
The OpenJS policy applies to marks owned by the Foundation and used by its projects. It was adopted on January 12, 2021, and says individual projects may impose additional requirements; separately incorporated projects may have their own marks and policies. The policy can be revised, so consult its current text before relying on it for a specific use.

- Use a mark as an adjective to identify the project or its software, rather than as a noun or verb.
- Do not modify the marks or incorporate them into a product name or domain name.
- Do not suggest that OpenJS or the Node.js project produces, endorses, or supports your product or service unless that is true.
- Truthful factual statements may qualify as fair use under the policy; acknowledge the mark owner.
OpenJS’s trademark list identifies Node.js® as a registered word mark and lists Node.js logo marks among the visual marks in use. The list distinguishes the registered word mark from logos in use; it does not establish that every logo is registered.
