Before buying a DeFi token, find out what rights it actually gives you, how its code and supply work, who can change or govern it, whether you could trade it at a meaningful price, and what can be verified about the people and project behind it. A token label, audit, quoted price, or confident promotion does not answer those questions by itself. This checklist can help you assess risks; it cannot guarantee safety or determine whether a token is suitable for you.

1. What does holding the token actually give you?

Start with the rights, not the token’s name or marketing category. Read the project’s official documentation and determine what a holder can actually do or claim. For example, does the token provide access to a product or service, enable participation in governance, serve as a means of payment, or represent some other stated right? If the project suggests that tokens can be redeemed or recovered for something of value, look for the terms explaining how that works and what conditions apply.

  • Identify the specific product or service the token is connected to, if any.
  • Check whether the claimed benefit is available now or depends on a future plan.
  • Look for written terms explaining what holders can redeem, access, vote on, or receive.
  • Compare those terms with the token’s actual operation; a label such as “utility” does not establish what rights a holder has.

The Commodity Futures Trading Commission (CFTC) advises readers to understand the rights attached to a token and how it is linked to the offered product or service. It also warns: “Buying digital coins or tokens only because you expect to sell them at a higher price later is the definition of speculation and carries considerable risk, regardless of how good a white paper, application or business plan sounds.” — CFTC, Customer Advisory: Use Caution When Buying Digital Coins or Tokens.

2. Is the code visible, and what does a security review cover?

Check whether the relevant blockchain and project code are publicly available, then determine whether an independent cybersecurity audit or other review exists. A general statement that a project has been “audited” is not enough to establish what was examined.

  • Find the audit or review itself and identify the contracts and code version it covers.
  • Compare the reviewed version with the code currently deployed, where that information is available.
  • Check the review’s date, scope, and any issues or qualifications it reports.
  • Distinguish a review of selected code from a review of every contract, dependency, or later change.

An audit is evidence that specified code was reviewed at a particular time and within a particular scope. It is not proof that the deployed system is free of defects, that later changes were reviewed, or that future exploits and failures are impossible. The CFTC’s advisory discusses the importance of understanding the risks of digital tokens; the SEC’s disclosure checklist also identifies cybersecurity matters as relevant disclosure topics.

3. How can the token supply change?

Do not rely on a headline maximum-supply figure alone. Examine the supply and distribution information together: total and circulating supply, issuance rules, minting and burning powers, insider holdings, allocation schedules, lockups, and vesting or unlock dates. The relevant question is not only how many tokens exist now, but also what rules or permissions could change how many exist or when they become available.

  • Find the stated total and circulating supply and note how the project defines each figure.
  • Check the rules for issuing, minting, or burning tokens, including who can exercise any such powers.
  • Look for allocations to founders, insiders, investors, or other groups, and whether those holdings are locked or subject to vesting.
  • Record disclosed unlock dates and distribution schedules that could affect how much supply is available to trade.
  • Compare public disclosures with the contract or other available token-specific information where possible.

The SEC Commissioner’s disclosure checklist identifies topics including supply, issuance, insider holdings, and distribution schedules. These details matter together: a stated cap does not by itself explain the current distribution or all the ways supply may be administered.

4. Who controls the contract?

Find out who can administer or upgrade the token’s contracts and how project decisions are made. A claim that a token is “decentralized” or “community-governed” should be checked against the actual decision process, the disclosed distribution of holdings, and the permissions built into the relevant contracts.

  • Identify any disclosed contract administrators and the actions they can take, including whether they can upgrade or otherwise change contract behavior.
  • Read how governance proposals are submitted, voted on, and implemented.
  • Check what token holders can vote on and whether a vote itself causes a change or requires another party to carry it out.
  • Compare the project’s account of voting power with its disclosures about insider holdings.
  • Where the project publishes contract information, inspect the specific permissions rather than relying only on governance descriptions.

The SEC Commissioner’s disclosure checklist identifies governance procedures and insider holdings as relevant topics. It does not establish the permissions of any particular token contract; those need to be checked for the asset in question.

5. Could you trade at the price you see?

A displayed or quoted price does not establish that you can buy or sell the amount you intend at that price. Check which venues list the token and whether trading liquidity appears deep enough for your planned transaction. Thin liquidity can make it difficult to sell, and the price available for a transaction may differ from a displayed quote.

  • Identify the venues where the token actually trades rather than assuming a listing means active, deep trading.
  • Assess whether the available liquidity is meaningful for the size of transaction you have in mind.
  • Consider both entry and exit: the ability to buy does not establish that you can sell later on comparable terms.
  • Be especially cautious with new or thinly traded tokens, which can be vulnerable to pump-and-dump schemes.

The CFTC identifies liquidity and manipulation risks in its digital-token advisory. It also cautions that a trading price is not a guarantee of the price at which a holder can complete a transaction.

6. What can you verify about the project and its claims?

Look into the named people, affiliates, and entities behind the offering. Check whether the project explains how funds are used and states token rights clearly. Treat guaranteed returns and pressure to buy because of hype as serious warning signs, not as evidence that an opportunity is safe.

  • Check whether the named people and entities can be independently identified and whether their roles are clearly described.
  • Look for specific, verifiable disclosures about the use of funds and the token’s rights.
  • Separate documented facts from forecasts, promotional claims, and promises about future performance.
  • Do not treat urgency or enthusiasm from promoters as a substitute for evidence.

The CFTC advises due diligence on the people and entities behind token offerings and states that no investment or trading strategy is guaranteed.

7. What legal context applies?

Do not assume that a token’s legal treatment can be settled by its name, its stated purpose, or a general description of how it works. Legal analysis depends on the facts and the applicable jurisdiction. The SEC and CFTC published an interpretation in March 2026 addressing certain assets and transactions; that does not determine the status of every token or transaction.

In a 2017 statement, then-SEC Chairman Jay Clayton wrote: “Merely calling a token a ‘utility’ token or structuring it to provide some utility does not prevent the token from being a security.” That dated statement is a caution against relying on the label alone, not a complete legal test. If the legal status matters to your decision, consult current, jurisdiction-specific information rather than treating a project’s characterization as definitive.

8. Compare tokens on the same evidence

If you are comparing projects, use the same questions for each one. This is a way to organize diligence, not a scoring model or investment recommendation.

Rights and use What can holders actually do or claim, and how is the token tied to a product or service?
Code and review Is relevant code public? What version and contracts did an independent review cover, and when?
Supply and distribution What are the supply, issuance, allocation, insider-holding, and unlock disclosures?
Control and governance Who can administer or upgrade contracts, and how are decisions made and implemented?
Liquidity and venues Where does it trade, and is the available liquidity sufficient for the transaction you have in mind?
Disclosure quality Are project claims, token rights, and use of funds stated clearly and supported by verifiable information?

Before you decide

Work through the checklist using information specific to the token, contract, and trading venues you are considering. The information available here cannot establish whether any particular token is legitimate, legally classified in your jurisdiction, liquid enough for your transaction, or suitable for your circumstances. Recheck current legal context and token-specific facts before acting, and do not treat a completed checklist as a guarantee against loss.
