A bond offering is also an offering of debt securities, so the terms are not mutually exclusive: an issuer can privately offer bonds as well as notes. The legal documents—not the label—set the repayment terms, protections, and resale limits.
Private describes the offering; note or bond describes the debt
In the U.S. federal securities-law context, securities generally must be registered with the Securities and Exchange Commission (SEC) or qualify for an exemption. “Private placement” commonly refers to an offering relying on such an exemption, although the rules differ by exemption. The SEC lists notes and bonds among the securities that can be offered in private placements. A note may also be offered through a public or exempt route, subject to the applicable law and transaction details.
A bond is a debt security: the issuer borrows money and owes payments under the bond’s terms. A note is also a debt instrument. The reviewed SEC and investor guidance does not establish a universal maturity cutoff separating notes from bonds. Do not assume the name tells you how long the debt runs, whether it is secured, or how it ranks against other claims.
What “private offering” means in U.S. practice
The exemption used affects who may participate and how the offering may be marketed. The SEC’s June 21, 2024 summary describes several Regulation D routes:

- Rule 506(b): General solicitation is prohibited, and sales may include no more than 35 non-accredited investors in any 90-day period.
- Rule 506(c): General solicitation is permitted if all purchasers are accredited investors and the issuer takes reasonable steps to verify their status.
- Rule 504: Offers and sales of up to $10 million are permitted in a 12-month period.
These are summaries of particular U.S. exemptions, not rules that apply to every offering described as “private notes.” The exemption and transaction documents determine the relevant conditions.
Disclosure, filing, and resale limits
Private placements generally have fewer disclosure requirements than public offerings, according to FINRA. An issuer may provide a private placement memorandum or offering memorandum, but the SEC says one is not required and such a document typically is not reviewed by a regulator. Review the information actually provided about the issuer, the security, and its risks rather than treating the document’s existence as a quality check.

For an issuer relying on a Regulation D exemption, Form D is due no later than 15 days after the first sale, according to the SEC’s August 17, 2022 investor bulletin. The SEC states: “Form D does not represent SEC approval or registration.” A filing is not an endorsement of the issuer or an assessment of the investment.
Private-placement securities may be restricted, and finding a buyer for them can be difficult. An investor may have to hold the investment indefinitely; consider whether you could tolerate losing the entire amount invested and being unable to sell when you want to.

What to compare in the offering documents
Whether the security is called a note or a bond, examine the issuer’s obligations and the specific terms before deciding what the investment entails:
- Issuer and repayment capacity: Identify who owes the debt and what financial or other information is available to assess its ability to pay.
- Cash flows: Find the principal amount, interest rate, payment dates, maturity, and any redemption or prepayment provisions.
- Priority and protections: Check whether the debt is secured or unsecured, what collateral is pledged, where it ranks, and what covenants and default remedies apply.
- Investor and transfer terms: Identify the exemption, eligibility conditions, transfer restrictions, and any practical route to resale.
- Disclosure and costs: Review the issuer and risk information, fees, conflicts of interest, and the documents’ explanation of material risks.
The terms can vary from one security to another. Neither the note or bond label nor the existence of a filing establishes a particular level of protection or investment quality.

Verify a promissory note before investing
A promissory-note label alone does not prove that an investment is legitimate. Investor.gov’s guidance on promissory notes recommends verification steps; investigate the issuer and the people offering the investment, and be wary of claims that obscure the risks or promise unusually attractive returns. For a specific offering, consider getting advice from a securities-law attorney or an appropriately registered financial professional.
